A RESOLUTION CONFIRMING AND RATIFYING THE ACTION
OF THE CITY MANAGER IN ACCEPTING THE BID AND
EXECUTING THE CONTRACT FOR GUARD SERVICE IN
CONNECTION WITH THE TRADE FAIR OF THE AMERICAS
WITH INTERNATIONAL PATROL AND DETECTIVE AGENCY
INC, AT THE RATE OF $4,85 PER PERSON PER HOUR,
WITH FUNDS THEREFOR TO BE EXPENDED FROM THE LATIN
"SUPPORTIVE AMERICAN TRADE EXHIBITION TRUST AND AGENCY FUND,

FOLLOW"
WHEREAS, the appropriations ordinance for fiscal year
1976-77, adopted November 11, 1976, as amended to date provides
for the creation of a fund entitled "Latin American Trade Exhibition
Trust and Agency Fund" for THE TRADE FAIR OF THE AMERICAS; and
WHEREAS, security guard service relating to THE TRADE
FAIR OF THE AMERICAS must be under way on February 23, 1978; and
WHEREAS, Resolution No. 78-69 dated January 24, 1978,
authorized the City Manager to accept and receive bids and award
contracts for the various phases of construction, security and
expenditures related to THE TRADE FAIR OF THE AMERICAS; and
WHEREAS, bids from six firms were received February 10,
1978; and
WHEREAS, the City Manager found that International
Patrol & Detective Agency, Inc. is the lowest responsible bid for
guard services for THE TRADE FAIR OF THE AMERICAS; and
WHEREAS, by authorization of Resolution No. 78-69 the
City Manager entered into contract agreement with the above indicated
firm to meet the deadline;

Section 1. The action of the City Manager in accepting
the bid of International Patrol & Detective Agency, Inc. for THE
TRADE FAIR OF THE AMERICAS is hereby confirmed and ratified, with
funds therefor to be expended from the Latin American Trade Exhibition
Trust and Agency Fund as provided by Ordinance No. 8656 amending
Ordinance No. 8589, adopted November 11, 1976,

Resolution 78 69, dated 1/24/78
Guard Services for the Trade Fair of the Americas were solicited
the latter part of January, 1978 with responses due to the Clerk
of the City on February 10, 1978. A selection committee reviewed
the proposals, interviewed applicant firms, evaluated responses,
and recommended a firm for Guard Services. The selection committee
was composed of:
Charles L. Crumpton, Assistant City Manager
Richard Roach, Assistant Director, Stadiums and Marinas
Sgt. Antonio Abraira, Miami Police Department
Officer John Fitzgerald, Miami Police Department
Don Chapman, Evelio Ley & Associates, Trade Fair Manager
The committee unanimously recommended the firm of International
Patrol & Detective Agency, Inc. as the firm to provide Guard Services
for the Trade Fair.
Selection Process:
Display advertisements were placed the latter part of January in
the Miami News, the Miami Herald, the Miami Review, the Miami Times,
and the Diario Las Americas. Responses were received at the close
of the business day at the City Clerk's office not later than 5:00
p.m. on February 10, 1978.
The following companies expressed an interest in response to the

company that has been in business under the same ownetship contin-
tiously for over 30 years. We ate an equal opportunity employet.
We employ 250 guards who ate trained in out own approved school
Using the latest in audio -Visual techniques. We provide guards
and service for the County government, hospitals, banks, cotnttletm
cial buildings, condominiums, installations, health and rehabili-
tation centers, businesses, and properties. We have provided
ektensiVe security coverage for fairs.
Between myself and my staff we offer the background and benefit
of 65 years of police department experience. This enables us to
train our personnel in the fundamentals of crowd supervision and
control. It also provides us with a background in the principles
of the prevention of shoplifting which we impart to our guards.
Our supervision of our personnel is continuous and very exacting.
Our Company maintains the following insurance coverage for the
protection of our clients.
A. Workmens Compensation and Employers Liability as .required
by Florida State Statutes.
B. Public Liability insurance of $500,000 per occurrence and
per person for property damage, false arrest, detention or
improsonment, malicious prosecution, libel, slander, defama-
tion of character, violation of right of privacy, wrongful
entry or eviction or other invasion of right of private
occupancy.
C. Automobile Liability insurance coverage covering all owned,
non -owned and hired vehicles as above.
D. An A.B.C. Hazard clause which holds our clients harmless for
any action arising from any performance by any agent of
International Patrol.
A representative number of our guards are of Spanish derivation and
are bilingual.
We maintain an adequate supply of walkie-talkies to meet your require-
ments.
All our guards are licensed and have undergone stringent background
security checks conducted by the State of Florida licensing division
through the F.B.I.
We are prepared to submit, at the proper time, a roster of personnel
to be used.

Based on the selection and evaluation procedures, as outlined
above, I recommend that the City Commission ratify the City
Manager's action pursuant to Resolution No. 78-69 of January 24,
1978, of executing an agreement with the firm of International
Patrol and Detective Agency, Inc. to provide Guard Services for
the Trade Fair of the Americas.

A( t:EMENT
THIS AGREEMENT, entered into this 25 day of
1978, by and between the City of Miaftii, a municipal corporation
of the State of Florida, hereinafter referred to as "The City"
and International Patrol and Detective Agency, Inc., hereinafter
referred to as "The Agency",
WITNESSETH:
WHEREAS, the Commission of the City of Miami, Florida, by
Ordinance No. 8656 passed and adopted on May 19, 1977, amending
ordinance No. 8589, as amended, the appropriation ordinance for
fiscal year 1976-77, providing for the creation of a fund entitled:
"Latin American Trade Exhibition Trust and Agency Fund" and making
a total appropriation toward said fund in the amount of $1,069.00,
and
WHEREAS, the Commission of the City of Miami, Florida, by
Resolution No. 78-69, passed and adopted on January 24, 1978,
authorized the City Manager to enter into contracts pertaining
to construction, security and other activities of the Trade Fair
of the Americas, to be ratified by Commission action at a later
date, and
WHEREAS, the City of Miami advertised for proposals for
supplying guard service at the Trade Fair of the Americas, and
WHEREAS, six (6) bids were received, and the lowest responsible
bider was International Patrol and Detective Agency, Inc.
NOW, THEREFORE, in consideration of the covenants and affir-
mations as herein set forth, the parties mutually agree as follows:
I. TERM
A. The term of this Agreement shall be from February 23,
1978, through March 24, 1978.
B. The City shall have the right to terminate this
Agreement without cause upon twenty-four (24) hour
notice, without obligation to either party,

I I = CONSIDERATION
As consideration for the performance of the services by the
Agency, as herein described, the City agrees to compensate
the Agency as follows:
Security Officers = $4.85 per person per hour

The Agency agrees to provide personnel at the Trade Fair
of the Americas and all attendant affairs under the terms
and conditions hereinafter described from February 23,
1978 through March 24, 1978.
For the specified consideration rate, the Agency agrees
to provide up to twenty five (25) security guards at any
given time as determined by the Trade Fair Management.
The Agency agrees to provide sufficient supervisory per-
sonnel and one (1) vehicle equipped with communications
capable of communicating with on duty personnel, at no cost
to the City of Miami.
The Agency agrees to provide each security guard on duty
with all equipment necessary for communication throughout
the Trade Fair building and adjacent parking lots.
The number of security personnel to be provided by the
Agency shall be determined by the Trade Fair Management,
and as specified by him to the Agency at least 24 hours
prior to the daily opening time if two or less will be
required and 3 days prior if three or more will be required.
THE AGENCY COVENANTS AND AGREES:

That all personnel furnished under the terms of this Agree-
ment shall be eighteen (18) years of age or older, and shall
be well-groomed, neat, clean, and courteous at all times.
That all personnel furnished under the terms of this Agree-
ment shall be furnished uniforms by the Agency, including

Agency, as herein described, the City agrees to compensate

III. SERVICES PROVIDED

IV. THE AGENCY COVENANTS AND AGREES:
A. That all personnel furnished under the terms of this Agree-

be as approved by the City Manager, of his authorized
representative,
C. That all personnel furnished under the terms of this
Agreement shall report for work as specified by the Trade
Pair Management and remain until released by the Trade
Fair Management.
D. That all personnel furnished under the terms of this
Agreement shall be full-time Agency employees who are
trained and experienced in security, crowd -control, and
communications.
E. To provide to the Trade Fair Management daily, a typed
listing of the names of all personnel furnished by Agency
for that day, with each person's signature affixed either
beside or above his typed name. Said signed listing will
be required before payment will be made by the City to
Agency for that event.
To have supervisory personnel available for any and all
planning discussions which may be reasonably required prior
to any event, at the Agency expense.
G. To have supervisory personnel assigned to each event regu-
larly meet with the Trade Fair Management, to coordinate
event security activities.
H. To provide the Fair Manager with one (1) handy talkie
capable of communications directly with the Agency's per-
sonnel, for use in the Trade Fair Command Station.
I. To obtain necessary licenses prior to the execution of this
Agreement, and to comply with all City, County, State, and
Federal rules, regulations, and laws now in force or here-
after adopted.
J. That all personnel furnished under the terms of this Agree-
ment shall be covered by Workmen's Compensation; Unemploy-
ment Compensation; and liability insurance as approved by

the City Insurance Manager and copy of which is pro-
vided to the Insurance Manager for file, The public
Liability insurance policy shall be in the amount of
$500,000 per occupance.
K. To post a performance bond of $5,000 with the City
Clerk of the City for the terms of this Agreement, said
bond to be held for reimbursement or payment of any loss
incurred by the City by virtue of Agency's failure to
comply with any of the terms or conditions of this Agree-
ment.
That services to be performed by the Agency under the terms
and conditions of this Agreement must be performed and main
tained to standars established by the Fair Management.
That the Fair Management reserves the right and authority
to prescribe in writing any additional rules and regula-
tions pertaining to security.
Not to, at any time during the term of this Agreement,
sublet or assign any portion or part of the Agreement, ex-
cept upon written permission of the City Manager or his
designee.
0. To indemnify and save harmless the City against any and
all claims, suits, actions, damages or causes of action
arising during the term of this Agreement, for any per-
sonal injury, loss of life, or damage to property sustained
in or on City property by reason of the Agency or Agency
employee occupancy, use, activities, and operations there-
on except if caused by or occurring as a result of the ne-
gligence of the City, its employees, its agents, or its
representatives and from and against all costs, attorney's
fees, expenses, and liabilities incurred in the defense
of any such claim or investigation thereof.
That there shall he no discrimination as to race, color,
creed, or national origin in connection with the perform-
mance of its responsibilities under this Agreement,

that the Agency shall obtain public liability insurance
of $S00,000 per occurrence for bodily injury within 48

required insurance in force during the life of this con-
contract, No modification or change in insurance shall
be made without thirty (30) days advance written notice
to the City through its Property or insurance Manager.
The policy and the insurance carrier must be acceptable
to the City Insurance Manager and a copy of the insurance
policy shall be filed with the City Clerk of the City be-
fore this contract is approved.
!hat in the event it is deemed necessary for the City to
tile a law suit in the appropriate court of law to en-
force any of the terms and conditions of this Agreement
or to require the Agency to perform any of the covenants
and conditions as provided herein, then the Agency agrees
that it shall pay to the City reasonable attorney's fees.
The Agency agrees to make available to the City or other
government agencies personnel files on all employees assig-
ned to work at the Trade Fair of the Americas.
V. CITY COVENANTS AND AGREES:
A. To make payments to the Agency in accordance with the
specified consideration rate, within twenty (20) days
after receipt of an invoice and properly executed listing
of personnel utilized at an event.
VI. BINDING ON SUCCESSORS:
This agreement shall be binding upon the City and the
Agency, their successors and assigns, and they shall abide
by each of the terms and conditions thereof.

The City of Miatni is seeking to contact a guard setvice
with experience to Work with the Pair Mannager during the trade
Pair of the Americas which will be held at Mani Expo/Center,
777 N.W. 72nd Stteet, Miami, Florida, the requited service is
from February 23rd through March 24, 1978.
Bids ate requested on a per tan 24 hour basis.
Some Spanish/English guards will be required.
Portable radios that will function inside and outside of
Fair Building are required.
Firms must submit roster of personnel to be used.
Interested firms must have had extensive experience in
servicing trade shows.

The City of Miami is seeking to contact a guard service
