F1912 BETWEEN FLORIDA COMMUNITIES TRUST AND CITY OF MIAMI This Amendment to Agreement No. F1912 (Agreement) is made by and between the Florida Communities Trust (FCT), a non -regulatory agency and instrumentality within the State of Florida, Department of Environmental Protection (Department), and the City of Miami, a Florida local government (Recipient). WHEREAS, FCT entered into the Agreement with the Recipient to set forth the terms and conditions that must be satisfied by the Recipient prior to the disbursement of any FCT Florida Forever Funds, specify the restrictions imposed on the Project Site, and establish the site management requirements for the Project Site after its acquisition. WHEREAS, the parties wish to amend the Agreement effective on April 26, 2023 as set forth herein to provide a one year extension of the project Period of Agreement from October 27, 2024 to October 27, 2025, and WHEREAS, the Project Plan has been delayed by extenuating circumstances involving complex negotiations with a number of interested parties, and WHEREAS, the Recipient has demonstrated the ability and willingness to perform under the terms of this Agreement. NOW THEREFORE, the Parties mutually agree as follows: Section I of the Agreement is amended to extend the project Period of Agreement to October 27, 2025. The FCT and the Recipient agree to perform their respective duties during this extended period pursuant to the same terms and conditions provided in the Agreement. All other terms and conditions of the Agreement remain in effect. If and to the extent that any inconsistencies may appear between the Agreement and this this Amendment, the provisions of this Amendment shall control. This Amendment may be executed in counterparts, and electronically, each of which all deemed to be an original but all of which taken together shall constitute one and the same amendment.
