DONATION AGREEMENT BETWEEN THE OMNI COMMUNITY
REDEVELOPMENT AGENCY AND 14TH STREET DEVELOPMENT, LLC
This Donation Agreement is entered into this 30th day of August 2024 by and between
the OMNI COMMUNITY REDEVELOPMENT AGENCY (the "CRA"), and 14th STREET
DEVELOPMENT LLC, a Florida limited liability company, (the "Donor").
1. The Donor does hereby donate to OMNI CRA (the "CRA"), the following described
property and survey sketch attached hereto and made a part hereof, Exhibit "A":
The North 20 feet of Lot 10, in Block 16, LESS the WEST 10 feet
thereof and also LESS the 8.5 feet thereof, "North Miami" (also
known as Robbins, Graham and Chillingworth Subdivision)
according to the Plat thereof, as recorded in Plat Book "A" at Page
49 1/2, of the Public Records of Miami -Dade County, Florida
(hereinafter the "Donated Property") (for informational purposes
only: land contains 1,623 square feet or 0.037 acres, more or less.)
2. The donation is made to the CRA voluntarily, without any payment or contribution
by the CRA, and without any restrictions or conditions as to the use of the Donated Property by
the CRA. The CRA accepted the donation via authorizing Resolution, CRA-R-24-0012, attached
hereto and a made a part hereof, Exhibit "B."
3. Donor understands that this donation may enable Donor to claim a deduction for
purposes of federal income tax but recognizes that Donor must contact his or her own tax attorney
or accountant for matters regarding entitlement to the deduction, record keeping requirements, and
limitations on the amount of any tax deduction, as well as related issues.
4. The CRA shall utilize the donation solely for purposes associated with the operation
of the CRA as authorized by the provisions of Florida law applicable to the CRA.
5. The Donor hereby represents and warrants to the CRA that: (a) it is lawfully seized
and possessed of the Donated Property, and owns the Donated Property free and clear without any
encumbrances, liens or security interests; (b) it has good and lawful right to enter

into this donation agreement and donate the Donated Property to the CRA; and (c) all applicable
corporate, partnership, trust or other required authorizations, approvals or consents have been
obtained and no other authorizations, approvals or consents are required to effectuate Donor's
execution and delivery of this donation agreement.
IN WITNESS WHEREOF the parties have caused these presents to be executed on the day
first above written.

A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI REDEVELOPMENT
DISTRICT COMMUNITY REDEVELOPMENT AGENCY ("CRA"), WITH ATTACHMENT(S),
AUTHORIZING THE EXECUTIVE DIRECTOR TO NEGOTIATE AND EXECUTE, IN A FORM
ACCEPTABLE TO THE GENERAL COUNSEL, ANY AND ALL DOCUMENTS NECESSARY TO
EFFECTUATE THE ACCEPTANCE OF THE DONATION OF A PORTION OF LAND GENERALLY

WHEREAS, the Omni Redevelopment District Community Redevelopment Agency ("CRA") is a
community redevelopment agency created pursuant to Chapter 163, Florida Statutes, and is responsible for
carrying out community redevelopment activities and projects within its redevelopment area in accordance with
the 2010 OMNI Community Redevelopment Agency Redevelopment Plan ("Plan"); and
WHEREAS, Florida Statute Section 163.370 allows a community redevelopment agency to acquire
property by purchase, lease, option, gift, grant, bequest, devise, or other voluntary method of acquisition; and
WHEREAS, the Property is currently owned by 14th Street Development, LLC, a Florida limited liability
company ("Donee"); and
WHEREAS, the Property consists of a portion of land generally located at 1441 North Miami Avenue,
located adjacent to the CRA office at 1401 North Miami Avenue as more particularly described in Exhibit "A,"
attached and incorporated; and
WHEREAS, the CRA, in an effort to meet its goals, objectives, and strategies desires to accept the
donation of the property, more particularly described in Exhibit "A," which is attached hereto, from 14th Street
Development, LLC, a Florida limited liability company, in order to continue and strengthen the overall purpose
and initiatives of the CRA; and

WHEREAS, it is in the best interests of the CRA for the CRA Board of Commissioners to authorize the
Executive Director to negotiate and execute, in a form acceptable to the General Counsel, any and all
documents necessary, and amendments thereto to effectuate the acceptance of the donation of the Property
from the Donee, for the use of the Property by the CRA; and
WHEREAS, The CRA's Board of Commissioners finds that this Resolution is consistent with the
provisions of Part III, Chapter 163, Florida Statutes, the goals, objectives, and strategies as contained in the
Plan;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY:
Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby
adopted by reference thereto and incorporated herein as if fully set forth in this Section.
Section 2. The Executive Director is authorized to take any and all action necessary to
negotiate and execute, in a form acceptable to the General Counsel, any and all documents necessary to
effectuate the acceptance of the donation of the Property from the Donee, for the use of the Property by the
CRA.
Section 3. This Resolution shall become effective immediately upon its adoption.
