As used in this Agreement, the Party disclosing Confidential Information is the "Disclosing Party" and the Party, inclusive of any subcontractors, receiving Confidential Information is the "Receiving Party." WHEREAS, the entities described above (the "Parties"), acknowledge herein that they mutually desire to enter into open discussions with respect to a potential and mutually beneficial business relationship (the "Purpose). WHEREAS, the Parties acknowledge that certain Confidential Information (as hereinafter defined) may be shared between the Parties and its Representatives, and the Parties have each agreed to disclose or otherwise make available certain data or information to the other. For purposes hereof, "Representatives" shall mean a Party, their directors, officers, members, partners, agents, employees, consultants, subcontractors, accountants, attorneys and advisors in connection with the Purpose under this Agreement; and WHEREAS, it is the intent of the Parties to protect the data or information that is disclosed, but not to obligate disclosure of any data or information, subject at all times to Florida's Public Records Law. NOW THEREFORE, in exchange for the mutual promises to maintain all information shared herein proprietary, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby promise and agree to observe and abide by all the provisions and conditions of this Agreement. 1. Confidential Information 1.1. For purposes of this Agreement, Confidential Information shall mean information and material disclosed by the City related to cybersecurity and/or City residents, which is not otherwise available to the public, including, but not limited to: (a) the City's cybersecurity methods, policies, processes, procedures, strategies, vulnerabilities, operational information and reports, compliance and SOC reports, strategies and techniques, services, product designs or specifications, computer software programs (object and source code), inventions, or knowledge or processes of, used or developed by the City and/or its agents related to cybersecurity; (b) any names and addresses of individuals or entities involved in cybersecurity efforts, any data on or relating to past, present or prospective cybersecurity measures, and any existing contracts or contracts with, or under negotiation with, cybersecurity service providers or other consultants; 1 UDT Confidential Copyright UDT, Inc. 2017 All Rights Reserved Non -Disclosure Agreement �UDT ACCOMPLISH MORE (c) any other Confidential Information (business or technical) relating to or dealing with the business operations or activities of the City and/or its residents or agents related to cybersecurity; (d) information made known to the Receiving Party or learned or acquired by Receiving Party as a result of this Agreement, which is not generally known to others outside the Parties and not being readily ascertainable by proper means by other persons who can obtain value or exploit vulnerabilities from its use. 1.2. Subject to Chapter 119, Florida Statutes and Article I, Section 24 of the Florida Constitution, the Receiving Party shall take reasonable measures to protect the Confidential Information by using the same degree of care, but no less than a reasonable degree of care, to prevent the unauthorized use, dissemination or publication of the Confidential Information as the Receiving Party uses to protect its own Confidential Information of like nature. 2. Non -Disclosure During the course of our communications, dealings, interactions and/or engagement, and at all times thereafter, the Receiving Party, subject to Chapter 119, Florida Statutes and Article I, Section 24 of the Florida Constitution, shall not disclose, communicate or divulge to, or use for its personal benefit or the direct or indirect benefit of any person, firm, association or company other than the City, any Confidential Information of or regarding the City or any Confidential Information of others that has come into the possession of the Receiving Party (such as, information from employees, users or vendors of the City) during our communications and/or interactions, except as authorized or directed in writing by the City or as otherwise required by law. UDT shall prominently label any information that they believe is confidential and exempt from public disclosure requirements under Florida law, if provided to the City. 3. Return of Materials Subject to Chapter 119, Florida Statutes and Article I, Section 24 of the Florida Constitution, upon the request of the City, and, in any event, upon termination of the communications and/or interactions, for any reason, all materials, memoranda, notes, records, flow charts, designs, manuals, disks, communication devices and other documents, equipment and media pertaining to the City's Confidential Information or Confidential Information of others, including copies thereof, shall be returned to the City. 4. Ownership All Confidential Information and any other information, including discoveries, designs, processes, improvements, copyrightable material, trade secret, documents, drawings, specifications, prototypes, samples, and the like, discovered or created by the City and received under this Agreement by the Receiving Party shall remain the property of the City. Nothing in this Agreement may be construed as granting to a Party any license, either express or implied, to any patent, copyright, trade secret, data, or other intellectual property now or at any time owned, obtained, or licensable by the other Party. 2 UDT Confidential Copyright UDT, Inc. 2017 All Rights Reserved Non -Disclosure Agreement �UDT ACCOMPLISH MORE 5. Term This Agreement shall be effective from the Effective Date and shall remain in effect for a period of three (3) years. Notwithstanding the foregoing, all obligations of the Parties under this Agreement shall survive the termination of this Agreement with respect to the Confidential Information disclosed between the Parties prior to termination of this Agreement. 6. Notification to the Company of Attempts to Obtain Confidential Information In the event the Receiving Party is required, by oral questions, interrogatories, requests for information or documents, subpoena, civil investigative demand or similar process, to disclose any Confidential Information, the Receiving Party shall provide the City with prompt notice thereof so the City may seek an appropriate protective order and/or waive compliance with the provisions of this Agreement. 7. Remedies for Breach of this Agreement The Parties hereby acknowledge that the disclosure of any Confidential Information or breach of any of the covenants contained herein will give rise to irreparable injury to the other Party or its clients, inadequately compensable in damages. Accordingly, the Parties agree that in the event of any breach of this Agreement or threatened breach of the foregoing undertakings, the City shall have the right to an injunction, specific performance or other equitable relief, in addition to any other remedies which may be available. 8. Governing Law/Selection of Forum and Venue This Agreement shall be governed by and construed in accordance with the laws of the State of Florida and each of the Parties to this Agreement hereby submits to the exclusive jurisdiction of any state or federal court sitting in Miami -Dade County, Florida, and agree that all claims in respect of the action or proceeding may be heard and determined by any such court. Each Party shall bear its own costs and attorney's fees. 9. Miscellaneous The failure of either Party at any time to enforce any right or remedy available to it under this Agreement or otherwise with respect to any breach or failure by the other Party shall not be construed to be a waiver of such right or remedy with respect to any other breach or failure by said Party. If any provision of this Agreement shall be invalid or unenforceable, such invalidity or unenforceability shall not invalidate or render unenforceable the entire Agreement, but rather the entire Agreement shall be construed as if not containing the particular invalid or unenforceable provision or provisions. No revision, modification or change to this Agreement whatsoever shall be claimed or become valid unless it is in writing and executed by the Parties to be charged. This Agreement contains the entire agreement between the Parties relating to the subject matter hereof. 10. Signatures This Agreement may be executed by the Parties in counterparts which together shall constitute one and the same agreement among the Parties. A facsimile signature and/or electronic signature shall constitute an original signature for all intent and purposes. Insurance All required insurance, as approved by the City of Miami Department of Risk Management for this Agreement are attached and incorporated herein as Exhibit "A". All insurance shall be provided by UDT and all such proof shall be attached as an Exhibit to this Agreement. UDT shall, at all times during the term hereof, maintain insurance coverage in accordance with Exhibit "A" attached and incorporated by this reference. 12. Notices Notices required under the Agreement shall be deemed to be given when hand -delivered (with receipt therefore) or mailed by registered or certified mail, postage prepaid, return receipt requested to the individuals listed below. UDT understands that the public shall have access, at all reasonable times, to all documents and information pertaining to City contracts, subject to the provisions of Chapter 119, Florida Statutes, and agrees to allow access by the City and the public to all documents subject to disclosure under applicable law. UDT's failure or refusal to comply with the provisions of this Section shall result in the immediate cancellation of this Agreement by the City. UDT shall additionally comply with the provisions of Section 119.0701, Florida Statutes, entitled "Contracts; public records", as may be applicable, which statute is deemed as being incorporated by reference herein. B. Should UDT determine to dispute any public access provision required by Florida Statutes, UDT shall do so in accordance with applicable Florida law, and shall do so at its own cost and expense. UDT agrees to indemnify, hold harmless, and defend at its own cost and expense, the City, its officers, officials, and employees (collectively "Indemnitees"), from and against, any and all claims, lawsuits, liabilities, damages, demands, judgments, costs and expenses, including reasonable attorney's fees, (collectively "Liabilities") arising from or relating to any public records lawsuit or other legal action initiated in connection with the public records request in which UDT has either (i) failed to disclose the requested information or (ii) indicated its intention to seek to prevent disclosure.
