A RESOLUTION AUTHORIZING THE CITYMANAGER
TO EXECUTE THE ATTACHED LEASE AGREEMENT
WITH MIAMI INTERNATIONAL MERCHANDISE MART,
INC. AND THE CITY FOR THE LEASE OF THE
MIAMI EXPO CENTER, IN ACCORDANCE WITH THE
TERMS AND CONDITIONS SET FORTH IN SAID
AGREEMENT.
BE IT RESOLVED EY THE COMMISSION OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The City Manager is hereby authorized
to execute the attached Lease Agreement with Miami International
Merchandise Mart, Inc., and the City for the lease of the MIAMI
EXPO CENTER, in accordance with the terms and conditions set
forth in said agreement.

i•IIFRE?S, the CITY has agreed to provide exhibition facil-
ities for certain member countries of the Organization of
Ai:crican States and certain commercial enterprises sponsored
b',', those countries, or b.; the Tenant (collectively, the
"Exhibitors"), for the presentation of the Trade Fair of the
Americas (the "Trade Fair") in *Miami, Florida, from February
23, 197:., to March 24, 1978; and
WHEREAS, the CITY desires to lease certain exhibition
facilities (the "Facilities") which are now under construction
at the Miami Expo/Center., and which are shown on the floor
plan attached to this Agreement as Schedule "A", in order to
make them available to the Exhibitors for the purpose of pre-
senting the Trade Fair; and
WIIERFAS, the MART is the general manager for the owner
of the Facilities, and in that capacity, the Mart is autho-
rized to enter this Agreement; and
WHEREAS, the MART is willing to enter this Agreement, upon
Lhe condition that the CITY shall hear full control over and
responsibility for the safety and security of the Facilities

Facilities during the terns of the lease, and in consideration
of the benefits i t expects to receive from extensive advertis-
ing, publicity, and promotion relating to the use of the

1. PPF"IEES. Landlord leases to Tenant those portions
of ;he Miami Expo/Center exhibition complex, located at
777 :;.I. 72nd Avenue, Miami, Florida, 33126, which are set
forth in the floor plan attached hereto as Exhibit "A" and
made a part hereof, together with a nonexclusive license to
Tenant to use the parincr facilities at the complex (the fore-
coino exhibition and parkins facilities are hereinafter
re: err•:d to as the "Premises") . Landlord shall furnish the

head lighting and air conditioning during the hours of 8:00 a.m.
until 12:00 midnight for the term of this Agreement; and the
Landlord shall furnish janitorial services for the common areas
of the Premises, including the parking areas. Landlord shall
use his best efforts to furnish at all times during the Trade
Fair the foregoing services to Tenant. Tenant acknowledges that
the Landlord is not obligated to provide any other services what-
soever to Tenant under this Agreement, including without limi-
tation ariy security, custodial, or maintenance services, or
any casual labor or utility services for individual exhibits,
and that Lan'.11ord shall be responsible to Tenant only to the

In order to induce Landlord to execute this Agreement, Tenant
hereby .warrants, covenants and represents to Landlord as
follows, and agrees that all representations, covenants, and
warranties shall survive the termination or expiration of
this Agreement:
(a) Use of Premises. Tenant shall sublet the
Premises to certain member countries of Organization of
American States and certain commercial enterprises sponsored
by those countries, or by the Tenant (the "Exhibitors"), for
the purr'o5e of holding the Trade Fair of the Americas (the
"Trade Pair") from 'larch 8-19, 1978. Tenant shall not use
the Premise':, or permit, suffer or cause the use of the
Premises, for any purpose other than the exhibition of, and
the solicitation and writing of orders for, produce, goods
and
merchandise, and the serving of food and beverages to
exhibitors and persons attending the Trade Fair;

(i1) 'laintcnance of Premises. Tenant shall keep
the Premises, incluc.ing without limitation thereto, the
interior- of all buildings and all fixtures therein an(: the
interior walls, floors, ceilings, plumbing, pipes, and
cooling eduipment, all glass, all outside paving, fencing,
parking ,feas, slid landscaping and all other outside fixtures
and edui,)i ent, signs and displays occupied or used in connec-
tion with the Trade Fair, in good order and repair, and in
a clean, safe and sanitary condition. Tenant shall, at its own
expense, supervise, and provide, or pa_: Landlord to provide,
janitorial and custodial services for the Premises and any
other labor necessary for the upkeep of the Premises;
(h) Surrender of Premises. Promptly upon the
expiration or termination of this Agreement, Tenant shall
surrender the Premises to the Landlord, and shall remove all
proi:. rt'_• of Tenant and all Exhibitors;
(i) Alterations, Permission. Tenant shall not
allow any motorized vehicle or any animal upon the Premises,
except ':'ith the prior written approval of Landlord; Tenant
shall Make no alterations, changes, additions, or structural
or cosmetic changes to the Premises or any part thereof,
without the prior written approval of the Landlord, provided,
however, that this restriction shall not apply to forklifts and
other similar equipment which: (i) is necessary and appropriate
to enable the 'Tenant to set up the first floor of the Premises;

11. INDEMNITY. The Tenant hereby agrees to release,
indemnify, hold harmless, and defend Landlord, Metropolitan
Life Insurance Company, and their present and former direc-
tors, shareholders, officers, agents, affiliated and sub-
sidiary corporations, and their respective attorneys,
directors, shareholders, officers, employees and agents, and
their respective successors, and assigns (herein collec-
tively called the "Indemnitees") of and from any and all
claims, demands, actions, suits, causes of action, obliga-
tions, controversies, debts, costs, expenses, damages,
judgments, losses and liabilities of whatever kind or nature,
in law, equity or otherwise, including reasonable counsel
fees for trial and appellate matters, arising out of or in
connection with:
(a) The breach of any covenant, representation, or
warrant.: :;acre by Tenant in this Agreement or by any Exhibitor
in any sublicense agreement; or
(b) Any attendance or use whatsoever, whether law-
ful or unlawful, foreseeable or unforeseeable, and whether
or not negligent, malicious, or otherwise, of the property and

Agreement.
13. ATTORNEYS' FEES. In connection with any action
seeking enforcement of all or any part of this Agreement, or
any other lease or license agreement entered into in connec-
tion with this Agreement, the prevailing party shall Le
entitled to collect reasonable attorneys' fees, including
all reasonable attorneys' fees for appellate proceedings.
14. LANDLO:?D' S ADDITIONAL COVENANTS. Landlord hereby
warrants, covenants and represents to Tenant that Landlord
shall strictly comply with all the terms, provisions and
conditions of this Agreement, and Landlord agrees that
such covenant shall survive the termination or expiration
of. this Agreement.
15. ENTIRE AGREEMENT. This Agreement constitutes the
entire agreement between the parties and supersedes any and
all other leases or licenses, whetter written or oral,
entered into by the parties in connection with the Premises.
No waiver, alteration or modification of this Agreement or
any covenant, representation, warranty, condition or limi-
tation contained herein shall be valid, unless contained in
a writing duly executed by the parties hereto.

Execution of Lease Agreement
for Use of Miami Expo Center
for the Trade Fair of the
Americas
Last year, when it was determined that the Dinner Key Auditorium
could not be available for the Trade Fair due to the construction
schedule, new sites were explored. The Miami International Mer-
chandise Mart, Inc. offered its new Miami Expo/Center as one of
the sites for consideration. After reviewing a number of sites,
the Miami Expo/Center location was accepted.
The attached agreement with its schedules is the culmination of
a series of conferences with the Miami International Merchandise
Mart, Inc. representatives and their attorneys and the City's
personnel, and reflect.,, the protection necessary for the interests
of both parties. Any costs to be incurred are a part of the Trade
Fair budget.
I recommend that the resolution authorizing the Manager to execute
this lease agreement be presented to the City Commission for
adoption.
