AND THE CITY FOR THE LEASE OF THE MIAMI EXPO CENTER, IN ACCORDANCE WITH THE TERMS AND CONDITIONS SET FORTH IN SAID AGREEMENT. BE IT RESOLVED EY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The City Manager is hereby authorized to execute the attached Lease Agreement with Miami International Merchandise Mart, Inc., and the City for the lease of the MIAMI EXPO CENTER, in accordance with the terms and conditions set forth in said agreement. Landlord hereby warrants, covenants and represents to Tenant that Landlord shall strictly comply with all the terms, provisions and conditions of this Agreement, and Landlord agrees that such covenant shall survive the termination or expiration of. this Agreement. 15. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties and supersedes any and all other leases or licenses, whetter written or oral, entered into by the parties in connection with the Premises. Crumpton Assistant City Manager JAN 5 1977 Execution of Lease Agreement for Use of Miami Expo Center for the Trade Fair of the Americas Last year, when it was determined that the Dinner Key Auditorium could not be available for the Trade Fair due to the construction schedule, new sites were explored. The Miami International Mer- chandise Mart, Inc. offered its new Miami Expo/Center as one of the sites for consideration. After reviewing a number of sites, the Miami Expo/Center location was accepted. The attached agreement with its schedules is the culmination of a series of conferences with the Miami International Merchandise Mart, Inc. representatives and their attorneys and the City's personnel, and reflect.,, the protection necessary for the interests of both parties. Any costs to be incurred are a part of the Trade Fair budget. I recommend that the resolution authorizing the Manager to execute this lease agreement be presented to the City Commission for adoption.
