City Clerk RESOLUTION NO. 54/2025 A RESOLUTION OF THE DOWNTOWN DEVELOPMENT AUTHORITY OF THE CITY OF MIAMI, FLORIDA ("MIAMI DDA"), SUPPORTING THE PROPOSED TRANSFER OF THE OLYMPIA THEATER TO SPORTS LEADERSHIP AND MANAGEMENT, INC., (SLAM ACADEMY) A FLORIDA NOT -FOR -PROFIT CORPORATION, WITH THE CONDITION THAT CERTAIN PUBLIC BENEFITS ARE PROVIDED TO THE COMMUNITY; DIRECTING THE CEO/EXECUTIVE DIRECTOR OF THE MIAMI DDA TO TRANSMIT THIS RESOLUTION TO CITY OF MIAMI ("CITY") OFFICIALS. WHEREAS, on July 24, 1975, the Maurice Gusman Cultural Center for the Performing Arts, Inc., a Florida not -for -profit corporation, conveyed, via Special Warranty Deed, to the City of Miami ("City") the property known as the Olympia Theater, located at 174 East Flagler Street, Miami, Florida, and more particularly described in Exhibit "A," attached and incorporated, consisting of the theater and a contiguous ten -story building (the "Olympia Theater" or "Property"); and WHEREAS, the Olympia Theater is a unique landmark building that opened in 1926 as a silent movie palace, later serving as a theater hosting many significant acts in Miami's history, and in 1984 was added to the National Register of Historic Places; and WHEREAS, over the decades, the Olympia Theater has been an important part of the City's history and one worth preserving, restoring, and returning to its original glory, but has fallen into disrepair, and WHEREAS, the City proposes entering into a Purchase and Sale Agreement ("Agreement") and transfer the Property by way of a Quitclaim Deed ("Deed") to Sports Leadership and Management, Inc., a Florida Not -For -Profit Corporation ("SLAM Academy"); and WHEREAS, SLAM Academy is authorized pursuant to Section 1002.33, Florida Statutes to operate the charter school known as "Sports Leadership Arts Management Charter High School;" and WHEREAS, the Downtown Development Authority of' the City of Miami, Florida's ("Miami DDA") mission statement is "to grow, strengthen & promote the economic health and vitality of Downtown Miami"; and WHEREAS, the Miami DDA supports the conveyance to SLAM Academy, provided that the following are required from SLAM Academy: (i) a minimum of seats for the charter school will be reserved for urban -core families/students, (ii) Olympia Theater will remain historic and have programming available to the public; (iii) the charter school will create a partnership or shared opportunities with the Miami DDA's Arts Cultural and Entertainment Committee (ACE); (iv) the property reverts back to the City control if SLAM Academy does not maintain the Property or uses the Property for anything other than a public school and cultural events available to the public; (v) the current Miami DDA procured security cameras remain fully operational during construction and after completion of construction; (vi) the Miami DDA's current Permit Clinic operating out of Olympia Theater building ground floor remain there or is relocated in a comparable space, square footage (same or bigger), location, accommodations, and price assisted by SLAM Academy; and (vii) the school creates and implements a quality of life operation plan to address traffic operations impact; (viii) ) a minimum of seats or discounts for event held at the Olympia Theater, and 18 0 Slo bm 1 H,a4 - Coi,»- 66A I'lu Sol.A,rvi fJD. 5y 2.�zS Subiiiitted into the public record tor ►o l(s) p on 01,75123, _ . City Clerk WHEREAS, the Miami DDA finds it in the best interest of the Miami DDA to support the proposed conveyance of the Olympia Theater to SLAM Academy and propose that the City Commission require certain public benefits to the community; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE DOWNTOWN DEVELOPMENT AUTHORITY OF THE CITY OF MIAMI, FLORIDA: Section l: The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The CEO/Executive Director is hereby directed to transmit this Resolution to all City Commissioners, the City Clerk, and the City Manager to express the Miami DDA's requirements for support of the Olympia Theater conveyance to SLAM Academy. Section 3. This Resolution shall become effective immediately upon its adoption. PASSED AND ADOPT ehi 25th day of July 2025.
