This Funding Acceptance and Acknowledgement (the "Acceptance"), made and
executed on this _day of , 2025 (the "Effective Date"), by the City of Miami, a
municipal corporation of the State of Florida whose principal address is 444 SW 2"d Avenue,
Miami, Florida ("City"), declares as follows:
WITNESSETH:
NOW THEREFORE AND IN CONSIDERATION of the allocation and
conditions as described herein, the City hereby covenants as follows:
I. DESCRIPTION OF FUNDING; FUNDING PROJECT OF THE CITY
The total cost of the Project has been allocated not to exceed the amount of $150,000, including
a contingency allocation of up to $30,000. Upon City Commission approval, the City of Miami
Planning Department shall receive the allocated funding through the NRD-1 Public Benefits
Trust Fund and shall be responsible for managing and disbursing such funds related to the
engagement of consultants and related expenses. This MOU does not obligate either party to
financial contribution unless separately agreed in writing.
II. CITY COVENANTS RELATED TO WYNWOOD URBAN DESIGN
VISION PLAN ACCEPTANCE OF FUNDS
2. RESPONSIBILITIES OF THE PARTIES
A. Responsibilities of the City:
1. Serve as the lead agency project managing the development and execution of the
Wynwood Urban Design Vision Plan.
2. Procure and manage professional consultants through the City of Miami Planning
Services Pool of Contractors (Contract No. 19-20-001).
3. Monitor timelines and review and sign off deliverables.
4. Process invoices and make payments.
5. Provide access to relevant city -held data, zoning maps, and historical records.
6. Ensure that the Project complies with all ADA and public records requirements.
B. Responsibilities of the Wynwood BID:
1. Champion the Project and lead the consultants work in collaboration with the City.
2. Review and provide quality assurance of deliverables in collaboration with the City.
3. Serve as a key stakeholder and community liaison to facilitate outreach within the
Wynwood neighborhood.
4. Assist in promoting public engagement efforts, including workshops and visioning
sessions.
5. Provide feedback and recommendations on the draft design guidelines and proposed
zoning changes.
6. Share relevant data, studies, or materials that may support the analysis of neighborhood
character and design.
III. ENTIRE ACKNOWLEDGEMENT.
This Acceptance and the terms and covenants contained herein, embodies, and
constitutes the entire intention of the City concerning the funding involved, and all prior or
contemporaneous understandings, representations, and statements, oral or written, with
respect thereto are merged herein. The City agrees that there are no commitments, agreements,
or understandings concerning the subject matter of this Agreement, other than the express
covenants contained herein, and that the City shall use all reasonable efforts to effectuate the
same. The City Manager is authorized to amend or modify this Acceptance as needed on
behalf of the City and in accordance with these terms, subject to any applicable and/or
necessary City Commission approval.
