A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE EXECUTIVE DIRECTOR OF THE BAYFRONT PARK
MANAGEMENT TRUST ("TRUST") TO NEGOTIATE AND EXECUTE A REVOCABLE
LICENSE AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH
EXPOSHIPS, LLLP, FOR THE USE OF THE DOCK LOCATED AT CHOPIN PLAZA, A
DOCK OPERATED AND MAINTAINED BY THE TRUST.
WHEREAS, the City of Miami ("City") is the owner and the Bayfront Park Management
Trust ("Trust") is the manager and operator of the real property known as the Chopin Plaza
Dock located approximately at 301 Biscayne Boulevard, Miami, Florida ("Property"); and
WHEREAS, Expoships, LLLP, a Florida Corporation ("Licensee"), has been a consistent
and reliable user of the Property; and
WHEREAS, pursuant to Section 38-104 of the Code of the City of Miami, Florida, as
amended ("City Code"), the Trust is, at all times, subject to City Commission approval; and
WHEREAS, the use of the Property is provided in the form of the a Revocable License
Agreement ("License"), attached and incorporated as Exhibit "A"; and
WHEREAS, the License is not assignable, is not for a fixed term, and is revocable at -
will, for convenience, and without consent of the Licensee; and
WHEREAS, the License does not transfer any interest in real property, including any
leasehold interest in real property owned by the City; and
WHEREAS, the License permits only certain enumerated, specific, and listed permitted
uses and does not permit anything further;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as fully set forth in this Section.
Section 2. The Executive Director of the Trust is authorized' to negotiate and execute
the License, in a form acceptable to the City Attorney, between the Trust and the Licensee for
the use of the Property as a dock with the terms and conditions more particularly described in
the License, attached and incorporated as Exhibit "A."
1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
Section 3. This Resolution shall become effective immediately upon adoption.
