FLORIDA DEPARTMENT OF TRANSPORATION & THE CITY OF MIAMI
RIGHT-OF-WAY TRANSFER ACKNOWLEDGMENT
THIS ACKNOWLEDGMENT, made and entered into this day of
2025 by and between the STATE OF FLORIDA, DEPARTMENT OF TRANSPORTATION, an
agency of the State of Florida, hereinafter called the "DEPARTMENT", and the CITY OF MIAMI,
a municipal corporation of the State of Florida, hereinafter called the "CITY."
WITNESSETH
WHEREAS, the DEPARTMENT is undertaking a roadway project along State Road
90/US 41/SW 7 Street from east of SW 27th Avenue to west of SW 2nd within the CITY limits in
Miami -Dade County, Florida, designated as Item/Segment Number 447808-1 (the "Project"); and
WHEREAS, pursuant to the DEPARTMENT' S Project Resolution dated February 26,
2024, attached hereto as Exhibit "A," which is herein incorporated by reference, the line and
location of the abovementioned facility have been designated as part of the State Highway System;
and
WHEREAS, for purposes of the Project, the DEPARMENT requires certain right-of-way
from the CITY' S street system as further described in the attached Exhibit "B," which is herein
incorporated by reference (the "Parcel"); and
WHEREAS, pursuant to Section 335.02(1), Florida Statutes, the Department has the
authority to locate and designate certain transportation facilities as part of the State Highway
System, and any transportation facility when so located and designated shall become property of
the state and shall be under the jurisdiction and control of the DEPARTMENT; and
WHEREAS, pursuant to Section 337.29, Florida Statutes, title to all roads designated in
the State Highway System shall be in the state, and upon the vesting of title to any lands for
highway purposes in the state, local governmental entities shall forthwith issue a deed or right-of-
way map to the state covering such lands, which shall be duly recorded; and
NOW, THEREFORE, BE IT ACKNOWLEDGED, that the CITY acknowledges the
transfer of the Parcel to the DEPARTMENT by operation of law, subject to plat dedications and
restrictions of record, if any; and
BE IT FURTHER ACKNOWLEDGED, that the transfer of the Parcel shall be confirmed
by the CITY's issuance and recording of the Right -of -Way Map in the Public Records of Miami -
Dade County, Florida attached hereto as Exhibit "C", as approved by City Resolution #
, attached hereto as Exhibit "D".

PROJECT RESOLUTION
FOR STATE HIGHWAY SYSTEM PROJECTS
WHEREAS, pursuant to Chapters 334 through 339 and Chapters 73 and 74, Florida Statutes, as
amended, the State of Florida, Department of Transportation ("Department") has authority to locate and
designate certain transportation facilities as a part of the State Highway System and construct and maintain
the same with funds which are now or which may hereafter become available to the Department; and
WHEREAS, pursuant to Chapters 334 through 339 and Chapters 73 and 74, Florida Statutes, as
amended, the Department has the power and duty to coordinate the planning of a safe, viable, and balanced
state transportation system and to assure the compatibility of all components, and to cooperate with and
assist local governments in the development of a statewide transportation system and in the development
of the individual components of the system; and
WHEREAS, pursuant to Chapters 334 through 339 and Chapters 73 and 74, Florida Statutes, as
amended, the highway authorities of the state, counties, cities, towns, and villages, acting alone or in
cooperation with each other or with any federal, state, or local agency of any other state having authority to
participate in the construction and maintenance of transportation facilities, are authorized to designate,
provide, and regulate limited access facilities; and
WHEREAS, pursuant to Chapters 334 through 339 and Chapters 73 and 74, Florida Statutes, as
amended, the Department has the power of eminent domain to acquire all property or property rights which
it may determine are necessary to the performance of its duties and the execution of its powers, including,
but not limited to, all necessary lands and property, for the purpose of securing and utilizing transportation
rights -of -way for existing, proposed, or anticipated transportation facilities on the State Highway System or
in a transportation corridor designated by the Department; and may enter into agreements with a county or
other governmental entity to provide for the Department to acquire rights -of -way for the county or other
governmental entity; and
WHEREAS, pursuant to Section 337.27, Florida Statutes, the Secretary of Transportation has
delegated the authority to execute eminent domain resolutions to the Chief Administrative Officer of the
District in which the property is located; and
WHEREAS, the property to be acquired hereunder is located in District Six of the Department; and
WHEREAS, Stacy L. Miller, P.E. is the Chief Administrative Officer of said District; and
WHEREAS, the Department has bifurcated its eminent domain resolutions into two types of
resolutions; the Project Resolution, authorizing acquisition of property and property rights for the
transportation facility, and the Parcel Resolution, authorizing the parcel acquisition and identifying the
specific property and property rights to be acquired for the transportation facility; and
WHEREAS, the Department has a project to include the following transportation corridors for
Item/Segment Number 447808-1:
• a part of SR 90 / US-41 / SW 7th Street from East of SW 27th Avenue to West of SW 2nd Avenue;
• a part of 4th Avenue from SW 7th Street to North of SW 6th Street, which is part of the City of Miami's
street system; and
• a part of 3rd Avenue from SW 7th Street to North of SW 6th Street, which is part of the City of Miami's
street system; and

WHEREAS, the Department has prepared parcel sketches and legal descriptions depicting the
parcels the Department has identified as necessary to be acquired for the project within said transportation
corridors; and
WHEREAS, the City of Miami has entered into an agreement with the Department that provides,
among other things, that the Department is to acquire rights -of -way on its behalf for Item/Segment Number
447808-1 within the above -mentioned respective corridors; and
WHEREAS, the Department anticipates revising the parcel sketches and legal descriptions and adding
parcel sketches and legal descriptions to reflect changes that may occur within the area between the two
geographic points (beginning and end points) of each of the transportation corridors. The two geographic points
for each transportation corridor will remain the same unless changed by a Supplemental Project Resolution.
NOW, THEREFORE, BE IT RESOLVED by the District Secretary that the part of SR 90 / US-41 / SW 7th
Street from East of SW 27th Avenue to West of SW 2nd Avenue, in Miami Dade County, Florida is hereby located
and designated as Item/Segment Number 447808-1, and the line and location of said part of said facility, as
reflected in the Right of Way Monumentation Map, parcel sketches, and legal descriptions, are hereby designated
as part of the State Highway System; and
BE IT FURTHER RESOLVED that it is necessary to perform construction on the following local
government roads as part of Item/Segment Number 447808-1:
• a part of 4th Avenue from SW 7th Street to North of SW 6th Street, which is part of the City of Miami's
street system;
• a part of 3rd Avenue from SW 7th Street to North of SW 6th Street, which is part of the City of Miami's
street system;
and each shall remain a local road within the City of Miami; and
BE IT FURTHER RESOLVED, that the District Secretary, finding that traffic conditions, present or
future, would justify SR 90 / US-41 / SW 7th Street from East of SW 27th Avenue to West of SW 2nd Avenue
being designated as a limited access facility, hereby designates, or has designated the same as a limited
access facility; and
BE IT FURTHER RESOLVED, that it is the judgment of the Department that the construction of
said portion of said Item/Segment Number 447808-1 is necessary, practical and in the best interest of the
State; and that the acquisition of such property and property rights as are needed for said construction is
necessary for the performance of its duties and for the construction, reconstruction, and maintenance of the
aforesaid state facility for the use of the general public; and that the Department is authorized to make such
acquisition by gift, purchase, or condemnation.

Northerly of as measured at right angles to the centerline of State Road 90 (S.W. 7th
Street) with the centerline of S.W. 4th Avenue as shown on the Florida Department of

COMMENCE at the intersection of the City of Miami monument line (being coincident
with the Baseline of Survey for State Road 90 (S.W. 7th Street)), said line lying 5.00
feet Northerly of as measured at right angles to the centerline of State Road 90 (S.W.
7th Street) with the centerline of S.W. 4th Avenue as shown on the Florida Department
of Transportation Right of Way Monumentation Map for S.R. 90, Section 87120,
Financial Project Number 437922-1, dated 05/27/2020, prepared by FR Aleman &
Associates, Inc., recorded in Road Plat Book 154, Page 39 of the Public Records of
Miami -Dade County, Florida; THENCE South 87°51'15" West, along said Baseline of
Survey for State Road 90, a distance of 25.03 feet; THENCE North 02°08'45" West at
right angles to the last described course, a distance of 20.00 feet to the Southeast
corner of Lot 20, Block 42S, MAP OF MIAMI, DADE CO. FLA. as recorded in Plat Book B,
at Page 41 of the Public Records of Miami -Dade County, Florida and THE POINT OF
BEGINNING; THENCE North 02°14'24" West, along the Easterly line of said Lot 20,
