A RESOLUTION OF THE MIAMI CITY COMMISSION BY A FOUR -FIFTHS
(4/5THS) AFFIRMATIVE VOTE, AFTER PUBLIC HEARING, PURSUANT TO
SECTION 2-614 OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED ("CITY CODE"), MAKING FINDINGS, AND WAIVING THE
CONFLICT OF INTEREST PROVISIONS CONTAINED IN SECTION 2-612 OF
THE CITY CODE, TO ENABLE THE CITY MANAGER TO ENTER INTO AN
EXPERT CONSULTING AGREEMENT WITH LARRY M. SPRING, JR., TO
TRANSACT BUSINESS WITH AND FOR THE CITY OF MIAMI; PROVIDING
THAT THE EXPERT CONSULTANT AGREEMENT SHALL BE FOR AN INITIAL
TERM OF SIX (6) MONTHS ("TERM") FOR AN AMOUNT NOT TO EXCEED
TEN THOUSAND AND 00/100 DOLLARS ($10,000.00) PER MONTH FOR A
TOTAL AMOUNT NOT TO EXCEED SIXTY THOUSAND AND 00/100
DOLLARS ($60,000.00) FOR THE TERM, ALL IN A FORM ACCEPTABLE TO
THE CITY ATTORNEY; THE EXPERT CONSULTANT AGREEMENT MAY BE
RENEWED FOR ANOTHER SIX (6) MONTH TERM AFTER CITY
COMMISSION APPROVAL, ALL IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, Section 2-612 of the Code of the City of Miami, Florida, as amended ("City
Code"), prohibits any City of Miami ("City") employee from entering a contract or transacting any
business with the City or an agency acting on behalf of the City for a period of two (2) years
after ceasing employment with the City; and
WHEREAS, Section 2-614 of the City Code allows the City Commission to waive such
prohibitions if a contract is in the best interest of the City, as in this case; and
WHEREAS, Larry M. Spring, Jr., will terminate his employment with the City on August
22, 2025, making Section 2-612 applicable to him on the aforementioned date; and
WHEREAS, the City plans on retaining Mr. Spring as an expert consultant for the City
Manager's office in order to contribute his expertise and knowledge, and assist in City budget
matters, City financings, and other City projects that require his expertise on an as needed basis
("Expert Services"); and
WHEREAS, during the tenure of his expert consulting agreement, Mr. Spring will also be
employed by Achievement Consulting Group, a consulting firm that specializes in real estate
development, government relations, and financial consulting services; and
WHEREAS, Mr. Spring has held several executive management positions in healthcare,
commercial banking, municipal government, real estate, and economic development; and

WHEREAS, the City will benefit from Mr. Spring's, expertise in municipal government,
real estate, and economic development; and
WHEREAS, this Resolution does not exempt or waive any prohibited conflicts of interest
pursuant to Chapter 112 of the Florida Statutes or Section 2-11.1 of the Miami Dade Code of
Ordinances;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The prohibitions contained in Sections 2-612 of the City Code, are waived
pursuant to Section 2-614 of the City Code, by a four -fifths (4/5ths) affirmative vote of the
members of the City Commission, after a public hearing, as such prohibitions pertain to Larry M.
Spring, Jr., as a former City employee and a future expert consultant. This waiver shall permit
the City Manager to enter into an expert consulting agreement with Larry M. Spring, Jr., for the
purpose of providing Expert Services to the City.
Section 3. The waiver set forth in Section 2 hereof is based upon the following findings:
(a) Larry M. Spring, Jr.'s, Expert Services are unique and the city cannot avail itself
of such property or services without entering into a transaction which would violate this
section but for waiver of its requirements; and
(b) Entering into the proposed expert consulting agreement with Larry M. Spring, Jr.,
for the provision of the Expert Services is in the best interest of the City.
Section 4. The Expert Consultant Agreement shall be for an initial term of six (6) months
("Term") for an amount not to exceed Ten Thousand and 00/100 Dollars ($10,000.00) per month
for a total amount not to exceed Sixty Thousand and 00/100 Dollars ($60,000.00) for the Term,
all in a form acceptable to the City Attorney. The Expert Consultant Agreement may be renewed
for another six (6) month term after City Commission approval, all in a form acceptable to the
City Attorney.
Section 5. This Resolution shall become effective at 5:00 PM on August 22, 2025.
