Purpose of Item:
To appoint new Executive Director for the WYNWOOD BUSINESS IMPROVERMENT
DISTRICT. That appointment is for William Kelley, who has extensive experience in
operating similar BIDs in Greenwich Village, NY. This appointment is per the proposed
terms of engagement and compensation detailed below.
Background of Item:
Mr. Kelley has had many years of experience, most recently as Director of Planning and
Programs at Clinton Housing Development Co. in New York City and had prior
experience as the Executive Director of the Greenwich Village BID supervising a team
of 20 employees.

A RESOLUTION OF THE MIAMI CITY COMMISSION APPROVING WILLIAM KELLEY
AS THE EXECUTIVE DIRECTOR OF THE WYNWOOD BUSINESS IMPROVEMENT
DISTRICT ("WBID"), PURSUANT TO THE PROPOSED TERMS OF ENGAGEMENT
AND COMPENSATION AS PROPOSED BY THE WBID BOARD; AUTHORIZING THE
CITY MANAGER TO EXECUTE AN EMPLOYMENT AGREEMENT, IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY.
WHEREAS, on July 14, 2025, the Wynwood Business Improvement District ("WBID")
Board adopted a resolution appointing Willam Kelley as Executive Director of the WBID,
pursuant to certain proposed terms of engagement and compensation approved by the WBID
Board; and
WHEREAS, William Kelley has been employed as a Director of Planning and Programs
at the Clinton Housing Development Co. in New York City and previously an Executive Director
of Greenwich Village's Business Improvement District supervising a staff of twenty (20)
employees; and
WHEREAS, pursuant to Section 2-1321 of the Code of the City of Miami, Florida, as
amended, appointment of an Executive Director by the WBID Board and the terms of
engagement and compensation are subject to Miami City Commission ("City Commission")
approval, which shall not be unreasonably withheld; and
WHEREAS, the City Commission wishes to approve the appointment of William Kelley
as the Executive Director of the WBID pursuant to the proposed terms of engagement and
compensation as set forth in the WBID Resolution;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The appointment of Willam Kelley as the Executive Director of the WBID
pursuant to the proposed terms of engagement and compensation as approved by the WBID
Board of Directors is hereby approved.
Section 3. The City Manager is authorized to execute an Employment Agreement, in a
form approved by the City Attorney.
Section 4. This Resolution shall become effective immediately upon its adoption.
1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and City Code
provisions.
