Enclosed, please find the Agreement Amendment #4 between Miami -Dade County, through Miami -Dade County Homeless
Trust and The City of Miami for the following program:
• Memorandum of Agreement (MOA) Program PC-2425-MOA
The authorized agency signatory must sign the Agreement in blue ink and the relevant attachments. Miami -Dade County requires that
the President/Chairman of the Board execute the Agreement on behalf of the agency. However, the Executive Director may execute the
Agreement if approved by a resolution of the agency's Board. A copy of the applicable Board resolution(s) must be submitted with the
Agreement. In addition, the agency must affix the corporate seal to the signature page of the Agreement or notarize it accordingly.
The Agreement must be returned to the Homeless Trust office, via email scan (all pages scanned in one document) no later than June
19, 2025.

AMENDMENT #4 OF THE AGREEMENT BETWEEN MIAMI-DADE COUNTY AND
THE CITY OF MIAMI BEACH
FOR THE
MEMORANDUM OF AGREEMENT (MOA) PROGRAM
GRANT NUMBER: PC-2425-MOA
THIS AMENDMENT #4 OF THE AGREEMENT (the "Agreement Amendment") is made as of ,
202, by and between Miami -Dade County, through the Miami -Dade County Homeless Trust ("the County")
and The City of Miami, a recipient of grant funds to serve homeless individuals, hereinafter referred to as the
"Provider.
WITNESSETH:
WHEREAS on March 27th, 2023, the County and the Provider entered into a grant Agreement ("Agreement")
which provides funding for the provision of special outreach and supportive services to homeless individuals and
families in Miami -Dade County.
WHEREAS on September 26th, 2023, this Agreement was amended to add contract compliance language
pertaining to the ratification of the State of Florida Senate Bill 1718 on May 10th, 2023, and effective July 1st, 2023;
and
WHEREAS on February 16th, 2024, and January 22nd, 2025, respectively, this Agreement was extended for one
(1) additional year for the continued provision of services; and
WHEREAS this Agreement provides for certain rights and responsibilities of the County; and
WHEREAS the Agreement allows for amendment and extensions at the sole discretion of the County; and
WHEREAS the County is desirous of amending the Agreement to add additional funds for approved staff
enhancements pursuant to the terms of the Agreement.
NOW, THEREFORE, be it resolved, for and consideration of the mutual agreements between the County and the
Provider, which are set forth in this Amendment #4 of the Agreement, the receipt and sufficiency of which are
acknowledged, the County and the Provider amend this Agreement as follows:
ARTICLE I - Recitals
The foregoing recitals are true and correct and constitute a part of this Amendment #4 of the Agreement.
ARTICLE II - Ratification of the Agreement
Other than expressly corrected or amended herein, all other terms and conditions of the Agreement shall
remain in full force and effect.

ARTICLE III - Amendments
The Agreement is hereby amended as follows:
Article 2 is replaced as follows:
ARTICLE 2. AMOUNT PAYABLE
Subject to available funds, the maximum amount payable for services rendered under this contract shall not
exceed:
• Memorandum of Agreement (MOA) Program $ 380,000.00
($340,000.00 + $40,000.00 (Staffing Enhancements)
TOTAL AWARD $ 380,000.00
Both parties agree that should available Miami -Dade County funding be reduced, the amount payable under this
contract may be proportionately reduced at the sole discretion and option of the County.
All services undertaken by the Provider before the County's execution of this Contract shall be at the Provider's
risk and expense.
It is the responsibility of the Provider to maintain sufficient financial resources to meet the expenses incurred
during the period between the provision of services and the payment by the County.
The County, at its sole discretion, may allow Provider an advance of N/A once the Provider has submitted
an appropriate request and submitted an invoice in the form required by the County.
Article 5 is replaced as follows:
ARTICLE 5. EFFECTIVE TERM
Both parties agree that the Effective Term of this Contract shall commence on October 1. 2024, and
terminate at the close of business on September 30. 2025. Contingent on the existence of sufficient
funding, performance and the approval of the County, this Contract may be extended at the County's sole
discretion. **The additional staff enhancements shall commence beginning June lst, 2025.
The remaining language in the original Agreement remains unchanged.

Counterparts and Electronic Signatures - This Agreement may be
executed in any number of counterparts, each of which so executed
shall be deemed to be an original, and such counterparts shall
together constitute but one and the same Agreement. The parties
shall be entitled to sign and transmit an electronic signature of this
Agreement (whether by facsimile, PDF or other email
transmission), which signature shall be binding on the party whose
name is contained therein. Any party providing an electronic
signature agrees to promptly execute and deliver to the other
parties an original signed Agreement upon request.

This memorandum is to request the approval of additional funds for The City of Miami, Miami
Homeless Assistance Program (MHAP), Memorandum of Agreement (MOA) program to add
an additional professional staff position experienced in community development and housing
systems. The professional consultant will leverage extensive experience in government
operations, homeless systems, affordable and supportive housing, and strategic planning to

Scope of Work
Title: Assistant to the Director
Overview:
This Scope of Work outlines the responsibilities and deliverables for a professional in community development
and housing systems. The consultant will leverage extensive experience in government operations, homeless
systems, affordable and supportive housing, and strategic planning to support the development, implementation,
and evaluation of homeless initiatives.
Objectives:
• Enhance the partnership with the Homeless Trust, the Continuum of Care lead agency, with an emphasis
on combatting unsheltered homelessness in the urban core.
• Strengthen systems and programs, utilizing best practices and new innovations, addressing homelessness
and housing insecurity.
• Support compliance and performance across federal, state, and local funding streams.
• Expand community outreach, wraparound services, and interagency collaboration.
• Promote operational excellence and fiscal accountability within nonprofit and government agencies.
1. Program and Systems Development
• Lead expansion strategies for housing and homelessness services using municipal, county, state, and
federal funds.
• Design or enhance wraparound service models including prevention, rapid re -housing, and permanent
supportive housing.
• Develop quality assurance systems aligned with the Miami -Dade County Homeless Trust standards and
audit readiness.
2. Government & Stakeholder Engagement
• Serve as liaison to municipal, county, state, and federal agencies on homelessness and housing
initiatives.
• Facilitate cross -agency collaboration to align with city and county strategic plans.
3. Strategic Planning & Policy Development
• Guide strategic planning efforts focused on community impact and service innovation.
• Draft and implement policies to support operational efficiency and compliance.
4. Compliance & Fiscal Oversight
• Conduct comprehensive reviews of fiscal and operational systems to ensure contract compliance.
• Provide recommendations for fiscal risk mitigation and funder reporting.
5. Organizational Leadership & Capacity Building
• Provide leadership coaching.
• Lead workforce development initiatives and support cross -functional team performance.
• Strengthen internal structures to support scalable growth and improved client outcomes.
