This Resolution authorizes the conveyance of all water and sewer facilities built and constructed to service Citizens Bank located in 36-53-41, Miami -Dade County, Florida shown on Exhibit "A" and more particularly described in Composite Exhibit "B", attached and incorporated herein. JUSTIFICATION: The CRA is the owner of the water and sewer facilities serving Citizens Bank located in Section 36, Township 53, Range 41E, Miami -Dade County, Florida, shown and more particularly described in Composite Exhibit "B" attached and incorporated herein. The CRA is created pursuant to Chapter 163, Florida Statutes, and is responsible for carrying out community redevelopment activities and projects within its Redevelopment Area. Section 163.370(2)(c)(4), Florida Statutes, authorizes the CRA to dispose of any property acquired in the community redevelopment area at its fair value for uses in accordance with the Redevelopment Plan. The Redevelopment Plan recognizes that the entirety of the Omni area has water and sewer availability through the Miami -Dade County Water and Sewer Department ("WASD"). The Redevelopment Plan recommends the CRA work with WASD to modernize water and sewer facilities. The Resolution is necessary to ensure that water and sewer service is provided to Citizens Bank. This Resolution carries out the objectives of the Omni Redevelopment Plan. FUNDING: None. Miami Avenue Miami, FL 33136 www.miamicra.com File Number: 17635 Final Action Date:6/17/2025 A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY ("CRA"), WITH ATTACHMENT(S), AUTHORIZING THE EXECUTIVE DIRECTOR TO NEGOTIATE AND EXECUTE ALL DOCUMENTS NECESSARY, ALL IN FORMS ACCEPTABLE TO GENERAL COUNSEL, TO CONVEY TO MIAMI-DADE COUNTY, A POLITICAL SUBDIVISION OF THE STATE OF FLORIDA ALL WATER AND SEWER FACILITIES BUILT AND CONSTRUCTED TO SERVE THE PROPERTY COMMONLY REFERRED TO AS CITIZENS BANK, LOCATED AT 1367 NORTH MIAMI AVENUE, MIAMI FLORIDA 33132 (FOLIO NO. 01-3136-009-0220), SECTION 36, TOWNSHIP 53, RANGE 41E, MIAMI-DADE COUNTY, FLORIDA, AS MORE PARTICULARLY DEPICTED IN EXHIBIT "A" AND COMPOSITE EXHIBIT "B," ATTACHED AND INCORPORATED HEREIN, FOR THE MAINTENANCE, CONSTRUCTION, AND OPERATION OF WATER AND SEWER FACILITIES THEREOF, AS DESCRIBED IN EXHIBIT "C," ATTACHED AND INCORPORATED HEREIN, FOR THE SUM OF TEN DOLLARS AND 00/100 ($10.00) AND OTHER GOOD AND VALUABLE CONSIDERATION; FURTHER AUTHORIZING THE EXECUTIVE DIRECTOR TO NEGOTIATE AND EXECUTE ANY AND ALL DOCUMENTS NECESSARY, ALL IN A FORM ACCEPTABLE TO THE GENERAL COUNSEL, FOR THE PURPOSES STATED HEREIN; PROVIDING FOR THE INCORPORATION OF RECITALS AND AN EFFECTIVE DATE. WHEREAS, the Omni Redevelopment District Community Development Agency ("CRA") is a community redevelopment agency created pursuant to Chapter 163, Florida Statutes, and is responsible for carrying out community redevelopment activities and projects within its redevelopment area in accordance with the 2019 Update of Redevelopment Plan ("Redevelopment Plan"); and WHEREAS, the CRA owns the property commonly referred to as Citizens Bank, located at 1367 North Miami Avenue, Miami, Florida 33132, (Folio No. 01-3136-009-0220), as more particularly described in Exhibit "A," attached and incorporated herein ("Property") ; and WHEREAS, the CRA's ownership of the Property includes water and sewer facilities built and constructed within Section 36, Township 53, Range 41 E, Miami -Dade County, Florida, as more particularly described in Composite Exhibit "B", attached and incorporated herein ("Facilities"); and WHEREAS, on May 28, 2019, the CRA, applied to WASD for the provision of water and sewer services at the Property through the Water and/or Sewer Development Information Application Form for Water and/or Sewer Agreement, attached and incorporated herein as Exhibit "C"; and City of Miami Page 3 of 4 File ID: 17635 (Revision:) Printed On: 9/16/2025 WHEREAS, to complete the application for water and sewer services the CRA is required to transfer the Facilities to the Miami -Dade County Water and Sewer Department ("WASD"); and WHEREAS, Section 163.370(4)(a), Florida Statutes, provides for the disposition of any property acquired in the community redevelopment area at its fair value for uses in accordance with the community redevelopment plan; and WHEREAS, the transfer of the Facilities is in furtherance of the CRA's Redevelopment Plan which, on page 5-54, recognizes that as development within the CRA area occurs, there will be an increased need for water and sewer facilities, which will require additional capacity; and WHEREAS, page 7-62 of the Redevelopment Plan recognizes that WASD provides water and sewage services for the Omni CRA district; and WHEREAS, the transfer of the Facilities described herein to WASD further satisfies the Redevelopment Plan's goals and objectives by increasing WASD's capacity for providing water and sewage service in the Omni CRA district; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE OMNI COMMUNITY REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated herein as if fully set forth in this section. Section 2. The Board of Commissioners hereby authorizes the Executive Director to negotiate and execute all documents necessary, all in forms acceptable to general Counsel, to convey to Miami -Dade County the Facilities located at the Property, and as more particularly depicted in Exhibits "A" and "B" attached and incorporated herein, for the maintenance, operation, and construction as necessary to serve the Property, for the sum of Ten Dollars and 00/100 ($10.00) and other good and valuable consideration. Section 3. The Executive Director is further authorized to negotiate and execute any and all documents necessary, all in a form acceptable to the General Counsel, for the purposes stated herein.
