DISCUSSION ITEM:
This is a discussion item to be heard by the Board of Commissioners ("Board") of the Omni
Redevelopment District Community Redevelopment Agency ("Omni CRA") to consider an
unsolicited proposal submitted by Dragonfly Investments, LLC (the "Developer"). The unsolicited
proposal pertains to the vacant lot located at 1428 NW 1st Avenue, Miami, Florida (the
"Property"), which is currently owned by the Omni CRA. The Developer is seeking a transfer of
the Property in fee simple to facilitate the development of six affordable housing units on the
Property to address the critical need for affordable housing in the neighborhood.
The proposal aligns with the Omni CRA's 2019 Redevelopment Plan, which emphasizes the
importance of maintaining affordable housing for all income levels, particularly for workforce and
lower -income households. The Plan explicitly encourages the acquisition and allocation of land
to developers to enhance the supply of affordable housing (p. 31, Section 4; p. 32).
Furthermore, the Plan's mission includes increasing the proportion of affordable homes for
lower -income and workforce households within the CRA (p. 33).
Pursuant to Chapter 163, Florida Statutes, and Section 18-119 of the City of Miami Code of
Ordinances on unsolicited proposals, if this proposal is of interest to the Board to proceed, then
Board approval is needed so that the Omni CRA may continue with the required due diligence
and notice requirements.
JUSTIFICATION:
Granting this proposal would be consistent with the Omni CRA's mission to foster the
development of attainable housing through successful public and private sector projects. The
proposed development by Dragonfly Investments, LLC, promises to contribute significantly to
the community by expanding affordable housing options, thereby supporting the CRA's strategic
objectives.

BACKGROUND:
The Omni CRA Future Leaders Scholarship Program is a pivotal initiative by the Omni
Redevelopment District Community Redevelopment Agency ("CRA") aimed at supporting
educational advancement among residents whose primary residence is within the boundaries of
the CRA. In line with the 2019 Redevelopment Plan, which states, "investing in education is
fundamental to the growth and empowerment of the community" (2019 Redevelopment Plan, p.
4-48), this program is dedicated to removing financial barriers for deserving students and
promoting their academic success.
The scholarship provides financial assistance to candidates who demonstrate academic
excellence and a commitment to community service. Preference is given to students attending
institutions within Miami or its immediate environs. If no suitable candidates are found in these
areas, preference will be extended to institutions elsewhere in Florida. This approach reflects
the Omni CRA's commitment to fostering future leaders who will contribute positively to the
community's development and overall success.
JUSTIFICATION:
The Omni CRA Future Leaders Scholarship Program is a strategic investment in the
community's future, directly addressing the need for educational support among residents within
the CRA boundaries. By providing financial assistance to students, the program aims to
alleviate the economic challenges that can hinder access to higher education and vocational
training, effecting slum and blight.

WHEREAS, the Omni Redevelopment District Community Redevelopment Agency
("Omni CRA") is committed to fostering education and skill development within the community,
aligning with the goals outlined in the 2019 Redevelopment Plan ("Plan); and
WHEREAS, the Plan emphasizes the importance of educational initiatives to promote
economic development and improve the quality of life for residents within the Omni CRA
boundaries, specifically referenced on pages 4-48 and 7-64 of the Plan; and
WHEREAS, the Omni CRA Future Leaders Scholarship Program will award eligible
recipients an amount not to exceed Ten Thousand Dollars ($10,000.00), covering/underwriting
two (2) semesters of course training ("Scholarship Program"); and
WHEREAS, students must be registered fora minimum of twelve (12) credits per
semester or an equivalent full-time enrollment standard for vocational or accredited certificate
program to be eligible to receive scholarship funds; and
WHEREAS, the Scholarship Program will require applicants enrolled in a college or
university to submit a five -page essay discussing Community Redevelopment Agencies (CRAs),

with a specific focus on the Omni CRA, highlighting both positive and negative aspects, and
proposing suggestions for enhancing the impact of the Omni CRA to the community; and

WHEREAS, applicants enrolled or enrolling in vocational schools or accredited
certificate programs will not be required to submit an essay, but must submit a video of no less
than ten (10) minutes detailing how their studies will help improve their own lives and their
community, highlighting both the positive and negative aspects of living within a CRA
community, and offering suggestions on what they would like to see done differently; and
WHEREAS, applications will be vetted and graded by each of the Board of
Commissioners of the Omni CRA, or a designated representative thereof, to determine the
recipients of the scholarship based on the quality and insightfulness of the application; and
WHEREAS, any student found to have engaged in cheating, including but not limited to,
plagiarism, or the use of AI -generated content in their submission will be immediately
disqualified from eligibility for the Scholarship Program; and
WHEREAS, household income will also be a determining factor in the selection process
to ensure that the scholarships are awarded to those who demonstrate need based on
the national Free Application for Federal Student Aid ("FAFSA") standards, in alignment with the
CRA's mission to support economically disadvantaged individuals; and
WHEREAS, candidates must prove acceptance into a college or university supported by
the guidelines of the Scholarship Program, a vocational school, or an accredited certificate
program, or must already be enrolled in such an institution, maintaining a Grade Point Average
("GPA") of 3.0 or higher, where applicable, or demonstrating satisfactory progress in vocational
or certificate programs, as determined by the vocational school's or accredited certificate's
program standard to be eligible for the scholarship; and
WHEREAS, candidates will be preferred for institutions in Miami or nearby; otherwise,
preference will be given to institutions elsewhere in the state of Florida; and
WHEREAS, priority consideration will be given to applicants pursuing Science,
Technology, Engineering, or Mathematics ("STEM") related fields at any of the abovementioned
institutions; and
WHEREAS, the total allocation for the Scholarship Program shall not exceed Two
Hundred Thousand Dollars ($200,000.00), with One Hundred Thousand Dollars ($100,000.00)
designated for students attending a college or university ("Category 1"), and One Hundred
Thousand Dollars ($100,000.00) designated for students accepted into a vocational training or
accredited certificate programs ("Category 2") (collectively, the "Categories"); and
WHEREAS, any unused funds from either Category may be reallocated to support the
other Category to maximize the benefit to eligible students; and
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF
THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY OF
THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference hereto and incorporated herein as if fully set forth in this Section.
Section 2. The Omni CRA Future Leaders Scholarship Program is hereby established.

Section 3. The Omni CRA Future Leaders Scholarship Program is hereby funded in an
amount not to exceed Two Hundred Thousand Dollars ($200,000.00) to be allocated from a
non-TIF revenue source Account Code 10040.920501.883000.
Section 4. The Executive Director is hereby authorized to disburse funds in her
discretion, in accordance with the guidelines established for the Scholarship Program, either as
a grant or on a reimbursement basis, payable directly to the educational institution or to the
student, upon presentation of invoices and/or satisfactory documentation from qualifying
students.
Section 5. The Executive Director is authorized to negotiate and execute any and all
documents necessary, all in a form acceptable to the General Counsel, for the purpose stated
herein.
Section 6. This Resolution shall become effective immediately upon adoption.

Subject: Wynwood Haus, LLC - Consent
to Collateral Assignment

BACKGROUND:
The purpose of this memorandum is to recommend that the Board of Commissioners ("Board")
of the Omni Redevelopment District Community Redevelopment Agency ("CRA") approve and
adopt the enclosed Resolution. This Resolution authorizes the Executive Director to negotiate
and execute consent to the collateral assignment of the redevelopment agreement.
JUSTIFICATION:
On April 12, 2022, the CRA and Wynwood Haus, LLC (the "Developer") entered into an
Economic Incentive Agreement for Mixed -Use And Mixed -Income Project ("Redevelopment
Agreement"), to underwrite a portion of the costs to develop a mixed -use and mixed -income
housing development consisting of approximately Two Hundred Twenty -Four (224) housing
units ("Project") to be located at 23 NE 17' Terrace, Miami, Florida (the "Property"). The
duration of the Redevelopment Agreement was dependent upon the life of the CRA being
extended.
On April 10, 2025, the City of Miami Commission adopted Resolution R-25-0131 authorizing the
CRA's extension of life to 2047. Based on the CRA's extension of life, the Redevelopment
Agreement now extends to March 31, 2047. The Redevelopment Agreement provides that in
exchange for the Developer reserving a total of 100 residential units at the Property to be rented
at 100%, 120%, and 140% Area Median Income ("AMI"), the CRA will pay to the Developer, its
assigns, or successors interest, an incentive payment equal to 95% of the Project's
Development TIF annually, or Seven Hundred Seventy -Eight Thousand, Eighty -Six Dollars and
00/100 ($778,068.00) annually, whichever is less, per year, until March 31, 2047, for a total
amount not to exceed Twelve Million, Nine Hundred Thirty -Five Thousand, Six Hundred
Seventy -Four Dollars and Sixty -One 0/100 ($12,935,674.61).

The Developer is now looking to obtain refinancing from Fannie Mae to pay off an existing
construction loan. As such, the Developer is seeking to assign the total of the Project's
Development TIF due under the Redevelopment Agreement to Fannie Mae as collateral for the
refinancing. Fannie Mae, however, requires the Developer to obtain the CRA's consent to the
assignment of Development TIF before execution of the assignment.
Section 23 of the Redevelopment Agreement provides that the Development TIF cannot be
assigned without prior CRA Board approval. Section 23 of the Redevelopment Agreement also
provides that consent to assignment shall not be unreasonably withheld or conditioned by the
CRA Board. The provisions of the consent to assignment are acceptable as to form and
correctness by the General Counsel.
This Resolution carries out the objectives of the 2019 Omni Redevelopment Plan.

WHEREAS, on September 24, 2020, the Board of Commissioners of the Omni
Redevelopment District Community Redevelopment Agency, adopted Resolution No. CRA-R-
20-0014, which authorized a rebate to Wynwood Haus, LLC ("Developer") of the Tax Increment
Finance ("TIF") revenues generated by the development of the project located at Folios 01-
3136-003-0140, 01-3136-003-0150, 01-3136-003-0160, 01-3136-003-0170, 01-3136-003-0180,
and 01-3136-003-0190 (collectively, the "Property") in an amount not to exceed Ninety -Five
percent (95%) of the TIF collected from the Property annually until 2030, or until 2047 if the life
of the Omni Redevelopment District Community Redevelopment Agency ("CRA") was extended
to 2047, for a total amount not to exceed Twelve Million Nine Hundred Thirty Five Thousand Six
Hundred Seventy Four Dollars and 00/100 ($12,935,674.61); and
WHEREAS, on April 12, 2022, the CRA and Developer entered into an Economic
Incentive Agreement for Mixed -Use And Mixed -Income Project ("Redevelopment Agreement"),
to underwrite a portion of the costs to develop the Property consisting of approximately Two
Hundred Twenty -Four (224) housing units ("Project") to be located at 23 NE 17th Terrace, Miami,
Florida; and
WHEREAS, on April 10, 2025, the City of Miami ("City") Commission adopted Resolution
No. R-25-0131, which finalized the extension of life of the CRA to 2047; and
WHEREAS, based on the CRA's extension of life, the TIF revenues generated by the
development of the Property shall be until 2047; and
WHEREAS, the Developer is now seeking consent to a collateral assignment of the TIF
revenues authorized pursuant to the Redevelopment Agreement for refinancing of the Property;
and

WHEREAS, the 2010 Redevelopment Plan ("Plan") on page 41, section D-2 lists the
objective of the CRA "to create a variety of housing"; and
WHEREAS, page 42, Sections A-1 and A-3 of the Plan also lists as an objective of the
CRA to "Provide incentives for redevelopment of blighted properties"; and
WHEREAS, authorizing the consent to the collateral assignment of the Redevelopment
Agreement furthers the stated objectives of the Plan;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF
THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY OF
THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated as fully set forth in this Section.
Section 2. The Executive Director is authorized to negotiate and execute a Consent to
Collateral Assignment of the TIF revenues authorized in the Redevelopment Agreement
between the CRA and Developer for the Property.
Section 3. The Executive Director is further authorized to negotiate and execute any and
all documents necessary, including any and all amendments thereto, all in forms acceptable to
the General Counsel, for the purposes stated herein.

BACKGROUND:
The purpose of this memorandum is to recommend that the Board of Commissioners ("Board")
of the Omni Redevelopment District Community Redevelopment Agency ("CRA") approve and
adopt the attached Resolution. This Resolution authorizes the conveyance of all water and
sewer facilities built and constructed to service Citizens Bank located in 36-53-41, Miami -Dade
County, Florida shown on Exhibit "A" and more particularly described in Composite Exhibit "B",
attached and incorporated herein.
JUSTIFICATION:
The CRA is the owner of the water and sewer facilities serving Citizens Bank located in Section
36, Township 53, Range 41E, Miami -Dade County, Florida, shown and more particularly
described in Composite Exhibit "B" attached and incorporated herein. The CRA is created
pursuant to Chapter 163, Florida Statutes, and is responsible for carrying out community
redevelopment activities and projects within its Redevelopment Area. Section 163.370(2)(c)(4),
Florida Statutes, authorizes the CRA to dispose of any property acquired in the community
redevelopment area at its fair value for uses in accordance with the Redevelopment Plan.
The Redevelopment Plan recognizes that the entirety of the Omni area has water and sewer
availability through the Miami -Dade County Water and Sewer Department ("WASD"). The
Redevelopment Plan recommends the CRA work with WASD to modernize water and sewer
facilities. The Resolution is necessary to ensure that water and sewer service is provided to
Citizens Bank.
This Resolution carries out the objectives of the Omni Redevelopment Plan.

WHEREAS, the Omni Redevelopment District Community Development Agency ("CRA")

redevelopment area in accordance with the 2019 Update of Redevelopment Plan
("Redevelopment Plan"); and
WHEREAS, the CRA owns the property commonly referred to as Citizens Bank, located
at 1367 North Miami Avenue, Miami, Florida 33132, (Folio No. 01-3136-009-0220), as more
particularly described in Exhibit "A," attached and incorporated herein ("Property") ; and
WHEREAS, the CRA's ownership of the Property includes water and sewer facilities built
and constructed within Section 36, Township 53, Range 41E, Miami -Dade County, Florida, as
more particularly described in Composite Exhibit "B", attached and incorporated herein
("Facilities"); and
WHEREAS, on May 28, 2019, the CRA, applied to WASD for the provision of water and
sewer services at the Property through the Water and/or Sewer Development Information
Application Form for Water and/or Sewer Agreement, attached and incorporated herein as
Exhibit "C"; and

WHEREAS, to complete the application for water and sewer services the CRA is
required to transfer the Facilities to the Miami -Dade County Water and Sewer Department
("WASD"); and
WHEREAS, Section 163.370(4)(a), Florida Statutes, provides for the disposition of any
property acquired in the community redevelopment area at its fair value for uses in accordance
with the community redevelopment plan; and
WHEREAS, the transfer of the Facilities is in furtherance of the CRA's Redevelopment
Plan which, on page 5-54, recognizes that as development within the CRA area occurs, there
will be an increased need for water and sewer facilities, which will require additional capacity;
and
WHEREAS, page 7-62 of the Redevelopment Plan recognizes that WASD provides
water and sewage services for the Omni CRA district; and
WHEREAS, the transfer of the Facilities described herein to WASD further satisfies the
Redevelopment Plan's goals and objectives by increasing WASD's capacity for providing water
and sewage service in the Omni CRA district;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF
THE OMNI COMMUNITY REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT
AGENCY:
