BACKGROUND:
The Omni Community Redevelopment Agency ("Omni CRA") is responsible for executing
community redevelopment initiatives and projects within its designated area in accordance with
the 2019 CRA Redevelopment Plan ("Plan").
Located at Dorsey Library, 1st Take Youth Film Program operates within the Omni CRA
jurisdiction. This program plays a crucial role in preserving the area's vibrant history through
cultural and artistic initiatives, fostering job creation and community connectivity.
The 2019 Redevelopment Plan emphasizes the importance of employment opportunities that
preserve and enrich the cultural fabric of the Omni CRA. This program aligns with the plan's
emphasis on arts, culture, history, media, and entertainment, fostering opportunities for
development and employment within the community.
This proposal anticipates that the project will assist with upward job mobility, community
development, and cultural art programs. This program presents a unique approach and
opportunity for a local government entity to highlight a unique collaboration of community youth
enrichment. This is a way in which the historic Dorsey Library not only revitalizes the space but
also cultivates young talent through hands-on filmmaking training enriching Overtown's cultural
heritage.
RECOMMENDATION:
Based on the aforementioned background, the need for job training, and employment
opportunities, it is recommended that the Board of Commissioners of the Omni Community

Redevelopment Agency adopt the attached resolution. This resolution, approved by a four -fifths
(4/5ths) affirmative vote, ratifies, confirms, and approves the Executive Director's finding that it
is most beneficial for the Omni CRA to provide funding for 1st Take Youth Film After -School
Program, supporting job training, employment opportunities, youth enrichment, and community
connectivity.

$150,000.00 has been allocated from a Non-OMNI Tax Increment Revenue Source: Account

WHEREAS, the Omni Redevelopment District Community Redevelopment Agency
("CRA") is tasked with the improvement of employment opportunities and upward job mobility;
and
WHEREAS, Florida Film House LLC, a Florida Limited Liability Company, ("Grantee")
submitted a request for funding associated with the 1st Take Youth Film Program ("Program")
which provides job skills and training, employment opportunities, and youth enrichment in the
Overtown portion of the Omni CRA, at the property located at 100 North West 17th Street,
Miami, Florida 33136; and
WHEREAS, the 2019 Redevelopment Plan ("Plan") on page 4-46 states, "the CRA
should continue to seek other creative incentives to create and attract new jobs to the area; and
WHEREAS, page 4-46 of the Plan furthers that, "any program that would offset the cost
to a business of newly created job could incentivize a business to do so"; and

WHEREAS, page 4-47 of the Plan, lists the objectives and key activities of the CRA to
"incentivize job creation to create employment opportunities for Omni residents and incentivize
job creation to create a larger consumer bases"; and
WHEREAS, page 7-64 of the Plan, lists "community benefits the CRA should seek: (1)
job creation, and (2) job training; and
WHEREAS, the Grantee requests grant funding for the Program in an amount not to
exceed One Hundred Fifty Thousand Dollars ($150,000.00); and
WHEREAS, the success of the Project will result in accomplishing the stated objectives
of the Plan; and
WHEREAS, based on the recommendation and finding of the Executive Director,
attached and incorporated as Exhibit "A", it is in the CRA's best interest to authorize, by an
affirmative four -fifths (4/5ths) vote, a waiver of competitive sealed bidding procedures pursuant
to Sections 18-85 and 18-86 of the Code of the City of Miami, Florida, as amended ("City
Code"), as adopted by the CRA, for the allocation of grant funds for the Project in an amount not
to exceed One Hundred Fifty Thousand Dollars ($150,000.00) to be disbursed subject to the
availability of funds and the Executive Director's discretion;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF
THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY OF
THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of the Resolution are
adopted by reference and incorporated as fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing, the
Executive Director's recommendation and written finding, attached and incorporated as Exhibit
"A", pursuant to Sections 18-85 and 18-86 of the City Code, as adopted by the CRA, are ratified,
approved, and confirmed and the requirements for competitive sealed bidding methods as not
being practicable or advantageous to the CRA are waived.
Section 3. Funds in an amount not to exceed One Hundred Fifty Thousand Dollars
($150,000.00) for the Project are allocated, subject to the availability of funding, to the Grantee
from a Non-OMNI Tax Increment Revenue Source: Account No.
10040.920501.883000.0000.00000 "Other Grants and Aids".
Section 4. The Executive Director is authorized to negotiate and execute any and all
necessary documents, all in forms acceptable to the General Counsel, for the purposes stated
herein, including but not limited job skills and training, employment opportunities, and youth
enrichment.
Section 5. This Resolution shall become effective immediately upon its adoption.

emphasis on arts, culture, history, media, and entertainment, encouraging opportunities for
development and employment within the community.
This proposal anticipates that the project will assist with community development, upward job
mobility and cultural art programs. This program presents an opportunity for a local government
entity to showcase a unique collaboration of empowerment initiatives and community youth
enrichment. This is a way in which the historic Dorsey Library not only revitalizes the space but
also cultivates young talent through hands-on filmmaking training enriching Overtown's cultural
heritage.
RECOMMENDATION
Based on the aforementioned background, the need for job training, and employment
opportunities, it is recommended that the Board of Commissioners of the Omni Community
Redevelopment Agency adopt the attached resolution. This resolution, approved by a four -fifths
(4/5ths) affirmative vote, ratifies, confirms, and approves the Executive Director's finding that it is

The Board of Commissioners ("Board") of the Omni Redevelopment District Community
Redevelopment Agency ("CRA") will hold a Public Hearing on Thursday, July 25, 2024, at 9:30

The Board will consider the award of grant funds to Florida Film House LLC, a Florida Limited

In accordance with the Board's 2019 Redevelopment Plan ("Plan") and Florida Statutes 163, the

costs associated with development initiatives, job skills training, community connectivity and
youth enrichment located within the Redevelopment Area of the Omni CRA at 100 NW 17th Street,
Miami, Florida within CRA's boundaries. This funding is deemed as a non -tax increment revenue
fund. Additionally, this funding is critical in supporting employment opportunities, job skills training,
and community empowerment, which are envisioned to cultivate essential skills and enrich
cultural understanding among youth in the area.
The CRA Board requests all interested parties be present or represented at the meeting and may
be heard with respect to any proposition before the CRA Board, in which the Board may take

Mission
Our mission is to enrich the young minds of our community by
providing them with hands-on training that centers around the
complete process of filmmaking. By targeting underserved local
communities, we can give our youth an opportunity to tell their stories
and show their talents. Our innovative program is set up to build skill
sets that expand beyond the classroom and into the workforce. The
skills, education, and guidance provided at 1st Take will prepare our
youth to have the skills needed to be successful in life. We aim to
develop relationships with local and state colleges to create scholarship
programs that will provide our students with the workforce and
knowledge in media art and the opportunity to continue their education
to achieve a college degree in film and entertainment.
The 1st Take Youth Film Program will serve as an interactive central
connection between arts, business, media, and entertainment. Students
will have the opportunity to attend workshops in film, editing,
cinematography, and photography. Select Teens that qualify for
on-the-job training can compete for paid and unpaid internships as well.
All interns will be under the direction of Project Coordinator and the
film professionals at Florida Film House(FFH). FFH has been helping the
youth find their voice for five years. With the help of our supporters, we
can continue to making a change in our future.

Project Description
Education and College Readiness - The 1st Take Youth Film Program will
be administered as an after -school program Monday - Friday, ages 14-18
from 3-7PM. 1st Take Youth Film Program will be dedicated to teaching the
youth career and life skills through hands-on coaching that centers around
the complete process of filmmaking. Students will also be raising money in
escrow for content creation for college.
Employment Growth, Job Training, Job Placement, and Vocational
Training for adults and 2nd Chance opportunities- From the local
community into the film business. According to the labor market statistics
motion picture will have 11% more jobs in arts and film will increase by 9.5%
between 2019-2026. 1st Take Workshops in acting, writing, producing,
directing, producing and cinematography for adults evenings Monday -
Friday from 7-9PM. Helping to create and support the film market and
introduce the community to the film world.
Arts and Entertainment for the community Through premieres in the
community (Dorsey Library/Park) at least once per quarter. Open to invite
the community to enjoy the space and premier exclusive content created by
1st Take Youth Film Program students, Urban Film Festival Winners and the
best of local content. Also be able to highlight, promote and celebrate local
film makers at these quarterly screenings at Dorsey Library/Park.
Entrepreneurship and Leadership Skills -Students will

Filmmakers will activate the space/studio from Monday
through Friday. They will receive specialized training and
perform work tasks under the direction of industry
professionals in order to create products and services that
benefit the community and local businesses.
During the spring the students will create short films that
tell the stories of their community. They will be screened
at the Urban Film Festival, The American Black Film
Festival, will be submitted for Sundance Film Festival &
entered into other film festivals internationally.
In the summer the students will create a feature film that

Select Teens that qualify for on-the-job training can compete for paid and unpaid

BACKGROUND:
The Omni Community Redevelopment Agency (Omni CRA) executes community
redevelopment projects following the 2019 CRA Redevelopment Plan ("Plan"). The Agency will
contribute to redeveloping 2003 N Miami Avenue, Miami, FL 33127, a severely dilapidated one -
hundred -year -old building, into a mixed -use, low-income affordable housing project.
The project will provide 11 modern, energy -efficient units and renovate the vacant retail bays to
boost street -level activity, increase tax revenue, and support Wynwood's growth.
The building requires extensive repairs to the structure of the building, including new plumbing,
electrical, and mechanical systems. It has a rich history, including ties to Whitey Bulger and
Dolly's Cafe, and currently houses the iconic restaurant Kush, which has temporarily closed due
to structural concerns.
This redevelopment project is in accordance with the Omni CRA's 2019 Plan, where page 31 of
the 2019 Redevelopment Plan states "housing affordability is one of the key programs for the
CRA to undertake". The 2019 Redevelopment Plan specifically highlights the importance of
addressing housing affordability. Florida Statute 163.350 enables the CRA to establish effective
programs aimed at affordable housing and the revitalization of deteriorated properties.
Collaboration with the Omni CRA will ensure high -quality standards and address community
needs effectively.

WHEREAS, the 2019 Redevelopment Plan ("Plan") on page 4-32, lists "to find
ways to ensure housing remains affordable for all income levels within the district, but
particularly for those households' meeting workforce or lower income guidelines," as an
objective of the CRA; and

WHEREAS, the Plan on page 4-34, states the CRA can "create and implement
programs to assist target income households rehabilitate, and/or maintain unit they
currently own" and "devise and implement programs to assist housing providers in
creating affordable units for target households"; and
WHEREAS, the Grantee requests grant funding for the Project in an amount not
to exceed three Million One Hundred Thousand Dollars ($3,100,000.00); and
WHEREAS, the grant funding for the Project will not be disbursed until
verification of the total project funding structure is complete; and
WHEREAS, the success of the Project will result in accomplishing the stated
objectives of the Plan; and
WHEREAS, based on the recommendation and finding of the Executive Director,
attached and incorporated as Exhibit "A", it is in the CRA's best interest to authorize, by
an affirmative four -fifths (4/5ths) vote, a waiver of competitive sealed bidding
procedures pursuant to Sections 18-85 and 18-86 of the Code of the City of Miami,
Florida, as amended ("City Code"), as adopted by the CRA, for the allocation of grant
funds for the Project in an amount not to exceed Three Million One Hundred Thousand
Dollars ($3,100,000.00) to be disbursed subject to the availability of funding and the
Executive Director's discretion;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF

Section 1. The recitals and findings contained in the Preamble of the Resolution
are adopted by reference and incorporated as fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public
hearing, the Executive Director's recommendation and written finding, attached and
incorporated as Exhibit "A", pursuant to Sections 18-85 and 18-86 of the City Code, as
adopted by the CRA, are ratified, approved, and confirmed and the requirements for
competitive sealed bidding methods as not being practicable or advantageous to the
CRA are waived.
Section 3. Funds in an amount not to exceed Three Million One Hundred
Thousand Dollars ($3,100,000.00) for the Project are allocated, subject to the
availability of funding and the Executive Director's discretion, from CRA Fiscal Year
2023-2024 budget, to assist with the Project as requested.
Section 4. The Executive Director is authorized to negotiate and execute any and
all agreements and amendments, including any and all necessary documents, all in
forms acceptable to the General Counsel, for the purposes stated herein, including but
not limited to a restrictive covenant, with rents being restricted for a period of Thirty (30)
years, detailing rent restrictions which is to be recorded in the public records of Miami -
Dade County, Florida.
Section 5. This Resolution shall become effective immediately upon its adoption.

approving, and confirming the Executive Director's recommendation and finding that competitive
negotiation methods and procedures are not practicable or advantageous pursuant to sections
18-85 and 18-86 of the code of the City of Miami, Florida, as amended, as adopted by the Omni
CRA; waiving the requirements for competitive sealed bidding as not being practicable or
advantageous to the Omni CRA; authorizing the allocation of funding in an aggregate amount not
to exceed Three Million One Hundred Thousand Dollars and Zero Cents ($3,100,000.00)
("Funds"), to support the 2003 N. Miami Ave. ("Project"). The "Funds" will underwrite partially the
total rehabilitation cost of the "Project". Additionally, these "Funds" will not be disbursed until

The "Project", a mixed -use apartment building, consists of 11 micro -unit studios and commercial
space in South of Wynwood, Miami, built in 1926, in need of complete rehabilitation. The building
has suffered from deferred maintenance over the years, resulting in low or no occupancy.
The 2019 Redevelopment Plan emphasizes the importance of affordable housing, the creation of
affordable housing units and includes provisions for collaborating with private entities to revitalize
blighted properties. Section 4-33 of the Plan outlines that the Omni CRA can "Grant funds to assist
in rehabilitation of an existing housing project." This project aligns with the Plan, which focuses
on the rehabilitation of the much needed housing affordability in the area.
RECOMMENDATION
Based on the aforementioned background, the need for renovation, and community

affordable housing project tailored to the needs of restaurant workers. This project presents a
significant opportunity to address critical housing shortages and uplift our community while
redeveloping.
Kush has been a local institution for over a decade, serving award -winning food and cool
refreshments to neighborhood residents as well as visitors making the long trek from Downtown
to Wynwood on foot. The unfortunate temporary closure of the kitchen to make structural
repairs has left a void in the neighborhood that we aim to fill when we reopen.
Although originally built and used as a residential building, the upstairs apartments fell into
disrepair over time, and eventually lost their certificate of use. Currently they are vacant. During
the past decade that Wynwood has seen an explosion of new restaurants, affordable housing
nearby has become harder and harder to find, with restaurant staff living in precarious situations
or making long commutes. The redevelopment proposed is designed with the specific needs of
restaurant workers in mind. The plan includes the creation of 11 modern, energy -efficient units
that offer safe and comfortable living spaces for residents of lower income levels.
We also intend to fully renovate the vacant downstairs retail bays, increasing the activity and life
on the street, increasing tax revenue, and providing an anchor for the southeastern corner of
Wynwood and a bridge to Downtown and the Omni and Overtown neighborhoods.
We are eager to collaborate with the Omni Community Redevelopment Agency to bring this
vision to life. We are committed to maintaining transparent communication and ensuring the
highest standards of quality throughout the project.

Project Introduction
This proposal outlines the full redevelopment of 2003 N Miami Avenue, a severely dilapidated
structure, into a mixed -use, low-income affordable housing project designed for restaurant
workers. The project aims to address critical housing shortages and contribute to community
upliftment through a complete gut rehabilitation.
The building's current state is extremely deteriorated, necessitating extensive structural repairs.
The project will involve a comprehensive overhaul, including new plumbing, electrical, and
mechanical systems throughout.
The building is a one hundred -year old historical icon on a busy corner of an ever changing set
of neighborhoods. The building, originally owned by Murray Dubbin, a former Florida House of
Representatives member who played an instrumental role in creating Florida International
University, has a rich and colorful past. It was the residence of infamous gangster Whitey Bulger
in its upstairs apartments, while he was on the lam, and for 30 years, it was home to the
notorious brothel known as Dolly's Cafe. Today, it is the location of the iconic Miami restaurant,
Kush, adding another layer to its storied history.

Development Team
Matthew Kuscher - Owner Developer Operator
Matthew Kuscher, raised in the restaurant business, graduated from Florida
International University with a degree in Hospitality Management, is currently a
professor at the hospitality school at FIU and a third -generation restaurateur.
In 2011, Kuscher and his wife Priscilla opened LoKal in Coconut Grove, known for
its sustainable practices and local sourcing. This success led to the creation of
KUSH Hospitality Group (KHG), which expanded to include several unique
concepts. These include KUSH in Wynwood (2014), Kush by Spillover in Coconut
Grove (2016), Victoria's Vermuteria, a vermouth bar (2023), Stephen's Delicatessen, a revived historic
Jewish Style -deli in Hialeah (2019), La Cocina Cocteleria, a cocktail bar within Stephen's, Kush's
Tobacco Road, a tribute to the iconic Miami venue, and Kush at Clevelander, a sports bar in South Beach
(2022).
Kuscher is known for preserving Miami's culinary history and culture through his restaurants. He
incorporates local art, memorabilia, and unique design elements in each concept. Outside of his
restaurants, Kuscher teaches a masters class called restaurant development at FIU and is involved with
several charities including Pace Center for Girls, supporting troubled female youth in Allapattah and
Sebastian Strong supporting pediatric cancer research.

Neighborhood Need
Wynwood is witnessing a construction and entertainment boom, exhibiting extreme growth and
development. Yet, with the good it brings to the city, this expansion masks a deeper, more
pervasive issue: the city is grappling with a severe housing affordability crisis. High housing
costs coupled with relatively low wages have placed Miami among the cities with the most
severe housing affordability issues in the nation. This crisis is particularly acute in
neighborhoods like Overtown and Wynwood, where the impacts of gentrification and the
shortage of affordable housing are felt most strongly.
Naturally Occurring Affordable Housing (NOAH) refers to privately owned residential properties
that are lower in cost because they are older and usually subject to deferred maintenance.
Many NOAH properties are desirable for tenants because of the location within neighborhoods
that are convenient to places of work, worship, transportation hubs, and because the rent is
affordable. Miami's expensive and highly competitive real estate market coupled with low wages
has led to a housing affordability crisis that prevents workers from living near to their place of
employment, forcing them to spend valuable hours commuting.
In the amended Redevelopment Plan on pages 4-32 and 5-56, the CRA emphasizes the
importance of housing affordability as a pivotal initiative:
"To Assist For -Profit Housing Providers in the CRA could:
2) Pay some portion of development costs such as impact or permit fees
3) Provide a direct cash subsidy in the form of a rebate equal to a percentage of the
increases in taxes paid over a defined period of time after completion if affordable units
are provided"
6) Housing Affordability - The CRA should fund established and creative new ways to
increase the stock of workforce and lower income affordable housing within the district.
GOALS:
a) Create project -specific developer incentives to ensure that new or significantly
redeveloped residential projects in the CRA contain a sufficient number of units that are
affordable to the target populations."
This Project seeks financial support from the CRA to underwrite the development of both
commercial retail units and residential units, specifically for low-income and workforce
households, and asks the CRA to provide the Applicant with a project -specific incentive.
This initiative seeks financial backing from the CRA to support the repair of the unused
commercial spaces and restaurant on the first floor of the Miami Avenue frontage creating a
more vibrant entryway between the neighborhoods in three directions, Omni, Wynwood, and

Overtown. The CRA funding will also allow the creation of new small housing units targeted at
low-income individuals at rents affordable to those in the hospitality industry which our city
thrives on. The request entails granting the applicant special incentives tailored to the project,
underscoring the CRA's commitment to making affordable housing more accessible and
supporting the development of inclusive, thriving communities.
Efforts to address the housing crisis by the Omni CRA must include a focus on neighborhoods
like Wynwood as well as Overtown. Both neighborhoods face an acute lack of housing
affordability. The CRA initiatives to develop affordable housing are crucial for the economic
vitality and sustainability of such communities. By supporting projects that include affordable
units and offering financial incentives for developers, there is potential to mitigate the impacts of
gentrification and ensure that workers of different incomes have the opportunity to live near
where they work and have access to affordable, quality housing. This approach not only
addresses immediate needs but also contributes to the broader goal of fostering a more
equitable and inclusive Miami.

Training Certifications
In an effort to give back to the City, the owner is offering to participate in a training program for
residents who currently work or want to start a career in the restaurant industry.
This is a week-long restaurant internship which includes one week of kitchen training in every
position from dishwasher, expeditor, saute, pantry, assembler, prep cook and grill cook. They will
also obtain a Safe -Serve Certificate to prove they have been trained on how to properly work in
a sanitized environment and have permission to work in a kitchen. At the end of their training
they will receive a certificate from save serve and from Kush to indicate they have satisfied all
training needs.
We suggest starting this program with the students at Pace Center for Girls in Allapattah in
collaboration with their director Sherry Giordano. From there we will grow the program to include
Miami -Dade and FIU students, as well as other youth -focused nonprofits and educational
institutions.
Financing Plan & CRA Request
This project is self -funded by Matthew Kuscher himself, who has continually reinvested the
proceeds of each restaurant into opening new businesses in the City and employing more
residents at great jobs, giving the community solid local restaurant options in a time where
many local businesses are struggling.

These sources still leave a gap in the high costs of construction and financing in Miami today.
To offset the high cost of construction and lending, we ask the Omni CRA to support
maintaining and revitalizing housing affordable to Overtown residents, preventing
displacement of residents as well as the loss of small independent residential ownership in the
community and contribute a forgivable loan of $3,100,000 for a portion of the interior and
exterior development of both existing kitchen and commercial units as well as the residential
units, as listed above.
Affordability Plan
Many food & beverage operations have experienced difficulty in finding talent that lives close
to the site. Restaurant workers have been considered "Front Line" workers, but still face
escalating housing costs. Some choose long and arduous commutes at early hours from less
expensive neighborhoods; others are forced to live with multiple roommates per room, or in
unsafe housing conditions. Wynwood and Edgewater have seen an explosion in employment in
this sector, but rent prices are out of reach for many kitchen workers.
The Kush building has no residential units currently rented, and the recorded use is not
residential, but in the past it has had at least 10 residential units. This proposal anticipates the
redevelopment of 11 units approximating the original layout, but now classified as "microunits".
The City code allows this in the Wynwood NRD, due to the variety of neighborhood amenities,
proximity to transit, and the need for affordable units serving younger low-income people in
this arts district. 9 of the units will be restricted to "affordable" rents for residents earning 80%
of Area Median Income for a term of 30 years. 2 units will be restricted to "workforce" level
rents for residents making 100% or below of the Area Median Income.

in Miami Beach on December 2, 1955. Years later,
Bulger became the boss of the Winter Hill Gang in
Boston until he went into hiding in December of
1994. He remained at large for sixteen years until he
was found and arrested in Santa Monica, California
on June 22, 2011.
More than a decade prior to Bulger's arrest in
Miami Beach, he lived in a rooming house on North
Miami Avenue in Miami. Starting at a very young
age, James was constantly in trouble. In 1944, at the
age of fifteen, Bulger left Boston for Miami. Given
his troubles in Boston, he probably left for a change
of scenery and a fresh start.

Auto Body Shop. The shop was well known in Miami
with the slogan "Johnnie & Mack down by the
track". It was located at 74 NE 20th Street, which was
just east of the FEC Railroad tracks on 20th Street,
which is where it got its catch phrase.
While his actual address wasn't known during his
time in Miami, Bulger may have resided at the
Dubbins Apartments. The apartment building was

The Dubbins Apartment building was operating as a
rooming house during the mid-1940s. It was located
a short distance from where Bulger worked. The
1924 building still rents apartments today, and it
also is the location of the popular Kush restaurant
located on the ground level.
Bulger returned to Boston in 1946 and was arrested
and sentenced to juvenile reformatory in 1947. He
was seventeen at the time of his arrest for unarmed
robbery. James was released from the reformatory
in 1948 and joined, served and was discharged from
the Air Force prior to returning to Miami in 1955.

Bulger did possess stolen cash, but the police could
not find any stolen diamonds. They ended up
detaining him and his girlfriend on vagrancy
charges. He was bailed out of jail and appeared
before a judge a few days later. The judge dismissed
the charges on the condition that the couple leave
town immediately.
Although Bulger did return to South Florida on a
number of occasions later, he did comply with the
judge's orders and left town after gathering his
belongings.

NOTICE OF PUBLIC HEARING
The Board of Commissioners ("Board") of the Omni Redevelopment District Community
Redevelopment Agency ("CRA") will hold a Public Hearing on Thursday, July 25, 2024 at
9:30 a.m. or anytime thereafter in the City Commission chambers located at Miami City
Hall, 3500 Pan American Drive, Miami, Florida 33133.
The Board will consider the award of grant funds for the Kush Property LLC, as authorized
to transact business/render services in the State of Florida for stated property, to
underwrite a portion of the costs associated with the development of an affordable
housing project in the Omni CRA.
In accordance with the Board's 2019 Redevelopment Plan ("Plan") and Florida Statutes
163, the Board will consider funding an amount of $3,100,000.00 to underwrite the
expenditures and costs associated with the rehabilitation of a mixed -used apartment
building consisting of 11 micro -unit studios and commercial space located within the
Redevelopment Area of the Omni CRA at 2003 N. Miami Ave., Miami, Florida within
CRA's boundaries. This funding is critical in the rehabilitation of the property, which is
envisioned to reduce slum and blight and provide much -needed affordable housing in the
area.
The CRA Board requests all interested parties be present or represented at the meeting
and may be heard with respect to any proposition before the CRA Board, in which the
Board may take action. Should any person desire to appeal any decision of the Board
with respect to any matter considered at this meeting, that person shall ensure that a
verbatim record of the proceedings is made, including all testimony and evidence upon
which any appeal may be based (F.S. 286.0105).

RECOMMENDATION:
Based on the aforementioned background, it is recommended that the Board of Commissioners
of the Omni Community Redevelopment Agency authorize the execution of the seventy two -
month lease agreement for a 5,153 rentable square feet of retail and/or commercial space at the
Project, also referred to as "Wynwood Works", with a monthly rental fee of $20,833.00 ($48.60

Permitted Uses
Tenant agrees that the Premises shall be used for lawful purpose only. Tenant shall not do anything
which may interfere with the rights of other tenants in the Project nor shall Tenant use the Premises
in violation of any applicable governmental codes, laws, or ordinances, including, without
limitation, those certain restrictions contained in the Regulatory Agreement and Tax Credit/Bond
Application submitted by the Landlord with respect to the Apartment Building (collectively, the
"Laws"). Tenant shall not cause or permit the Premises to be used for the manufacture, storage,
use, release or disposal of hazardous materials or for any purpose deemed to be extra hazardous
on account of fire, or permit anything to be done which would in any way increase the rate of fire
insurance coverage on said building and/or its contents. Furthermore, Tenant shall not use the
Premises for any of the following prohibited uses:
(a) any manufacturing, distilling, refining, smelting, agricultural or mining
operation; (b) any dumping, disposing, incineration or reduction of garbage;
(c) any bowling alley or skating rink; (d) any mortuary or funeral home; (e)
any establishment selling or exhibiting "obscene" material; (t) any

establishment which exhibits, either live or by other means to any degree, nude
or partially clothed dancers or wait staff; (h) any gambling facility or operation,
including, but not limited to: off-track or sports betting parlor; table games such
as blackjack or poker; slot machines, video poker/blackjack/keno machines or
similar devices; or bingo hall; (i) any auto repair facility; G) any gun or
ammunition shop; (k) any tattoo parlor; (1) any liquor store; (m) any pawn,
secondhand or junk shop business, or any auction or flea market business; (n)
any title loans, payday loans, check cashing or similar operations or activities;
( o) any on -premises dry cleaner; (p) any escort service or any adult oriented
products or entertainment, including, without limitation, any wholesale or
retail stores, services, clubs, theaters, movie stores or other business or service
relating to the adult oriented industry; (q) any bail bond issuer; (r) any business
which produces environmental hazards regulated under applicable
environmental laws; (s) any parole, juvenile detention or similar service; (t)
any piercing service; (u) any business selling cannabis (whether for medicinal
or recreational purposes), (v) any business that serves food or alcoholic
beverages before 5:00 am or after midnight, (w) any use which would be
patently offensive to the members of the community in which the Project is
located; (x) any use which would materially and adversely interfere with the
ability to occupy the Project (other than the Premises) as a multifamily housing
project; or (y) any use that would cause the cancellation of any insurance policy
on the Project and prevent the replacement of said policy on commercially
reasonable terms.

Landlord Sublease
Review:
Tenant shall allow Landlord three business days to review any
proposed sublease for compliance with the terms of the Lease
before any such Sublease is executed.
Exterior Signage:
Any Sublease shall include the following provision:
"Subtenant shall not erect or install any signs, lettering or placards in or around
the Premises, without the prior written consent of both the Tenant and Landlord.
Subtenant shall, at its own expense, install within thirty (30) days after the
Commencement Date of the Sublease an exterior sign consisting of LED backlit
reverse channel letters in a place on the Premises to be designated by Landlord,
which sign will advertise Subtenants name or type of business. The form, color,
materials, design, location and dimensions of the sign will be subject to Tenant
and Landlord's prior written approval and shall comply with all applicable local
governmental and any other regulations, laws, orders or ordinances, which shall
not unreasonably be delayed, conditioned or withheld. Subtenant shall, at its sole
cost and expense, remove all signage at the expiration or earlier termination of
the Sublease and repair any damage to the Premises caused by the installation
and removal of the signage."
Use:
The Sublease must reference the Lease and explicitly restrict
the Subtenant from any of the prohibited uses outlined in

BACKGROUND:
The Board of Commissioners of the Omni Redevelopment District Community Redevelopment
Agency ("CRA") is recommended to approve and adopt the attached Resolution authorizing the
issuance of a grant in an amount not to exceed $50,000 to Prizm Art Fair LLC. This grant aims
to support a portion of the costs associated with the production of the Prizm 2024 Art Basel
event, with the goal of promoting safety, disseminating CRA information and providing additional
security, and enhancing the area's visual attractiveness.
JUSTIFICATION:
The Omni Redevelopment Plan ("Plan") lists the "[p]romotion and marketing of the community"
as a stated redevelopment goal. As per Section VII, page 63, one of the CRA's objectives is "to
encourage new regional cultural artistic attractions that will continue to boost the attractiveness
of the area as a regional designation."
The Art Basel and Prizm Art Fair 2024 is expected to attract thousands of residents to the Omni
Area, providing an ideal opportunity for the CRA to disseminate slum clearance and community
redevelopment information activities to the general public, in accordance with Florida Statute
163.370 (2)(b).
Additionally, the Executive Director is seeking the authority to negotiate and execute any and all
documents necessary to effectuate the grant, in a form acceptable to the General Counsel.

WHEREAS, Prizm Art Fair LLC, a Florida Limited Liability Company, ("Grantee")
submitted a proposal to the CRA requesting assistance to underwrite a portion of the cost
associated with the production of the Prizm 2024 Art Fair from December 2, 2024, to December
8, 2024, which will provide local artists the creative spaces to showcase their talent ("Purpose"),
located within the boundaries of the CRA's redevelopment area; and
WHEREAS, the Art Basel and Prizm Art Fair 2024 is expected to attract thousands of
residents and visitors to the Omni Area, providing an ideal opportunity for the CRA to
disseminate slum clearance and community redevelopment information activities to the general
public, in accordance with Section163.370 (2)(b) Florida Statutes; and
WHEREAS, page 42 of the Plan lists the "promotion and marketing of the community" as
a stated redevelopment goal; and

WHEREAS, pursuant to Section V, at page 52 of the Plan, support for this production is
consistent with the improvements desired where it outlines that the CRA can undertake
"catalytic programs designed to trigger the redevelopment of the area"; and
WHEREAS, section VII, at page 63, of the Plan, lists encouraging new regional cultural
or artistic attractions will continue to boost the attractiveness of the area as a regional
destination; and
WHEREAS, the Board wishes to allocate funds in an amount not to exceed Fifty
Thousand Dollars ($50,000.00) to Grantee for the Purpose stated herein; and
WHEREAS, based on the recommendation and finding of the Executive Director,
attached and incorporated as Exhibit "A", it is in the CRA's best interest to authorize, by an
affirmative four -fifths (4/5ths) vote, a waiver of competitive sealed bidding procedures pursuant
to Sections 18-85 and 18-86 of the Code of the City of Miami, Florida, as amended ("City
Code"), as adopted by the CRA, for the allocation of grant funds for the Purpose in an amount
not to exceed Fifty Thousand Dollars ($50,000.00) to be disbursed subject to the availability of
funding and the Executive Director's discretion; and
WHEREAS, the Executive Director is requesting authority to negotiate and execute an
agreement with Grantee, including any and all documents necessary, all forms acceptable to
the General Counsel for the Purpose stated herein;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF
THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference thereto and incorporated herein as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing, the
Executive Director's recommendation and written finding, attached and incorporated as Exhibit
"A", pursuant to Sections 18-85 and 18-86 of the City Code, as adopted by the CRA, are ratified,
approved, and confirmed and the requirements for competitive sealed bidding methods as not
being practicable or advantageous to the CRA are waived.
Section 3. The Executive Director is hereby authorized to allocate grant funds from the
OMNI CRA Budget - Other Grant and Aid - 10040.920501.883000.0000.00000, subject to the
availability of funding, in an amount not to exceed Fifty Thousand Dollars ($50,000.00) to
Grantee for the Purpose stated herein.
Section 4. The Executive Director is hereby authorized to negotiate and execute an
agreement, including any and all documents necessary, all in forms acceptable to the General
Counsel, to effectuate the grant to Grantee for the Purpose stated herein.

Prizm Parlour launched in 2017 and was created as a space for
our press guests to recharge during the fair. Last year's boutique
featured a pop-up boutique from Busayo NYC and also included
Prizm's bookstore with titles from Black authors. It was a space

fair. This year, Prizm Parlour can be accessed online with a
boutique featuring curated art, wares, books, and more from the

PRIZM FELLOWS
Prizm Fellows are hand -selected students and
aspiring art administrators across disciplines,
learning key pathways to a career in the arts during
their fellowship with Prizm. Fellows assist with
planning, development, execution, and content
capture of the fair. We work with students who are

talents to further their impact in the arts and culture

Prizm, with growing attendance and an 11-year track record of excellence in the arts and culture sector, provides the Omni CRA an opportunity to
market to a diverse demographic that is increasingly and keenly interested in the unique tourism and city-wide multicultural programming Omni CRA
promotes with its Entertainment District Initiative. Our audience is globally engaged, and our 2024 fair will offer the Omni CRA greater opportunities to
interface with the global arts community. Prizm has increased its engagement overseas this year, more than ever before, we will be exhibiting artists
and galleries from the continent of Africa and the Caribbean.
To that end, Prizm is requesting a $i5o.000 partnership with the Omni CRA to underwrite expenses associated with the execution of the annual fair
which supports our high -profile exhibiting artists, performers, and keynote speakers. Our network of artists is integral to the ongoing cultivation of
global dialogue around arts and culture in the African and African diaspora narrative. We believe a partnership with Omni CRA would be invaluable

NOTICE OF PUBLIC HEARING
The Board of Commissioners ("Board") of the Omni Redevelopment District Community
Redevelopment Agency ("CRA") will hold a Public Hearing on Thursday, July 25, 2024,
at 9:30 a.m. or anytime thereafter in the City Commission chambers located at Miami City
Hall, 3500 Pan American Drive, Miami, Florida 33133.
The Board will consider the award of grant funds to Prizm Art Fair LLC, to help underwrite
the costs associated with the production of the Prizm 2024 Art Basel.
In accordance with the Board's 2019 Redevelopment Plan ("Plan") and Florida Statutes
163, the Board will consider funding an amount of $50,000.00 to underwrite the
expenditures and costs associated with production of the Prizm 2024 Art Basel located
within the Redevelopment Area of the Omni CRA boundaries. This funding is deemed as
a non -tax increment revenue fund. Additionally, this funding is critical in the promotion
and marketing of the community.
The CRA Board requests all interested parties be present or represented at the meeting
and may be heard with respect to any proposition before the CRA Board, in which the
Board may take action. Should any person desire to appeal any decision of the Board
with respect to any matter considered at this meeting, that person shall ensure that a
verbatim record of the proceedings is made, including all testimony and evidence upon
which any appeal may be based (F.S. 286.0105).

AFFORDABLE AND/OR WORKFORCE HOUSING PROJECTS THAT ARE DEEMED
AFFORDABLE TO PERSONS OR FAMILIES WHOSE TOTAL HOUSEHOLD INCOME
IS AT OR BELOW 100% OF THE AREA MEDIAN INCOME ("AMI") FOR CRA
ASSISTED UNITS; FURTHER CONFIRMING THAT THE CRA SHALL NOT SEEK AN
A EXTENSION OF LIFE BEYOND JULY 7, 2047; AUTHORIZING THE EXECUTIVE
DIRECTOR TO IMPLEMENT SAID POLICY IN THE STANDARD OPERATING
PROCEDURES; FURTHER AUTHORIZING THE EXECUTIVE DIRECTOR TO
NEGOTIATE AND EXECUTE ANY AND ALL NECESSARY DOCUMENTS AND
AMENDMENTS THERETO, ALL IN FORMS ACCEPTABLE TO THE GENERAL
COUNSEL, FOR THE PURPOSES STATED HEREIN AND PROVIDING FOR AN
IMMEDIATE EFFECTIVE DATE.
WHEREAS, the Omni Redevelopment District Community Redevelopment Agency
("CRA") is tasked with the improvement of employment opportunities and upward job mobility;
and
WHEREAS, the CRA pursues the objective of providing suitable housing for current and
future residents, particularly in the CRA's area; and
WHEREAS, the 2019 Omni CRA Redevelopment Plan outlines in Section 2-9 that,
"affordable housing is a priority for the area"; and
WHEREAS, the sunset date of the CRA will be July 7th, 2047 and the CRA shall not
seek an extension of life beyond said date; and
WHEREAS, it is recommended that the CRA adopt and establish a policy that all
projects receiving more than Five Million Dollars ($5,000,000.00) prioritize funding for affordable
and/or workforce housing projects that are deemed affordable to persons or families whose total
household income is at or below 100% of the Area Median Income ("AMI"); and
WHEREAS, for CRA assisted units, at least fifty percent (50%) of the units will be
affordable housing for residents at or below sixty percent (60%) of the AMI, ten percent (10%) of
the units for residents between sixty percent (60%) of the AMI and eighty percent (80%) of the
AMI, ten percent (10%) of the units at any price; and
WHEREAS, the remaining units will be designated as workforce housing for residents
between sixty percent (60%) and one hundred percent (100%) of the AMI;

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF

Section 1. The recitals and findings contained in the Preamble of the Resolution are
adopted by reference and incorporated as fully set forth in this Section.

that are deemed affordable to persons or families whose total household income is at or below
one hundred percent (100%) of the AMI is hereby established as stated herein.
Section 3. The Executive Director is authorized to negotiate and execute any and all
documents necessary, all in forms acceptable to the General Counsel, for the purposes stated
herein.
Section 4. This Resolution shall become effective immediately upon its adoption.

Mt. Olivette Missionary Baptist Church, Inc. ("Mt. Olivette") owns a certain real property located
at 1450 N.W. 1st Court, Miami, Florida 33136, and has expressed a desire to enter into a
Revocable License Agreement ("Agreement") with the CRA to utilize the common area of the
property.
RECOMMENDATION:
The Executive Director seeks authorization to execute an Agreement between the CRA and the
Licensee to operate a common area for the Purple Shirts program. This agreement will be in a
form acceptable to the General Counsel and will commence from the effective date. The CRA
will pay a monthly use fee to Mt. Olivette of One Thousand Five Hundred dollars ($1,500.00),
along with additional terms and conditions as outlined in the agreement.

This item does not use Omni CRA Increment Tax Funding.

WHEREAS, the CRA has expressed interest in utilizing the property located at 1450
North West 1st Court, Miami, Florida 33136, currently owned by Mt. Olivette Baptist Church ("Mt.
Olivette"), to allow the Purple Shirts Team ("Purple Shirts") to use the common area of the
property to operate their program for a period of one (1) year ("Purpose"); and
WHEREAS, the Purple Shirts program has proved to be substantially successful in
achieving the objectives of the CRA by providing training, jobs and elimination of the slum and
blighted conditions in the area; and
WHEREAS, the CRA and Mt. Olivette desire to enter into a Revocable License
Agreement ("Agreement") for the Purple Shirts use of the property;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference thereto and incorporated herein as if fully set forth in this Section.
Section 2. The revocable license agreement between the CRA and Mt. Olivette, for the
