OMNI CRA RESOLUTION 11550 A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY ("CRA"), WITH ATTACHMENT(S), ACCEPTING THE SEPARATION OF JASON WALKER ("WALKER") AS THE EXECUTIVE DIRECTOR OF THE CRA; APPROVING A SEVERANCE PACKAGE FOR WALKER; AUTHORIZING AND DELEGATING ARTHUR NORIEGA V TO NEGOTIATE AND EXECUTE ANY AND ALL DOCUMENTS, ALL IN FORMS ACCEPTABLE TO THE GENERAL COUNSEL, FOR THE PURPOSES STATED HEREIN. I'm calling to order the February 24th, 2022, Omni CRA, (Community Redevelopment Agency) meeting. Mr. Min, will you go through the agenda? We have two items on our agenda. Mr. Min: Yes, sir, there are two items. Chair Diaz de la Portilla: You're recognized, sir. Mr. Min: The first item concerns the resignation of the executive director, Jason Walker. It is a voluntary resignation. And in exchange for his resignation, he asks for a severance agreement, which is attached. There is a substitution that needs to be made just to correct the notary, but the substance remains the same. The substance of the severance agreement includes 30 days of pay, which is equivalent to $15,000, 50 percent of his unused sick leave, which is equivalent to $35,567.94, and health insurance for a period of two months. So, the total fiscal impact to the CRA would be $50,567.94. The second item -- would you like me to go to the second item? Chair Diaz de la Portilla: Yes. Second item, sir. Mr. Min: The second item concerns the West Grove CRA. As the Board recalls, the Board previously approved a memo -- a cooperation agreement for the staff of the Omni CRA to assist the West Grove CRA. I believe that the Chair, in his evaluation, has determined that the Omni CRA's needs require the staff of the Omni CRA to focus on the Omni CRA, so it's terminating the agreement with the West Grove CRA. Chair Diaz de la Portilla: Is there a motion to open up -- Board Member Reyes: Yes. I'll move it. I move to open up the floor. Board Member King: Second. Is there any public comment on Items 1 or 2? Any public comment on Item 1 or 2? Jason Walker: I have a -- Chair Diaz de la Portilla: I'm going to recognize you, Mr. Walker, let me see. Mr. Walker: Thank you, sir. Chair Diaz de la Portilla: IIf there is no public comment, Mr. Walker, you're recognized, sir. Mr. Walker: Yeah. My only comment would be, in the resolution -- and I just found this out a couple days ago because during our conversation over the past week, it never came up. It was always a mutual separation agreement. In the resolution that was drafted by the City Attorney's Office, I see it says, "voluntary resignation," and that's fine. However, I understand that that may affect -- and again, I'm just finding this stuff out now. If it conies to it where I have to accept government assistance at some point, voluntary resignation doesn't allow you to accept unemployment. So, I would like to strike voluntary resignation and have mutual separation, which is what -- Chair Diaz de la Portilla: Can we do that, Mr. Min? Mr. Min: Yes, I can amend it if that's the desire of the Board. Chair Diaz de la Portilla: We can do that. So, we'll -- Board Member Reyes: Does it have -- that has any added consequences or anything, right? Chair Diaz de la Portilla: No, sir. Board Member Reyes: Okay, okay. Chair Diaz de la Portilla: We can do that. That's not a problem, Mr. Walker. Anything else, Mr. Walker? Mr. Walker.: No. Chair Diaz de la Portilla: Thank you. So, let's amend the item -- Board Member Russell: Question for Legal. I have a question on that. Chair Diaz de la Portilla: Oh, I'm sorry. Board Member Russell: Does mutual --? Chair Diaz de la Portilla: You 're recognized. Board Member Russell: Thank you, sir. Does -- Mr. Attorney, does mutual separation have any effect -- and this may be an HR (Human Resources) question. Does mutual separation have an effect on the ability to collect unemployment versus being fired versus voluntary versus mutual separation? Because I wasn't familiar with mutual separation. OMNI Community Redevelopment Agency Page 3 Printed on 3/2/2023 OMNI Community Redevelopment Agency Meeting Minutes February 24, 2022 Mr. Min: 1 know there is implications when it comes to unemployment compensation, but as far as the CRA, if it's going to be worded as a mutual separation, there's no implication from the CRA. Board Member Reyes: It's mutual separation. It's a mutual agreement. Board Member Russell: No, what we're worried about is -- we're worried about unemployment. Mr. Min: I would have to -- unfortunately, I would have to defer to Mr. Walker as far as -- Todd B. Hannon (Clerk of the Board): Chair, I'm sorry, I'm having a hard time hearing. Board Member Russell: I just don 't want to -- I don't want to put him in a position of jeopardy. He's trying to be very, cooperative. He's not trying to fight on this issue. Chair Diaz de la Portilla: Yes, he has been. Board Member Russell: And so I just don't want to put him in a situation where he won't be able to collect unemployment if that's necessary. Board Member Reyes: But that is why I ask if it was any additional -- Board Member Russell: Mr. Chair, I can reword the -- Board Member Reyes: -- and you said no. Chair Diaz de la Portilla: I was told -- my City Attorney told me that that was not the case. Board Member Reyes: Okay. Mr. Min: I'm happy to reword the resolution if that's the desire of the Board, to just simply say it's a separation of employment from the CRA. Chair Diaz de la Portilla: Yes. Board Member King: Right that, because I don't think a mutual separation -- Chair Diaz de la Portilla: We'll do mutual. Board Member King: -- or a voluntary separation will allow -- Chair Diaz de la Portilla: We'll amend to strike mutual. Just a separation agreement between the Omni CRA and Mr. Walker. Board Member Reyes: Okay. Chair Diaz de la Portilla: We'll do that. We'll amend -- okay, so Item 1 is amended. Public comment is still open. Public comment is now closed. Board Member Russell: Mr. Chair. Chair Diaz de la Portilla: Are there any, comments? OMNI CRA RESOLUTION 11551 A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY ("CRA") RESCINDING RESOLUTION NO. CRA-R-21-0030 ADOPTED ON SEPTEMBER 13, 2021 IN ITS ENTIRETY; DIRECTING THE STAFF OF THE CRA TO TAKE ANY AND ALL ACTIONS TO CANCEL AND TERMINATE ANY AND ALL AGREEMENTS THAT MAY HAVE BEEN EXECUTED AS A RESULT OF RESOLUTION NO. CRA-R-21-0030; FURTHER DIRECTING THE STAFF OF THE CRA TO SEEK ANY AND ALL REIMBURSEMENT THE CRA IS ENTITLED TO FROM THE WEST GROVE COMMUNITY REDEVELOPMENT AGENCY.
