WHEREAS, the City of Miami ("City") provides Zoning Verification Letters to constituents and developers as part of its governmental responsibilities; and WHEREAS, the City seeks to improve and expedite the production of Zoning Verification Letters for the T5 Transect Zone through innovative technological solutions; and WHEREAS, the C3 Generative Al for Government Program, operated by C3.AI, Inc. ("C3.AI"), is designed to assist government entities in implementing generative artificial intelligence ("Al") to enhance operational efficiency and service delivery; and WHEREAS, C3.AI has offered the City a three-month pilot subscription to its program as a proof of concept valued at Two Hundred Fifty Thousand One Dollars ($250,001.00), during which it will develop a customized Al application specifically designed to assist the City in generating Zoning Verification Letters for the T5 Transect Zone ("Associated Services"); and WHEREAS, Google, LLC ("Donor") has offered to provide the cloud infrastructure and a donation in the form of a credit to C3.AI in the amount of Two Hundred Fifty Thousand Dollars ($250,000.00) to cover the subscription cost, leaving the City responsible for a nominal one-time payment of One Dollar ($1.00); and WHEREAS, acceptance of this donation will allow the City to explore the use of Al in producing Zoning Verification Letters more efficiently while evaluating its broader application in City services; and WHEREAS, it is in the best interest of the City to accept this donation and authorize the City Manager to take all necessary actions to facilitate the implementation of the Associated Services; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized' to accept a donation from the Donor to the City in the form of a credit in the amount of Two Hundred Fifty Thousand Dollars ($250,000.00), leaving the City responsible for a nominal one-time payment of One Dollar ($1.00), toward a three (3) month subscription term to the C3 Generative Al for Government Program, operated by C3.AI, for the purpose of developing generative Al in a Google Cloud Environment, to assist the City in generating Zoning Verification Letters for the T5 Transect Zone. Section 3. Funds for this purpose are hereby allocated from any legally available source of funding. Section 4. The City Manager is further authorized' to negotiate and execute an agreement, in a form acceptable to the City Attorney, with C3.AI for the provision of the Associated Services. Section 5. The City Manager is further authorized' to negotiate and execute all other documents, including, but not limited to, donation letters, amendments, and modifications, all in forms acceptable to the City Attorney, and subject to all allocations, appropriations, prior budgetary approvals, compliance with all applicable provisions of the Code of the City of Miami, Florida, as amended ("City Code"), including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set forth in Chapter 18 of the City Code, and in compliance with all applicable laws, rules, and regulations, as may be deemed necessary for said purpose. Section 6. This Resolution shall become effective immediately upon its adoption. 1 The herein authorization is further subject to compliance with all legal requirements that may be imposed, including but not limited to, those prescribed by applicable City Charter and City Code provisions.
