Purpose of Item:
A Resolution of the Miami City Commission approving the Bayfront Park Management Trust's
("Trust") appointment of Assistant City Manager, Barbara C. Hernandez, as the Interim
Executive Director of the Trust, under the terms and conditions of employment agreed upon as
set forth herein, on a temporary basis.
Background of Item:
The Bayfront Park Management Trust ("Trust") was established pursuant to Ordinance No.
10348, as a limited agency and instrumentality of the City of Miami ("City"). The Trust is tasked
with directing, operating, managing, and maintaining all aspects of the City -owned properties
known as Bayfront Park and Maurice Ferre Park for the purposes of ensuring maximum
community utilization and enjoyment.
Section 38-105 of the Code of the City of Miami, Florida, as amended ("City Code"), provides
that the position of the Executive Director of the Trust shall be selected by the Trust and
approved by the City Commission. Section 38-105 of the City Code further provides that the
salary of the Executive Director shall be set by the Trust and approved by the City Commission.
The former Executive Director of the Trust resigned on December 17, 2024, resulting in a
vacancy in the position of Executive Director. The vacancy resulting from the former Executive
Director's prompt and unanticipated departure presented an emergency for the Trust as an
Executive Director is necessary for the continued and effective operations of the Trust, including
without limitation, the success of the Bayfront Park New Year's Eve event hosted by the Trust.
On December 20, 2024, the Trustees of the Trust unanimously voted to appoint the City's
current Assistant City Manager, Barbara C. Hernandez, as the Interim Executive Director of the
Trust for no additional monetary compensation, on a temporary basis.

A RESOLUTION OF THE MIAMI CITY COMMISSION RATIFYING, CONFIRMING,
AND APPROVING THE BAYFRONT PARK MANAGEMENT TRUST'S ("TRUST")
APPOINTMENT OF ASSISTANT CITY MANAGER, BARBARA C. HERNANDEZ AS
THE INTERIM EXECUTIVE DIRECTOR OF THE TRUST ON A TEMPORARY BASIS
WITH TERMS AND CONDITIONS AS SET FORTH HEREIN.
WHEREAS, the Bayfront Park Management Trust ("Trust") was established pursuant to
Ordinance No. 10348 as a limited agency and instrumentality of the City of Miami ("City"); and
WHEREAS, the Trust is tasked with directing, operating, managing, and maintaining all
aspects of the City -owned properties known as Bayfront Park and Maurice Ferre Park for the
purposes of ensuring maximum community utilization and enjoyment; and
WHEREAS, Section 38-105 of the Code of the City of Miami, Florida, as amended ("City

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The Trust's appointment of Assistant City Manager, Barbara C. Hernandez
as the Interim Executive Director of the Trust with the terms and conditions of employment
agreed upon by the Trust is hereby ratified, confirmed, and approved on a temporary basis.
Section 3. This Resolution shall become effective immediately upon its adoption.
