COMPLAINT TO QUIET TITLE 2930 NE 2nd LLC, a Delaware limited liability company ("Plaintiff"), sues City of Miami, a municipal corporation and political subdivision of the State of Florida ("City" or "Defendant"), and alleges as follows: PARTIES, JURISDICTION, AND VENUE 1. This is an action to quiet title in real property located in Miami -Dade County, Florida pursuant to FLA. STAT. § 65.061. 2. Plaintiff is a Delaware limited liability company and owns real property located in Miami -Dade County, Florida, which property is at issue in this dispute. 3. Defendant is a municipal corporation and subdivision under the laws of the State of Florida and is located in Miami -Dade County. 4. The Property (as defined below) at issue in this litigation is located within Miami - Dade County, Florida. Thus, venue is proper in Miami -Dade County, Florida pursuant to FLA. STAT. § 47.051, and this Court has jurisdiction over the subject matter of this action pursuant to FLA. STAT. § 26.012(2)(g). GENERAL ALLEGATIONS 5. Since on or about June 28, 2019, Plaintiff has owned the property located at 2923 NE 2 Ave., Miami, Florida 33128 (the "Property"), which is legally described as: Lots 7 and 8, Block 12, BROADMOOR, according to the plat thereof recorded in Plat Book 2, at Page 37, of the public records of Miami -Dade County, Florida. 6. Plaintiff is the owner of the Property, and deraigned title by virtue of that certain Warranty Deed dated June 28, 2019 and recorded at Book 31520, Page 1294, in the Public Records in and for Miami -Dade County, Florida on July 11, 2019. 7. In or about August 2021, Plaintiff entered into a license agreement with Raw & Refined LLC permitting its use of certain space on the Property for parking and operating a food truck. 8. Raw & Refined LLC represented to Plaintiff that it had "obtained or shall obtain all the necessary permits, licenses, registrations and approvals" to operate at the Property. 9. Plaintiff subsequently learned that Raw & Refined LLC was operating without a license and placed a tent and pavers on the Property without a permit and without Plaintiff's approval. 10. On November 5, 2021 violation reference nos. 2285, 2278, 2315 and 2104 were issued arising from Raw & Refined LLC's operations at and use of the Property. The Notice of Violations are annexed hereto as Exhibit A. 11. Raw & Refined LLC had been directed to correct the violations by November 15, 2021 and to notify the inspector that the violations had been corrected. 12. Raw & Refined LLC failed to comply with the Notice of Violations and also ceased paying Plaintiff pursuant to the license agreement. 13. Plaintiff notified Raw & Refined LLC of its defaults under the license agreement in early November 2022. 14. At a Code Enforcement Board Hearing on March 3, 2022, the Code Enforcement Board of the City found that Plaintiff violated the following laws: • Violation No. 2285 - Not in compliance with a Temporary Event Permit, a Temporary Occupancy Permit, or a Temporary Use Permit. City Code Chapter 62, Article XIII , Divisions 1, 2, and 3 • Violation No. 2278 - Failure to have a valid Business Tax Receipt or operating outside of the scope of BTR per chapter 31. City Code Chapter 31 • Violation No. 2315 - Failure to comply with requirements for food trucks (First Offense). City Charter Chapter 31 Art. 2 Section 31-51 • Violation No. 2104 - Work performed without a permit and/or permit not finalized. City Code SEC 10-3 (FBC 104, 105), Miami 21 section 7.1.2. 15. On March 4, 2022, the Board issued an Order establishing a deadline of March 4, 2022 to achieve compliance and imposing a daily fine of $500.00 per day thereafter. 16. On March 29, 2022, the Final Administrative Enforcement Order (the "Order") was recorded. A true and correct copy of the Order is attached as Exhibit B. 17. On April 14, 2023, Plaintiff commenced an ejectment proceeding against Raw & Refined LLC in this Court. 18. Raw & Refined LLC vacated the Property in late April 2023. 19. Plaintiff promptly removed the tent and pavers placed on the Property by Raw & Refined LLC. 20. Inspector Tiana Hallman visited the Property on June 6, 2023 and confirmed that the vacant lot was not being used for any events and that the food trucks were removed. 21. She advised Plaintiff that it needed an after -the -fact permit for partial demolition to remove the tent and pavers placed on the Property by Raw & Refined LLC. 22. Plaintiff applied for the after -the -fact permit. 23. An after -the -fact permit was issued to Plaintiff on October 20, 2023. A copy of the building permit is annexed as Exhibit C. 24. Between October 23, 2023 and October 30, 2023, the Publics Works, Plumbing, Electrical and Building Divisions each completed their inspections of the Property and confirmed that the Property was in compliance. A copy of the inspection history for the Property is annexed as Exhibit D. 25. Plaintiff tools swift action to comply with the Notice of Violations issued to Raw & Refined LLC and had achieved compliance as of November 8, 2023, as evidenced by the Affidavit of Compliance issued on July 1, 2024. A copy of the affidavit of compliance is annexed as Exhibit E. 26. Notwithstanding that Plaintiff has achieved compliance, Defendant has failed to vacate the Order that has created a lien against the Property. 27. A lien, in the amount of $307,000.00 as of June 25, 2024, exists on the Property. 28. Before filing this cause of action, Plaintiff communicated with Defendant in an attempt to mitigate the fines to no avail. 29. All conditions precedent have been completed before the filing of this cause of action. COUNT I — QUIET TITLE (the Property) 30. Plaintiff incorporates and realleges the allegations in paragraphs 1 through 29 are incorporated as if set forth fully herein. 31. This is an action to quiet title pursuant to FLA. STAT. §§ 65.021 and 65.061. 32. The Order imposed a lien on the Property. 33. Defendant may claim an adverse interest in the Property by virtue of the aforementioned lien. 34. Defendant does not have a lawful or legitimate interest in the Property, and any interest in the Property, if any, is subordinate and inferior to the Plaintiff's right, title, and interest in the Property. 35. Plaintiff is authorized to bring an action to quiet title to the Property and to clear any cloud on its title. See Section 65.031, Florida Statutes ("An action in chancery for quieting title to, or clearing a cloud from, land may be maintained in the name of the owner or of any prior owner who warranted the title.") 36. Plaintiff has a compelling interest in removing the cloud of title imposed by the Order and the lien because the title of the Property is currently unmarketable. WHEREFORE, the Plaintiff respectfully requests that this Court enter a judgment in its favor and against Defendant extinguishing any right or claim that Defendant may have in the Property, and removing any and all clouds on title to the Property, and quieting title in the Plaintiff, together with any and such further relief as this Court deems necessary to protect Plaintiff's rights and interests to the Property.
