HomeMy WebLinkAboutBack-Up DocumentsAMENDMENT#1 TO THE CONCESSION AGREEMENT BY AND BETWEEN THE CITY OF MIAMI, FLORIDA, AND DECO BIKE, LLC. This Amendment #1 to the Concession Agreement dated May 17, 2013 ("Agreement"), by and between the City of Miami, a municipal Corporation of the State of Florida ("City"), and Deco Bike, LLC, a Florida Corporation ("DecoBike"), with its principal place of business at 41 NE 17 Terrace, Miami Florida 33132. RECITALS WHEREAS, pursuant to Request for Proposals No. 275267 and Resolution No. 13-0035, the City entered into the Agreement with DecoBike; and WHEREAS, the City has a need to extend the term of automated bicycle share rental program services being provided by DecoBike; WHEREAS, the City wishes to continue to engage the services of DecoBike, and DecoBike wishes to perform the automated bicycle share rental program services for the City; NOW, THEREFORE, in consideration of the foregoing, the parties hereby amend the Agreement as follows: TERMS 1. Section 2.2 of the Agreement, Extension of Agreement, is hereby deleted in its entirety and replaced with the following language: Upon the expiration of the initial term, this agreement shall automatically renew on an annual basis, utilizing up to a maximum of five (5) one-year renewal terms, and one (1) additional six (6) month extension, so long as Concessionaire is not in default. The City, acting by and through its City Manager, shall have the option to extend or terminate the Agreement for convenience, that is, for any or no cause.
