(Space Above for Recorder's Use Only) DECLARATION OF RESTRICTIVE COVENANTS KNOW ALL MEN BY THESE PRESENT that the undersigned, BVM DEVELOPMENT LLC, a Florida limited liability company; 5040 NE 2, LLC, a Florida limited liability company; DESIGN DISTRICT STUDIOS LLC, a Florida limited liability company; DESIGN DISTRICT STUDIOS II LLC, a Florida limited liability company; and DESIGN DISTRICT STUDIOS 3 LLC, a Florida limited liability company (hereinafter, the "Owners") hereby make, declare and imposes on the land herein described, this Declaration of Restrictive Covenants (the "Declaration"), and the covenants running with the title to the land contained herein, which shall be binding on the Owners, all heirs, grantees, successors and assigns, personal representatives, mortgagees, lessees, and against all persons claiming by, through or under it. WHEREAS, Design District Studios LLC and Design District Studios 3 LLC (hereinafter, "Studios") are the owners of those certain properties located at 169 and 177 NE 50th Street (Folio Nos. 01-3124-015-0040 and 01-3124-015-0050), in the City of Miami, Florida (the "Studios Properties"), more particularly described in Exhibit "A," attached hereto and incorporated herein; and WHEREAS, Design District Studios II LLC (hereinafter, "DDS") is the owner of that certain property located at 160 NE 50th Terrace (Folio No. 01-3124-012-0830), in the City of Miami, Florida (the "DDS Property"), more particularly described in Exhibit "A," attached hereto and incorporated herein; and WHEREAS, BVM Development LLC (hereinafter, "BVM") and 5040 NE 2 LLC (hereinafter, "5040") are the owners of that certain property located at 184 NE 50th Terrace (Folio No. 01-3124-012-0780), 170 NE 50th Terrace (Folio No. 01-3124-012-0810), 162 NE 50th Terrace (Folio No. 01-3124-012-0820), 5010 NE 2nd Avenue (Folio No. 01-3124-012-0020), and 5040 NE 2nd Avenue (Folio No. 01-3124-012-0770), in the City of Miami, Florida, (together, the "BVM Properties"), more particularly described in Exhibit "A," attached hereto and incorporated herein; and WHEREAS, BVM is the owner of that certain parcel located at 183 NE 50th Street (Folio No. 01-3124- 015-0030), in the City of Miami, Florida (the "BVM Parcel"), more particularly described in Exhibit "A," attached hereto and incorporated herein; and 14`9-11-3- Exh,bi+ Pb Submitted Into the pu i lie record ` r it m(s) on 1 1-AZ- Z City Clerk WHEREAS, Owners submitted an application for a rezoning of the DDS Property, BVM Properties, Studios Properties and BVM Parcel owned by Owners identified as PZ-20-6065 (the "Application"); and WHEREAS, Owners as an inducement to the City of Miami ("City") for its approval of the Application voluntary proffer this Declaration and the limitations on the future development of the land described in Exhibit A outlined herein (collectively, the "Property"); and NOW, THEREFORE, IN ORDER TO ASSURE the City that the Owners' promises in connection with the Applications, the Owners, their successors and assigns, freely, voluntarily, and without duress hereby makes the following Declaration covering and running with Property and shall bind the Owners, any assignee, mortgage, or buyer, and all other parties that receive title to interest in the Property: 1. Recitals. The foregoing recitals are true and correct and are incorporated herein. 2. Use/Restrictions. The Owners hereby make the following voluntary declarations running with the land concerning the future development of the Property following the date of this Declaration. The restrictions outlined hereinbelow shall not be interpreted to limit the future development or redevelopment of the Property for such other lawfully permitted uses authorized by the City's ordinances or land development regulations, as the same may be amended from time -to -time. A. Short -Term Rentals. Owners hereby covenant that any residential units constructed in any new structures on the Property shall not be let for any residential tenancy with a duration of less than 180 days. Existing structures on the Property where residential units may be used for tenancies of less than 180 days are set forth in Exhibit "B." B. Parking Access. BVM and 5040 hereby covenants that any new parking structure or surface parking lot erected to service the BVM Properties and/or BVM Parcel shall be accessed exclusively from such parcels with a zoning designation of Urban Transect Zone (T5) or greater. C. Maximum Building Heights. Owners hereby covenant that the maximum height of any new buildings constructed on any portion of the Property with a designation of Urban Center Transect Zone (T5) shall be limited to a maximum height of five (5) Stories or eight -one feet (81'), whichever is less. Owners hereby further agree that the maximum height of any new buildings constructed on any portion of the Property with a designation of General Urban Transect Zone (T4) shall be three (3) Stories or forty feet (40'), whichever is less. D. DDS Property Maximum Density & Use Restrictions. In addition to the restriction on residential tenancies of 180 days or less set forth hereinabove in paragraph 2.A., DDS hereby covenants that the future development of the DDS Property shall: (i) for any new residential use, be limited to a maximum density of five (5) dwelling units; and (ii) not developed as Public Parking, as such term is defined in Miami 21, or as a private surface parking lot in support of such residential uses on the Studios Properties. E. BVM Properties Maximum Density. BVM and 5040 hereby covenant that the future development of the BVM Properties for any new residential use shall be limited to a maximum density of fifty (50) dwelling units. This Declaration shall constitute a covenant running with title to the Property and be binding upon the Owners, their successors and assigns upon recordation in the Public Records of Miami -Dade County, Florida. These restrictions shall be for the benefit of, and a limitation upon, all present and future owners of the Property and for the public welfare. 4. Term of Covenant. This voluntary Declaration on the part of the Owner shall remain in full force and effect and shall be binding upon the Owner, its successors in interest and assigns for an initial period of thirty (30) years from the date this Declaration is recorded in the public records, and shall be automatically extended for periods of ten (10) periods, unless modified, amended or released prior to the expiration thereof. 5. Inspection & Enforcement. It is understood and agreed that any official inspector of the City of Miami may have the right at any time during normal working hours of the City of Miami's inspector to enter upon the Property for the purpose of investigating the use of the Property, and for determining whether the conditions of this Declaration and the requirements of the City's building and zoning regulations are being complied with. An action to enforce the terms and conditions of this Declaration may be brought by the City and may be by action at law or in equity against any party or person violating or attempting to violate any covenants of this Declaration or provisions of the building and zoning regulations, either to restrain violations or to recover damages. This enforcement provision shall be in addition to any other remedies available under the law. 6. Amendment, Modification, Release. This Declaration may be amended, modified or released as to any portion or all of the Property upon approval of the same by a vote of the City Commission following a recommendation of the Release Review Committee applying the criteria in Section 7.1.7.6(a)(1), Miami 21. 7. Severability. Invalidation of any one of these covenants by judgment of a Court shall not affect any other provisions of the Declaration, which shall remain in full force and effect. 8. Counterparts/Electronic Signature. This Declaration may be executed in any number of counterparts, each of which so executed shall be deemed to be an original, and such counterparts shall together constitute but one and the same Declaration. The parties shall be entitled to sign and transmit an electronic signature of this Declaration (whether by facsimile, PDF or other e-mail transmissions), which signature shall be binding upon the party whose name is contained therein. Any party providing an electronic signature agrees to promptly execute and deliver to the other parties an original signed Declaration upon request. 9. Recordation. This Declaration shall be e-recorded by the City of Miami, at the Owners' expense, in the Public Records of Miami -Dade County, Florida upon full execution. 10. No Vested Rights. Nothing in this Declaration shall be construed to create any vested rights whatsoever to the Declarant, its successors, or assigns.
