WHEREAS, the City of Miami ("City") is the owner of real property located at 6201 Northwest 17 Avenue, Miami, Florida 33147 and 1199 Northwest 62 Street, Miami, Florida 33150 (the "Properties"); and WHERAS, A Better Me Learning Corp., a Florida -not -for -profit corporation ("User"), has requested to use the Properties, specifically described in Exhibit "A," attached and incorporated herein ("Premises"), for the sole purpose of hosting the SoFlo Liberty City Youth Art Fair ("Event"); and WHEREAS, the Properties are currently subject to certain Purchase and Sale Agreements authorized pursuant to Resolution No. R-19-0502, adopted on December 12, 2019, and Resolution No. R-23-0300, adopted on July 13, 2023; and WHEREAS, the purchasers of the Properties do not object to the use of the Premises for the Event subject to limitations of liability and the User maintaining and returning the Premises in good condition; and WHEREAS, the User wishes to use the Premises for the sole purpose of hosting the Event from December 1, 2024 to December 10, 2024, not inclusive of setup and dismantle times ("Purpose"); and WHEREAS, the City and User shall enter into a Revocable License Agreement ("Agreement") for the use of the Premises for the sole intended Purpose, and any other agreements or documents necessary for the purposes stated herein, all in a form acceptable to the City Attorney; and WHEREAS, the City grants to User temporary access rights to use the Premises for the sole said Purpose subject to the terms and conditions as set forth in the Agreement; and WHEREAS, the City Manager is requesting authorization to negotiate and execute the Agreement and any amendments thereto for the sole Purpose stated herein, in a form acceptable to the City Attorney; and WHEREAS, the City granting to the User temporary access rights to use the Premises or the execution of the Agreement pursuant to this Resolution shall not be construed as the granting of any permits, as may be applicable, to the User to host the Event; and WHEREAS, User shall secure all necessary permits and comply with all other applicable laws and regulations to host the Event on the Premises; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is hereby authorized' to negotiate and execute the Agreement, in a form acceptable to the City Attorney, between the City and User, whereby the City grants to User temporary access rights to use the Premises for the sole Purpose stated herein in accordance with the terms and conditions as set forth in the Agreement. Section 3. The City Manager is further authorized' to negotiate and execute all other necessary documents, including, but not limited to, amendments and modifications to said Agreement, for the sole Purpose stated herein, all in a form acceptable to the City Attorney. Section 4. This Resolution shall become effective immediately upon its adoption. APPROVED AS TO FORM AND CORRECTNESS: rge = .
