Subject: Approve Contract - EMT Billing Services
Purpose of Item:
The nature of this item is to respectfully request a resolution of the Miami City
Commission, with attachment(s), pursuant to Section 18-111 of the Code of the City Of
Miami, Florida, as amended ("City Code"), ratifying, confirming, and approving the
purchase of Emergency Medical Transport Billing and Collection Services ("EMT Billing
Services") on an as -needed basis for the Department of Fire -Rescue ("Fire -Rescue"),
attached and incorporated, through the City Of Miami Beach, Florida ("Miami Beach")
competitively solicited Contract No. RFP-2023-015-ND for EMT Billing Services with
Digitech Ems Billing, LLC ("Digitech"); further authorizing the City Manager to negotiate
and execute any and all documents, including any amendments, renewals, and
extensions, subject to all allocations, appropriations, prior budgetary approvals, and
compliance with all applicable provisions of the City Code, including the City
Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as
set forth in Chapter 18 of the City Code, in forms acceptable to the City Attorney, and in
compliance with all applicable laws, rules, and regulations, as may be deemed
necessary for said purpose.
Background of Item:
Change Healthcare Technology Enabled Services, LLC ("Change Healthcare") suffered
a cyber-attack on February 21, 2024, and remains unable to process medical billing and
is unable to provide an estimate of when it will be able to resume EMT Billing Services.
Fire -Rescue transports Emergency Medical Services ("EMS") patients within the limits
of the City of Miami and patients are billed for these services. The incumbent service
provider for EMT Billing Services is Change Healthcare. Total collections were in the
amount of $12,512,181.00 in fiscal year 2022-2023. Pursuant to Section 18-111 of the
Code of the City of Miami ("City Code"), the City may, in lieu of other City competitive
bidding procedures, accept a competitive bid which has been secured by or on behalf of
any federal, state, county or municipal government subject to a determination by the
Chief Procurement Officer that the contract was entered into pursuant to a competitive
process in compliance with city laws, policies and procedures; provided, however, that
in the purchase of goods or services in excess of $50,000.00, then such purchase shall
be subject to approval by the City Commission.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
PURSUANT TO SECTION 18-111 OF THE CODE OF THE CITY OF MIAMI, FLORIDA,
AS AMENDED ("CITY CODE"), RATIFYING, CONFIRMING, AND APPROVING THE
PURCHASE OF EMERGENCY MEDICAL TRANSPORT BILLING AND COLLECTION
SERVICES ("EMT BILLING SERVICES") ON AN AS -NEEDED BASIS FOR THE
DEPARTMENT OF FIRE -RESCUE ("FIRE -RESCUE"), ATTACHED AND
INCORPORATED, THROUGH THE CITY OF MIAMI BEACH, FLORIDA ("MIAMI
BEACH") COMPETITIVELY SOLICITED CONTRACT NO. RFP-2023-015-ND FOR
EMT BILLING SERVICES WITH DIGITECH EMS BILLING, LLC ("DIGITECH");
FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE
ANY AND ALL DOCUMENTS, INCLUDING ANY AMENDMENTS, RENEWALS, AND
EXTENSIONS, SUBJECT TO ALL ALLOCATIONS, APPROPRIATIONS, PRIOR
BUDGETARY APPROVALS, AND COMPLIANCE WITH ALL APPLICABLE
PROVISIONS OF THE CITY CODE, INCLUDING THE CITY PROCUREMENT

ALL AS SET FORTH IN CHAPTER 18 OF THE CITY CODE, IN FORMS

NECESSARY FOR SAID PURPOSE.
WHEREAS, Change Healthcare Technology Enabled Services, LLC ("Change
Healthcare") suffered a cyber-attack on February 21, 2024, and remains unable to process

WHEREAS, Fire -Rescue transports Emergency Medical Services ("EMS") patients from
within the limits of the City of Miami ("City") and patients are billed for these services; and
WHEREAS, total collections were in the amount of $12,512,181.00 in fiscal year 2022-
2023; and
WHEREAS, the incumbent service provider for EMT Billing Services is Change
Healthcare; and
WHEREAS, the immediate procurement of EMT Billing Services was essential to the
welfare and convenience of the City; and
WHEREAS, the City identified City of Miami Beach, Florida, Contract No. RFP-2023-
015-ND ("Miami Beach Contract") for EMT Billing Services with Digitech EMS Billing, LLC
("Digitech") as a viable source to purchase the necessary services; and
WHEREAS, pursuant to Section 18-111 of the Code of the City of Miami ("City Code"),
the City may, in lieu of other City competitive bidding procedures, accept a competitive bid
which has been secured by or on behalf of any federal, state, county or municipal government
subject to a determination by the chief procurement officer that the contract was entered into
pursuant to a competitive process in compliance with city laws, policies and procedures; and
WHEREAS, when such purchases are in excess of $50,000.00, then they shall be
subject to approval by the City Commission; and
WHEREAS, the City Commission hereby ratifies, confirms, approves the purchase of
EMT Billing Services through the Miami Beach Contract from Digitech;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Commission, pursuant to Section 18-111 of the City Code, hereby
ratifies, confirms, and approves of the purchase of EMT Billing Services on an as -needed basis
for the Department of Fire Rescue, attached and incorporated, through the Miami Beach
Contract with Digitech.
Section 3. The City Manager is authorized to negotiate and execute any and all
documents, including any amendments, renewals, and extensions, subject to all allocations,
appropriations, prior budgetary approvals, and compliance with all applicable provisions of the
city code, including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial
Integrity Principles, all as set forth in Chapter 18 of the City Code, in forms acceptable to the
City Attorney, and in compliance with all applicable laws, rules, and regulations, as may be
deemed necessary for said purpose.
Section 4. This Resolution shall become effective immediately upon its adoption.
