Subject: Execute WASD Agreement - Dulce Vida Apartments
Purpose of Item:
A Resolution of the Miami City Commission authorizing the City Manager to negotiate
and execute an agreement for water and sanitary sewer facilities ("Agreement"), in a
form acceptable to the city attorney, with Miami -Dade County Water and Sewer
Department ("WASD") for the provision of water and sanitary sewer services to a City of
Miami ("City") owned property located at 1785 Northwest 35 Street, Miami, Florida
("property"); further authorizing the City Manager to negotiate and execute all other
necessary documents, including amendments and modifications to said agreement, in a
form acceptable to the City Attorney, as may be necessary to effectuate said
Agreement.
Background of Item:
The City of Miami ("City") is the owner of the real property located at 1785 Northwest 35
Street, Miami, Florida ("Property"). The Miami -Dade Water and Sewer Department, a
body corporate and political subdivision of the State of Florida ("WASD"), requires a
Water and Sanitary Sewer Facilities Agreement ("Agreement"). The City is under a fully
executed Purchase and Sale contract dated March 21, 2023 to convey the Property to
Dulce Vida Apartments, LLC ("Developer") pursuant to Resolution R-22-0435, to
develop the property for workforce and affordable housing ("Project"). The Developer is
requesting the City to enter into the Agreement with WASD for the construction of the
necessary water and sewer facilities for the Project.

A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE AN AGREEMENT FOR WATER AND
SANITARY SEWER FACILITIES ("AGREEMENT"), IN A FORM ACCEPTABLE TO
THE CITY ATTORNEY, WITH THE MIAMI-DADE COUNTY WATER AND SEWER
DEPARTMENT FOR THE PROVISION OF WATER AND SANITARY SEWER
SERVICES TO A CITY OF MIAMI OWNED PROPERTY LOCATED AT 1785
NORTHWEST 35 STREET, MIAMI, FLORIDA ("PROPERTY") IN CONNECTION WITH
THE PURCHASE AND SALE AGREEMENT FOR THE CONVEYANCE OF THE
PROPERTY TO DULCE VIDA APARTMENTS FOR THE DEVELOPMENT OF
WORKFORCE AND AFFORDABLE HOUSING ("PROJECT"); FURTHER
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ALL OTHER
NECESSARY DOCUMENTS, INCLUDING AMENDMENTS AND MODIFICATIONS TO
SAID AGREEMENT, ASSIGNMENTS, AND OTHER REQUIRED DOCUMENTS TO
FINALIZE REQUIRED PERMITTING AND MEET CONDITIONS PRECEDENT TO
CLOSING, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, AS MAY BE
NECESSARY TO EFFECTUATE THE CONVEYANCE.
WHEREAS, the City of Miami ("City") is the owner of the real property located at 1785
Northwest 35 Street, Miami, Florida ("Property"); and
WHEREAS, the Miami -Dade County Water and Sewer Department, a body corporate
and political subdivision of the State of Florida ("WASD"), requires a Water and Sanitary Sewer
Facilities Agreement ("Agreement") for development of the Project; and
WHEREAS, the City and Developer entered into a Purchase and Sale Agreement dated
March 21, 2023 ("PSA") to convey the Property to Dulce Vida Apartments, LLC ("Developer") for
workforce and affordable housing ("Project"); and
WHEREAS, the PSA requires, as a condition precedent to closing, that Developer
provide evidence that it has received all necessary permits to construct the units to be
developed as part of the Project; and
WHEREAS, the Developer has requested that the City enter into the Agreement with
WASD for the construction of the necessary water and sewer facilities for the Project with the
intent of assigning such Agreement upon closing;
NOW, THEREFORE, BE IT RESOLVED BY THE MIAMI CITY COMMISSION OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is hereby authorized1 to negotiate and execute the
Agreement with WASD, in a form acceptable to the City Attorney, for the construction of the
necessary water and sewer facilities for the Project at the Property.
Section 3. The City Manager is further authorized to negotiate and execute all other
necessary documents, including amendments and modifications to said Agreement,
assignments, and other required documents to finalize required permitting and meet conditions
precedent to closing, all in a form acceptable to the City Attorney, as may be necessary to
effectuate the conveyance.
Section 4. This Resolution shall be effective immediately upon its adoption.
