PERPETUAL SIDEWALK & UTILITIES EASEMENT

INVESTMENTS LLC. whose address is 2290 NW N River Dri e, Miami, Florida 33125
("GRANTOR"), to the CITY OF MIAMI, a Florida Municipal Corporation, its successors
and assigns, whose address is 444 SW 2 Avenue, Miami, Florida 33130 ("GRANTEE").
WHEREAS: GRANTOR is the owner of fee simple title in and to the property
described in Exhibit "A"; and
WHEREAS: GRANTOR wishes to grant unto GRANTEE this Perpetual Sidewalk
& Utilities Easement.
WITNESSETH: That the GRANTOR for and in consideration of the sum of Ten Dollars
($10.00) and other good and valuable considerations paid, the receipt and sufficiency of which
is hereby acknowledged, hereby grants unto GRANTEE, its successors and assigns, a
perpetual easement for sidewalk and underground utilities purposes more particularly
described, but not limited to, pedestrian ingress and egress over and upon the sidewalk
constructed thereon, construction and modification of fixtures, amenities and utilities within
the easement including but not limited to street furniture, trees, grates, planters, street lighting,
catch basins, drainage structures, utility relocation or upgrade with full authority to enter upon,
construct and maintain the sidewalk, underground utilities and fixtures within the easement,
as the GRANTEE and its assigns may deem necessary, said land Tying in Miami -Dade
County, Florida and legally described in Exhibit "A".
RIGHTS GRANTED TO THE GRANTEE: The GRANTEE shall have the right to clear
and keep clear all trees, undergrowth, and other obstructions that may interfere with the normal
operation and maintenance of the easement by the GRANTEE, out of and away from the herein
GRANTEE right-of-way and that the GRAN FOR, herein its successors and assigns, agree
not to build, construct or create nor permit others to build, construct or create, any buildings or
other structures on the herein granted easement that may interfere with the normal operation of
the sidewalk and utilities. GRANTOR further grants the reasonable right to enter upon adjoining
lands of the GRANTOR for the purpose of exercising the rights herein granted. GRANTOR may

keep the easement area landscaped and may maintain access driveway entrances in the
easement area.
GRANTEE may at any time change the location of the sidewalk and_underground utilities
within the boundaries of the easement right-of-way, or modify or adjust the size of the existing
sidewalk and/or underground utilities it may determine in its sole discretion from time to time
without paying any additional compensation or granting additional consideration to GRANTOR or
GRANTOR'S heirs, successors, or assigns, provided GRANTEE does not expand its use of the
easement beynnci the easement boundaries described above. GRANTEE shall promptly restore
landscaping or driveway entrances damaged by GRANTEE'S use of the easement area, to their
preexisting condition. GRANTEE shall maintain all sidewalks and underground utilities within the
easement area in good condition and repair. GRANTOR reserves the right to grant other
easements within the easement area, provided such other easements and uses do not interfere
with GRANTEE'S use of the easement area as granted hereby.
TO HAVE AND TO HOLD the same unto said GRANTEE, its successors and assigns
forever, together with a covenant hereby knowingly, voluntarily, and freely given by GRANTOR
not to sue or to maintain any civil or other claim, demand, proceeding, cause of action, debt,
default, or other relief against the said GRANTEE and its successors and assigns from any or all
personal injury, property damage, loss, or diminution of property rights arising or accruing by virtue
of the GRANTEE's activities, acts, and omissions under this Easement and/or construction and/or
maintenance to the lands, if any, owned by the GRANTOR, laying adjacent, continuous, or
abutting to the lands hereinabove described and the GRANTOR will defend title to said lands
against all persons claiming by, through or under said GRANTOR. GRANTEE has not waived
any rights afforded to it under any federal, State of Florida, or local laws, rules or regulations
relating to streets, roads, sidewalks, or other public rights -of -way.
This Agreement shall be binding upon successors and assigns personal representatives,
heirs, executors, and administrators, of the parties hereto.
This Agreement may be executed in several counterparts, each of which shall be deemed
an original but all of which shall constitute one and the same instrument. Delivery of executed
signature pages hereof by facsimile or electronic transmission shall constitute effective and
binding execution and delivery hereof. The parties shall be entitled to sign and transmit an
electronic signature of this Agreement (whether by facsimile, PDF, or other email transmission),
which signature shall be binding on the party whose name is contained therein. Any party
providing an electronic signature agrees to promptly execute and deliver to the other parties an
original signed Agreement upon request.

LICENSE AGREEMENT
THIS LICENSE AGREEMENT is hereby entered this day of --)-CAS., L , 20 by
and between 25RM INVESTMENTS LLC whose address is 2290 NW N RIVER D3125 (hereinafter
referred to as the "LICENSOR") and the CITY OF MIAMI, a municipal corporation of the State of Florida,
with offices at 444 SW 2nd Avenue, (Attn.: CIP Dept., 8th FI.) Miami, FL 33130 (hereinafter referred to as
the "CITY").
WITNESSETH:
WHEREAS, LICENSOR is the fee simple owner of certain real property located in Miami -Dade
County, Florida, as more particularly identified in Exhibit "A" attached hereto and, by reference, made a
part hereof (hereinafter referred to as the "License Area"); and
WHEREAS, CITY desires to use LICENSOR's property for the purpose of sloping, grading, and
tying in right-of-way improvements with those of the License Area (hereinafter referred to as the "WORK");
and
WHEREAS, the CITY's actions on the License Area will result in connecting the property's existing
features to the City's improvements in the area; and
WHEREAS, LICENSOR has the full legal authority to execute this License Agreement as the
Owner of the License Area and desires to grant to CITY a license for the aforementioned purpose;
NOW, THEREFORE, for and in consideration of the terms, conditions and mutual covenants
contained herein and other good and valuable consideration received by each party, the sufficiency of which
are hereby acknowledged, LICENSOR and CITY hereby agree as follows:
1. LICENSOR hereby grants CITY, its agents, servants and assigns the right, privilege and license to
use the License Area to grade, re -grade, landscape and other necessary work, including the
operation of equipment, on, upon and across said License Area with similar material; and attain
ingress and egress to and upon said License Area for the purpose of exercising the rights, privileges
and license granted herein. The CITY does not guarantee, represent or warrant that this Work will
be done and no such commitment or representation is made by the execution of this License
Agreement. This License granted hereby is temporary and non-exclusive and shall commence on
the date of the CITY's Notice to Proceed issued to a contractor and directing him to begin the
WORK and shall continue in full force and effect thereafter until the earlier of: (1) the project is
completed; (2) by LICENSOR or CITY upon thirty (30) days prior written notice in the manner
provided by Section 6; or (3) within one (1) year from the date the Notice to Proceed is issued. The
City shall provide Licensor with a copy of the Notice to Proceed when it is issued to the contractor.
2. The CITY shall use its best efforts to provide the LICENSOR with five (5) days advance notification
of when the WORK will begin.
3. LICENSOR retains the right to use the License Area in any manner not inconsistent with the rights
herein granted to CITY provided, however, that, during the term of this License Agreement, the
LICENSOR shall not disturb the improvements made to swales without prior written approval from
the CITY.
4. CITY agrees that any and all work performed within the License Area and in association with the
purposes of this License Agreement shall be done in a good, safe, workmanlike manner and in
accordance with applicable federal, state, and local statutes, rules, regulations and ordinances now
in force.
5. Within thirty (30) calendar days after termination or expiration of this License Agreement and at the
CITY's sole cost and expense, the CITY shall remove all equipment, accessories and materials
owned by the CITY from the License Area and restore said License Area as nearly as practicable
to its condition prior to the granting of this License Agreement.
6. Whenever either party desires to give notice to the other, such notice must be in writing, sent by
certified United States Mail, postage prepaid, return receipt requested, or by hand -delivery with a
request for a written receipt of acknowledgment of delivery, addressed to the party for whom it is
intended at the place last specified. The place for giving notice shall remain the same as set forth
herein until changed in writing in the manner provided in this section. For the present, the parties

The CITY agrees that any and all work to be performed shall not unreasonably/substantially
interfere with the ingress or egress to the property of LICENSOR during its regular business hours.
Any breach of this provision shall terminate this License Agreement following fifteen (15) day notice
from Licensor to the City Manager, as provided in § 6, when such breach is not substantially cured
in -such thirty-(30) dayperiod. Nothing -herein shall -be construed to -be an-admission-of-Iiability or
fault by either party for any purposes.
7. This License Agreement contains the full and final understanding between the parties of its subject
matter and supersedes all prior, or contemporaneous oral or written communications and
understandings between the parties as to its subject matter This License Agreement may only be

amended by execution of an amendment signed by authorized persons employing the same
formalities as used in this License Agreement.
