A RESOLUTION OF THE MIAMI CITY COMMISSION, BY A FOUR -FIFTHS
(4/5THS) AFFIRMATIVE VOTE, TERMINATING FOR CONVENIENCE AND
WITHOUT CAUSE THE REVOCABLE LICENSE AGREEMENT ("RLA") WITH
PERPETUAL LOVE L TRUST, LLC. ("LICENSEE"), DATED NOVEMBER 10,
2022, FOR THE DEVELOPMENT OF A RECREATIONAL FACILITY TO BE
CONSTRUCTED ON CITY OWNED PROPERTY LOCATED AT BISCAYNE
PARK (150 NORTHEAST 19TH STREET) AND THE RELATED CONCESSION
LICENSE.

WHEREAS, pursuant to Resolution No. 22-0153, adopted on April 28, 2022, the City
Commission approved a Revocable License Agreement ("RLA") with Perpetual Love L Trust,
LLC ("Licensee") for the development of a recreational facility at the sole cost of the Licensee to
include a programming agreement and a concession license on City of Miami ("City") owned
property located at Biscayne Park, 150 Northeast 19th Street, Miami, Florida on the terms and
conditions, including use fee, use period, and other terms set forth in the RLA, and authorized
the City Manager to execute the RLA with the Licensee for the facility; and
WHEREAS, on or about November 10, 2022, the parties entered into a RLA for
purposes of developing a state-of-the-art recreational facility, which included a structure suitable
for concessions on City owned property, located at 150 Northeast 19th Street, for the benefit of
the City, its residents and visitors and for the Licensee to donate the facility to the City in fee
simple upon completion of construction; and
WHEREAS, the RLA is revocable at -will by the City and without the consent of the
Licensee; and
WHEREAS, Section 10.1 of the RLA provides that the RLA may be revoked at any time
without cause by giving not less than thirty (30) days written notice to the non -revoking party
prior to the effective date of the revocation provided the City has obtained 4/5ths approval by
the City Commission; and
WHEREAS, the City Commission finds that it is in the best interests of the City to
terminate the RLA for convenience and without cause in accordance with the terms of Section
10.1 of the RLA;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.

Section 2. The City Manager is hereby directed to, for convenience, terminate without
cause the RLA with Licensee in accordance with Section 10.1 of the RLA.
Section 3. This Resolution shall become effective immediately.
