R-23-0258, ADOPTED ON JUNE 8, 2023, AND SUBSTITUTING IN LIEU THEREOF THIS RESOLUTION PURSUANT TO SECTION 29-B OF THE CITY CHARTER, AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE AN AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, BETWEEN THE CITY AND THE COUNTY FOR THE USE OF THE OFFICE SPACE AT THE MANUEL ARTIME FOR A PERIOD OF TWO (2) YEARS, WITH TWO (2) OPTIONS TO RENEW FOR SUBSEQUENT TWO (2) YEAR PERIODS, AT A MONTHLY RENTAL FEE OF SIX HUNDRED SIXTY EIGHT AND 04/100 DOLLARS ($668.04) WITH A THREE PERCENT (3%) INCREASE FOR EACH SUBSEQUENT YEAR; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL DOCUMENTS, INCLUDING, BUT NOT LIMITED TO, NON -SUBSTANTIVE AMENDMENTS, RENEWALS, AND EXTENSIONS, ALL IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, SUBJECT TO ALL ALLOCATIONS, APPROPRIATIONS, PRIOR BUDGETARY APPROVALS, AND ALL IN COMPLIANCE WITH APPLICABLE PROVISIONS OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, AS MAY BE DEEMED NECESSARY FOR SAID PURPOSE; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Miami ("City") is the owner of the Manuel Artime Community Center office building located at 970 Southwest 1st Street, Miami, Florida ("Manuel Artime"); and WHEREAS, the City and the Miami -Dade County ("County) wish to enter into a lease agreement ("Agreement") for the use of approximately four hundred seventy-one (471) square feet of office space at the Manuel Artime Community Center (the "Office Space"); and WHEREAS, the City Commission adopted Resolution No. R-23-0258 at its June 8, 2023, City Commission Meeting, which authorized the City Manager to negotiate and execute a lease agreement with the County for use of the Office Space; and WHEREAS, Resolution No. R-23-0258 was adopted with an incorrect monthly rate for the lease; and WHEREAS, the City Commission desires to Resolution No. R-23-0258 in its entirety and replace in lieu thereof this Resolution; and WHEREAS, Section 29-B of the Charter of the City of Miami, Florida, as amended ("City Charter"), provides that the sale or lease of City -owned property must meet certain competitive bidding and advertising requirements; and City of Miami Page 1 of 3 File ID: 14822 (Revision:) Printed On: 7/17/2025 File ID: 14822 Enactment Number: R-23-0498 WHEREAS, Section 29-B(c) of the City Charter provides that any requirements therein, or any other requirements for competitive bidding, shall not apply when conveying property to implement projects of any governmental agency or instrumentality; and WHEREAS, the County is a political subdivision of the State of Florida and a governmental agency; and WHEREAS, the County intends to use the Office Space as office space for the Miami - Dade County Independent Civilian Panel to conduct investigations and hold public hearings; and WHEREAS, the City and County wish to enter into a lease agreement ("Agreement") for the use of the Office Space at a monthly rental fee of six hundred sixty- eight and 04/100 dollars ($668.04) ("Artime Rent"), with an annual increase of three percent (3%) per year, for a period of two (2) years with two (2) options to renew for additional two (2) year periods; and WHEREAS, the Agreement will be granted to implement a project of a governmental agency or instrumentality in accordance with Section 29-B(c) of the City Charter; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as fully set forth in this Section. Section 2. Resolution No. R-23-0258, adopted on June 8, 2023, is hereby rescinded in its entirety and replaced in lieu thereof with this Resolution. Section 3. Pursuant to Section 29-B of the City Charter, the City Manager is hereby authorized' to negotiate and execute the Agreement, in a form acceptable to the City Attorney, between the City and the County, for use of the Office Space for a period of two (2) years, with two (2) options to renew for additional two (2) year periods, at a monthly rental fee of six hundred sixty-eight and 04/100 dollars ($668.04) with an annual three percent (3%) increase for each year. Section 4. The City Manager is further authorized' to negotiate and execute any and all documents, including, but not limited to, non -substantive amendments, renewals, and extensions, all in forms acceptable to the City Attorney, subject to all allocations, appropriations, prior budgetary approvals, and all in compliance with applicable provisions of the Code of the City of Miami, Florida, as amended, as may be deemed necessary for said purpose. Section 5. This Resolution shall become effective immediately upon its adoption and signature of the Mayor2 1 The herein authorization is further subject to compliance with all legal requirements that may be imposed, including but not limited to those prescribed by applicable City Charter and City Code provisions. 2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City.
