AUTHORIZING THE CITY MANAGER TO TRANSFER, WITH RESTRICTIONS AND
AUTOMATIC REVERTER PROVISIONS, THE CITY -OWNED PARCEL OF LAND
LOCATED AT 1613 NW 54 STREET, AND 1625 NW 54 STREET MIAMI, FLORIDA,
AS MORE PARTICULARLY DESCRIBED IN ATTACHMENT "A," ATTACHED AND
INCORPORATED, ("PARCEL"), TO URBAN GREENWORKS, INC. ("UGM"); A
FLORIDA NOT FOR PROFIT CORPORATION, TO BE USED FOR THE
DEVELOPMENT OF A COMMUNITY GARDEN ("NUTRITION AS MEDICINE")
PROJECT; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND
EXECUTE AN AGREEMENT AND ANY AND ALL OTHER NECESSARY
DOCUMENTS, ALL IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, TO
TRANSFER THE PARCEL TO THE DEVELOPER.
Background of Item:
On July 2003, pursuant to resolution R-03-777 the Miami City Commission authorized
the Model City Community Revitalization District Trust ("Trust") to purchase certain
properties, which included the parcels of land located at 1613 NW 54 Street and 1625
NW 54 Street, respectively.
On January 7, 2004, the city took control of the parcels of land thought a Certificate of
Sale awarded by the Eleven Judicial Circuit of Miami Dade County.
On June 20, 2023, Urban Greenworks, Inc., ("UGM") a Florida not for profit corporation,
submitted a letter of interest for ownership the parcels of land to be used as a
community awareness, education, and training resources with "Nutrition as Medicine"
being the main theme.
The City Administration recommends transfer of the City -owned parcels to the Urban
Greenworks, Inc.; with restrictions and automatic reverted provisions.
Section 29-B(a) of the City Charter allows for the conveyance or disposition of City -
owned property for the implementation of projects which are intended to benefit persons
or households with low and/or moderate income.
The City shall require the following in order to convey the parcels to Urban Greenworks,
Inc.: (i) evidence satisfactory to the Director of the Department of Housing and
Community Development ("Director") that UGM has the financial means to undertake
such a project; (ii) ("UGM") cannot use the Parcel(s) as collateral for any mortgage(s)
and (iii) Parcels will continue to be used as community garden for 50 years and renewal
for 2 additional 10 years.
The Parcels shall be conveyed through an agreement ("Agreement") and any and all
other necessary documents, all in form(s) acceptable to the City Attorney.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED PUBLIC
HEARING, RATIFYING, APPROVING, AND CONFIRMING THE CITY MANAGER'S
FINDING, ATTACHED AND INCORPORATED AS ATTACHMENT "B," THAT
COMPETITIVE NEGOTIATION METHODS AND PROCEDURES ARE NOT
PRACTICABLE OR ADVANTAGEOUS FOR THE CITY OF MIAMI ("CITY")
PURSUANT TO SECTIONS 29-B(A) OF THE CHARTER OF THE CITY OF MIAMI,
FLORIDA, AS AMENDED ("CITY CHARTER"), AND SECTION 18-182(C) OF THE
CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE"); WAIVING
THE REQUIREMENTS FOR SAID PROCEDURES; AUTHORIZING THE CITY
MANAGER TO TRANSFER, WITH RESTRICTIONS AND AUTOMATIC REVERTER
PROVISIONS, THE CITY -OWNED PARCEL OF LAND LOCATED AT 1613
NORTHWEST 54 STREET, AND 1625 NORTHWEST 54 STREET MIAMI, FLORIDA,
AS MORE PARTICULARLY DESCRIBED IN ATTACHMENT "A," ATTACHED AND
INCORPORATED (COLLECTIVELY, "PARCEL"), TO URBAN GREENWORKS, INC., A
FLORIDA NOT FOR PROFIT CORPORATION ("UGM"), TO BE USED FOR THE
DEVELOPMENT OF A COMMUNITY GARDEN ("NUTRITION AS MEDICINE")

WHEREAS, on July 2003, pursuant to resolution R-03-777, the Miami City Commission

Northwest 54 Street, Miami, Florida, (collectively, "Parcel"); and
WHEREAS, on January 7, 2004, the City of Miami ("City") took control of the Parcel
through a Certificate of Sale awarded by the Eleventh Judicial Circuit of Florida; and
WHEREAS, on June 20, 2023, Urban Greenworks, Inc., a Florida not for profit
corporation ("UGM"), submitted a letter of interest for ownership of the Parcel to be used as a
community garden to improve nutrition awareness, education, and training resources with
"Nutrition as Medicine" as the main theme; and
WHEREAS, the City Administration recommends transferring the City -owned Parcel to
UGM, with restrictions and automatic reverter provisions; and
WHEREAS, Section 29-B(a) of the Charter of the City of Miami, Florida, as amended
("City Charter") allows for the conveyance or disposition of City -owned property for the
implementation of projects which are intended to benefit persons or households with low and/or
moderate income; and
WHEREAS, the City shall require the following in order to convey the Parcel to UGM: (i)
evidence satisfactory to the Director of the Department of Housing and Community
Development ("Director") that UGM has the financial means to undertake such a project; (ii)
UGM cannot use the Parcel(s) as collateral for any mortgage(s), and (iii) Parcel(s) will continue
to be used as community garden for fifty (50) years and renewal options for two (2) additional
ten (10) year terms; and
WHEREAS, the Parcel shall be conveyed through an agreement ("Agreement") and any
and all other necessary documents, all in form(s) acceptable to the City Attorney;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing,
the City Manager's determinations, findings, and recommendations, attached and incorporated
as Attachment "B," pursuant to Sections 29-B(a) of the City Charter and Section 18-182(c) of
the Code of the City of Miami, Florida, as amended, are ratified, approved, and confirmed and
the City Commission hereby waives the requirements for said procedures.
Section 3. The City Manager is authorized' to transfer with restrictions and automatic
reverter provisions the City -owned Parcel to UGM to be used for the development of a
community garden project to benefit persons or households with low and/or moderate income.
Section 4. The City Manager is further authorized' to negotiate and execute the
Agreement for the Parcel and any and all other necessary documents, all in a form acceptable
to the City Attorney.
Section 5. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
