Dear Director Hull:
This firm represents Invest Capital Group LLC (the "Applicant") in connection with the
property located at 39, 40, and 48 NW 39th Street, Miami, Florida, as more specifically described in
Exhibit "A" (the "Property"). Please accept this correspondence as the Letter of Intent for the attached
applications requesting a rezoning of the Property under the zoning code ("Miami 21") to T4-L from
its current zoning designation of T3-L, and an amendment to the Future Land Use Map ("FLUM") of
the City of Miami Neighborhood Comprehensive Plan ("Comprehensive Plan") to designate the
Property as "Low Density Restricted Commercial" from its current FLUM designation of "Single
Family Residential," as further described below.
The Applicant intends to develop 2-unit residences on each parcel in the Property, which can
be accomplished under T3-O zoning regulations. However, pursuant to Section 7.1.2.8(c)(1) of
Miami 21, rezoning applications which involve less than 40,000 square feet must involve the
extension of an existing Transect boundary. Therefore, the Applicant requests a rezoning to extend
the existing boundary of the T4-L Transect, which neighbors the Property directly to the east.
Nonetheless, the Applicant intends to proffer a restrictive covenant which would limit the
development of the Property to the use and design standards for the T3-O Transect.
The Applicant's proposed restrictive covenant for each parcel of the Property has been
included with the ePlan submittal for the rezoning application (PZ-22-13143) as PZD-9. Each
parcel is owned by a separate entity, requiring three separate covenants to be executed. These
three covenants will be substantively identical, with the exception of the different legal
descriptions and ownership information.
Provided below is a summary of the Property and its current land use and zoning
designations, as well as an overview of the proposed changes. A separate comprehensive analysis
of the rezoning and FLUM amendment is included with each ePlan submission.

The Applicant is requesting a rezoning of the Property from T3-L to T4-L, and an amendment
to the FLUM from Single Family Residential to Low Density Restricted Commercial. Maps of the
proposed zoning and FLUM designations are included with the attached application materials. These
changes will allow for greater residential density on the Property, while still preserving the character
of the neighborhood, as described in greater detail below.
Analysis
Section 7.1.2.8(a) of Miami 21 requires zoning changes to occur successionally to a lesser
transect zone, within the same transect zone to a greater or lesser intensity, or to the next higher
transect zone. The subject application complies with this successional zoning requirement in
requesting a change of zoning from T3-L to T4-L. The application also satisfies the rezoning eligibility
requirements of Section 7.1.2.8(c)(1), as the Property involves an extension of the existing T4-L
transect boundary.
Pursuant to Section 7.1.2.8(f), in considering an application for rezoning, the Planning,
Zoning and Appeals Board shall also consider the following criteria:
1. The relationship of the proposed amendment to the goals, objectives and policies of
the Comprehensive Plan, with appropriate consideration as to whether the proposed change
will further the goals, objectives and policies of the Comprehensive Plan; the Miami 21 Code;
and other city regulations.
2. The need and justification for the proposed change, including changed or changing
conditions that make the passage of the proposed change necessary.
3. That a zoning change be made only to the next intensity Transect Zone or by a Special Area
Plan, and in a manner which maintains the goals of this Miami 21 Code to preserve
Neighborhoods and to provide transitions in intensity and Building Height.

Analysis for Criterion # 1 — Further the Goals of the Comprehensive Plan:

Policy LU-1.1.3: The City's zoning ordinance provides for protection of all areas
from: (1) the encroachment of incompatible land uses; (2) the adverse impacts of future land uses in
adjacent areas that disrupt or degrade public health and safety, or natural or man-made amenities;
(3) transportation policies that divide or fragment established neighborhoods; and (4) degradation of
public open space, environment, and ecology. Strategies to further protect existing neighborhoods
through the development of appropriate transition standards and buffering requirements will be
incorporated into the City's land development regulations.

Located between the busy Miami Avenue corridor and the Design District on one side and
the single-family Buena Vista neighborhood on the other side, the Property is located at a natural
transition point. The proposed rezoning and accompanying FLUM change will allow for the
development of townhouse -style residential uses on the Property, which will help create a buffer
between the high -intensity commercial uses to the east and the single-family residential uses to the
west.
Currently, there is an abrupt transition between the General Commercial FLUM designation
(immediately to the east of the Property) and the Single Family Residential FLUM designation
(immediately to the west of the Property). Designating the Property as Low Density Restricted
Commercial will create a more appropriate transition between these two FLUM designations.
Similarly, the proposed rezoning from T3-L to T4-L will provide an appropriate buffer and
transition between the T3-L transect zone to the north and west of the Property, and the Miami
Design District SAP overlay area to the east and the T4-O transect zone to the south of the Property.
In this way, the proposed rezoning will prevent the encroachment of incompatible land uses.
Policy LU-1.1.7: Land development regulations and policies will allow for the development
and redevelopment of well -designed mixed -use neighborhoods that provide for the full range of
residential, office, live/work spaces, neighborhood retail, and community facilities in a walkable area
and that are amenable to a variety of transportation modes, including pedestrianism, bicycles,
automobiles, and mass transit.
As noted above, the proposed rezoning and FLUM amendment will allow for the development
of townhouse -style multifamily housing, helping to diversify the housing stock available in Buena
Vista. Additionally, the introduction of this kind of multifamily housing in close proximity to the
extensive retail uses to the east will help foster a walkable pedestrian environment.
Policy LU-1.3.15: The City will continue to encourage a development pattern that enhances
existing neighborhoods by developing a balanced mix of uses including areas for employment,
shopping, housing, and recreation in close proximity to each other.
The requested rezoning and FLUM amendment will enhance the existing Buena Vista and
Design District neighborhoods by allowing for a balanced mix of uses in close proximity to each
other. It will also introduce higher density residential uses in close proximity to a primarily commercial
corridor, improving walkability.
Objective TR-1.1: Encourage sustainable growth and development that aims to improve
mobility, reduce congestion, and supports the overall growth strategy of the City.

In the last decade, the Miami Design District SAP area has undergone significant
development, with a corresponding increase in activity. By allowing for the development of
townhouse -style multifamily housing, the proposed rezoning and FLUM amendment will create a
transition between the intense commercial uses in the Design District and the Buena Vista
neighborhood.
Housing costs in and around Miami have increased dramatically, and the City has clearly and
consistently articulated a goal to increase housing stock variety. The proposal will create the
opportunity to develop a style of housing stock that is underrepresented in Miami. Additionally, the
proposed rezoning and FLUM amendment will allow for increased density without allowing for
excessively large buildings that would be out -of -scale with the largely single-family Buena Vista
community.
The City has also identified walkability and increased transit ridership as ongoing and
important goals. The development of multifamily housing near major commercial and transit corridors
will further both of these objectives.
Analysis for Criterion # 3 - Next Intensity Transect Zone
The application requests a rezoning from T3-L to T4-L in compliance with the successional
zoning table of Section 7.1.2.8 of Miami 21, satisfying the criterion that a zoning change be made
only to the next intensity Transect Zone. As discussed more thoroughly above, the rezoning will
provide for an appropriate buffer between the T3 properties to the west of the Property and the Miami
Design District SAP to the east.
Conclusion
The subject application will increase housing affordability, help to preserve the Buena Vista
neighborhood by creating a transition in intensity from the N Miami Avenue corridor, create an
opportunity for greater diversity in Miami's housing stock, and increase walkability and transit use in
this area. For the foregoing reasons, the Applicant respectfully requests a rezoning of the Property
from T3-L to T4-L and accompanying FLUM amendment from Single Family Residential to Low

1. Pursuant to MCNP Transportation Policy TR-1.3.3, at the time of
development or redevelopment, a Traffic Statement will be required if
20 or more peak hour trips are generated.
2. Ensure robust outreach and coordination with the Buena Vista Heights
neighborhood to the north and west.
3. The N Miami Ave and NW 2 Ave corridors have very consistent land
use patterns, with higher density and intensity Future Land Uses
directly abutting the corridor and either Single Family Residential or
Duplex Residential directly behind throughout the rest of the
neighborhood. The proposed application would seek a change to the
designation in a manner that is not a consistent pattern anywhere else
in the neighborhood. In fact, the Restricted Commercial designation
already extends further west away from the corridor in the immediately
adjacent area than anywhere else along either of the nearby corridors.
Consider that the proposed amendment may be a departure from
these patterns.
4. If you intend to proffer a covenant, do your best to ensure the
covenant is finalized and submitted along with the application to
rezone, as processing the covenant takes some time. Any delays
submitting the covenant may result in delays to the application being
scheduled for public hearing.

requirements of the City's building and zoning regulations are being complied with. An action to

other remedies available under the law.
6. Cumulative. All rights, remedies, and privileges gained herein shall be deemed
to be cumulative and the exercise of any one or more shall neither be deemed to constitute an
election of remedies, nor shall it preclude the party exercising the same from exercising such
other additional rights, remedies or privileges as may be available to it.
7. Amendment, Modification, Release. This instrument may be modified, amended,
or released as to any portion or all of the Property only after the occurrence of a public hearing

THIS DECLARATION OF RESTRICTIVE COVENANTS (the "Declaration") is made

WHEREAS, the Owner desires to make a voluntary binding commitment
the Property is developed in accordance with the provisions of the Declaration herein;
NOW THEREFORE, the Owner, for valuable consideration, the receipt and adequacy
of which are hereby acknowledged, voluntarily covenants and agrees that the Property shall be
subject to the following restrictions that are intended and shall be deemed to be a covenant
running with the land and binding upon the Owner of the Property, and its heirs, grantees,
successors, and assigns as follows:
1. Recitals. The recitals and findings set forth in the preamble of this Declaration
are hereby adopted by reference thereto and incorporated herein as if fully set forth in this
Section.
2. Restriction: Notwithstanding the T4-L zoning on the Property, development on
the Property shall be restricted to residential uses with a maximum density of two (2) dwelling
units to be developed in accordance with the development standards for the T3-O transect zone
as described in Miami 21.
3. Effective Date. This instrument shall constitute a covenant running with the title
to the Property and be binding upon Owner, its successors and assigns upon recordation in the
Public Records of Miami -Dade County, Florida. These restrictions shall be for the benefit of,
and a limitation upon, all present and future owners of the Property and for the public welfare.
4. Term of Covenant This voluntary covenant on the part of the Owner shall

5. Inspection and Enforcement. It is understood and agreed that any official
inspector of the City of Miami may have the right at any time during normal working hours of
the City of Miami's inspector to enter upon the Property for the purpose of investigating the use
of the Property, and for determining whether the conditions of this Declaration and the
requirements of the City's building and zoning regulations are being complied with. An action to
enforce the terms and conditions of this Declaration may be brought by the City and may be by
action at law or in equity against any party or person violating or attempting to violate any
covenants of this Declaration or provisions of the building and zoning regulations, either to
restrain violations or to recover damages. This enforcement provision shall be in addition to any
other remedies available under the law.
6. Cumulative. All rights, remedies, and privileges gained herein shall be deemed
to be cumulative and the exercise of any one or more shall neither be deemed to constitute an
election of remedies, nor shall it preclude the party exercising the same from exercising such
other additional rights, remedies or privileges as may be available to it.
7. Amendment, Modification, Release. This instrument may be modified, amended,
or released as to any portion or all of the Property only after the occurrence of a public hearing

designee, and be in a form acceptable to the City Attorney.
8. Severability. Invalidation of any one of these covenants by judgment of Court
shall not affect any of the other provisions of this Declaration, which shall remain in full force
and effect.
9. Recording. This Declaration shall be filed of record among the Public Records of
Miami -Dade County, Florida, at the cost of the Owner, within thirty (30) days of the acceptance
by the City. The Owner shall furnish a copy of the recorded Declaration to the City Department

10. Counterparts/Electronic Signature. This Declaration may be executed in any
number of counterparts, each of which so executed shall be deemed to be an original, and such

2. Filing fees may not be the total cost of a hearing. Some requests require notices to be mailed to property
owners up to a mile from the subject property and I am responsible for paying the additional radius mailing
costs. In addition to mailing costs, I am responsible for additional fees related to application changes, plan
revisions, deferrals, re -advertising, etc. that may be incurred. I understand that fees must be paid promptly. The
only fees that will be refunded after the submission and acceptance of an application for public hearing has
occurred will be the surcharge fees related to appeals, as expressly listed in Chapter 62 of the City Code
(Code).
3. Requests for public hearing will be scheduled by the Hearing Boards in accordance with the scheduling timeline
set forth in the Code and the Zoning Ordinance of the City of Miami (Miami 21), as applicable. I must submit any
requests to reschedule, continue or defer my hearing date to the attention of the decision -making body for its
consideration and vote at the public hearing on which my application is scheduled to be heard. I understand that
any requests by the applicant to reschedule, continue or defer the hearing date that are granted shall incur a
$1,000.00 fee, as per the Code.
4. Applicable Florida Building Code requirements, or other applicable requirements, may affect my ability to obtain
a building permit even if my zoning application is approved; and a building permit will probably be required. I am
responsible for obtaining any required permits and inspections for all structures and additions proposed, or built,
without permits. In addition, a Certificate of Use (C.U.) must be obtained for the use of the property after it has
been approved at a zoning public hearing. Failure to obtain the required permits and/or C.U., Certificates of
Completion (C.C,), or Certificate of Occupancy (C.O.) will result in an enforcement action against any occupant
and owner. Submittal of the zoning public hearing request may not forestall enforcement action against the
property.
5. If my request is denied, deferred, or otherwise not approved, I understand that I will not be reimbursed for any
fees paid.
6. Any requests by the applicant to reschedule, continue or defer the hearing date that are granted shall incur a
$1,000.00 fee, as per the Code.
7. Any covenant to be voluntarily proffered must be submitted in word format to the Planning Department and to
the Office of the City Attorney through ePlan for review and comments from the Planning Department, Office of
the City Attorney, and any other City departments as deemed necessary. The covenant will be reviewed in
ePlan and the applicant will be notified of any necessary changes, corrections or comments through ePlan.
Once the covenant receives a recommendation of approval from the Planning department and as to legal form,
Hearing Boards staff will extract the approved covenant directly from ePlan to include as part of the agenda.
The applicant is responsible to submit to the Hearing Boards the signed covenant with a current Opinion of Title
no later than two (2) weeks prior to the initial public hearing. 1 understand that any requests by the applicant to
reschedule, continue or defer the hearing date that are granted shall incur a $1,000.00 fee, per instance, as per
the Code.

Lobbyists, as defined in City Code Section 2-653, shall pay an annual registration fee of $525.00, plus $105.00 for
each principal represented for each issue lobbied on behalf of any one principal. Each issue associated with lobbying
shall be described with as much detail as is practical. The City Clerk, or the City Clerk's designee, shall reject any

Lobbyists, as defined in City Code Section 2-653, shall pay an annual registration fee of $525.00, plus $105.00 for
each principal represented for each issue lobbied on behalf of any one principal. Each issue associated with lobbying
shall be described with as much detail as is practical. The City Clerk, or the City Clerk's designee, shall reject any
registration statement that does not provide a clear description of the specific issue on which such lobbyist has been
retained to lobby or if any section of this form is left blank. Regardless of the date of the annual registration, all
lobbyists' annual registrations shall expire December 31 of each calendar year and shall be renewed on a calendar
year basis.
Each lobbyist shall, within sixty (60) days after registering as a lobbyist, submit to the Office of the City Clerk a
certificate of completion of an ethics course offered by the Miami -Dade County Commission on Ethics & Public
Trust ("Ethics Commission"). Lobbyists who have completed the initial ethics course mandated by the preceding
sentence and have continuously registered as a lobbyist thereafter shall be required to complete a refresher ethics
course offered by the Ethics Commission every two (2) years. Each lobbyist who has completed a refresher ethics
course shall submit a certificate of completion within sixty (60) days after registering as a lobbyist.
