Subject: Lease Agreement - Miami -Dade County Independent Civilian Panel
Purpose of Item:
Providing authorization to the City Manager to negotiate and execute a Lease between
the City and the ICP for use of Room 404 at the Manuel Artime Community Center
located at 970 SW 1 Street per a request from the ICP to lease office space.
Background of Item:
The ICP has advised the City's Department of Real Estate and Asset Management
("DREAM") of its desire to lease office space at the Manuel Artime Community Center
for the purpose of conducting independent investigations and review regarding
concerns or grievances made against sworn officers of the Miami -Dade Police
Department any successor agency or any other law enforcement agency established by
the ICP. The ICP has accepted a term sheet compiled by DREAM outlining basic
components of a proposed Lease.

A RESOLUTION OF THE MIAMI CITY COMMISSION, PURSUANT TO SECTION 29-B
OF THE CHARTER OF THE CITY OF MIAMI, FLORIDA, AS AMENDED,
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE A LEASE
AGREEMENT ("AGREEMENT"), IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, BETWEEN THE CITY OF MIAMI ("CITY") AND MIAMI-DADE COUNTY
("COUNTY") FOR THE USE OF APPROXIMATELY FOUR HUNDRED SEVENTY-ONE
SQUARE FEET (471 SQFT) OF OFFICE SPACE IN THE CITY -OWNED PROPERTY
LOCATED AT 970 SOUTHWEST 1ST STREET, MIAMI, FLORIDA, KNOWN AS THE
MANUEL ARTIME COMMUNITY CENTER, FOR A PERIOD OF TWO (2) YEARS,
WITH TWO (2) OPTIONS TO RENEW FOR SUBSEQUENT TWO (2) YEAR PERIODS
AT A MONTHLY RENTAL FEE OF EIGHT THOUSAND TWENTY-ONE DOLLARS
AND THIRTEEN CENTS ($8,021.13) ($96,253.56 ANNUALLY) IN THE FIRST YEAR
WITH A THREE PERCENT (3%) INCREASE FOR EACH SUBSEQUENT YEAR;
FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE
ANY AND ALL NECESSARY DOCUMENTS, INCLUDING, BUT NOT LIMITED TO,
NON -SUBSTANTIVE AMENDMENTS, RENEWALS, AND EXTENSIONS, ALL IN
FORMS ACCEPTABLE TO THE CITY ATTORNEY, SUBJECT TO ALL
ALLOCATIONS, APPROPRIATIONS, PRIOR BUDGETARY APPROVALS, AND ALL
IN COMPLIANCE WITH APPLICABLE PROVISIONS OF THE CODE OF THE CITY OF
MIAMI, FLORIDA, AS AMENDED, AS MAY BE DEEMED NECESSARY FOR SAID
PURPOSE; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Miami ("City") is the owner of the Manuel Artime Community
Center office building located at 970 Southwest 1st Street, Miami, Florida ("Manuel Artime
Community Center"); and
WHEREAS, Section 29-B of the Charter of the City of Miami, Florida, as amended ("City
Charter"), provides that the sale or lease of City -owned property must meet certain competitive
bidding and advertising requirements; and
WHEREAS, Section 29-B(c) of the City Charter provides that any requirements therein,
or any other requirements for competitive bidding, shall not apply when conveying property to
implement projects of any governmental agency or instrumentality; and
WHEREAS, the Miami -Dade County ("County") is a political subdivision of the State of
Florida and a governmental agency; and
WHEREAS, the City and the County wish to enter into a Lease Agreement
("Agreement"), in a form acceptable to the City Attorney, for the use of approximately four
hundred seventy-one square feet (471 sqft) of office space at the Manuel Artime Community
Center by the County's Independent Civilian Panel; and
WHEREAS, the Agreement will be for a period of two (2) years, with two (2) options to
renew for subsequent two (2) year periods, and provide for the County to pay a monthly rental
fee of eight thousand twenty-one dollars and thirteen cents ($8,021.13) ($96,253.56 annually) in
the first year with a three percent (3%) increase for each subsequent year;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as fully set forth in this Section.
Section 2. Pursuant to Section 29-B of the City Charter, after an advertised public
hearing, the City Manager is authorized' to negotiate and execute the Agreement, in a form
acceptable to the City Attorney, between the City and the County, for the use of approximately
four hundred seventy-one (471) square feet of office space in the Manuel Artime Community
Center for a period of two (2) years, with two (2) options to renew for subsequent two (2) year
periods, at a monthly rental fee of eight thousand twenty-one dollars and thirteen cents
($8,021.13) ($96,253.56 annually) in the first year with a three percent (3%) increase for each
subsequent year, with terms and conditions to be more specifically set forth in said Agreement.
Section 3. The City Manager is further authorized' to negotiate and execute any and all
necessary documents, including, but not limited to, non -substantive amendments, renewals,
and extensions, all in forms acceptable to the City Attorney, subject to all allocations,
appropriations, prior budgetary approvals, and all in compliance with applicable provisions of the
Code of the City of Miami, Florida, as amended, as may be deemed necessary for said purpose.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and Code provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from
the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City.
