This Instrument Prepared By and Return, After Recordation, To: Victoria Mendez, City Attorney OFFICE OF THE CITY ATTORNEY City of Miami, Florida 444 S.W. 2 Avenue, 9th Floor Miami, Florida 33130-1910 Folio: 01-4137-038-0020 (Space Above for Recorder's Use Only) GRANT OF ACCESS EASEMENT THIS GRANT OF ACCESS EASEMENT (this "Access Easement") is entered into this day of , 2023, by THE CITY OF MIAMI, a municipal corporation of the State of Florida, in the county of Miami -Dade, having a principle office at 444 SW 2nd Avenue, Miami, Florida 33130 (hereinafter called the "GRANTOR"), and Lancelot Miami River LLC, a Florida Limited Liability Company, with an address at 9050 Pines Boulevard, Suite 301, Pembroke Pines, Florida 33024, its successors, heirs and assigns (hereinafter called the "GRANTEE", and together with the GRANTOR, collectively, the "PARTIES"). WHEREAS, the GRANTOR is the owner of that certain property located at 444 SW 2nd Avenue, Miami, Florida 33130, more particularly described in Exhibit "A" attached hereto and incorporated herein (the "Property"); and WHEREAS, the GRANTEE is the owner of that certain property located at 230 SW 31d Street, Miami, Florida 33131, more particularly described in Exhibit "B" attached hereto and incorporated herein (the "Riverside 1B Project Site"); and WHEREAS, the GRANTOR desires to enter into this Access Easement consistent with the terms and conditions set forth herein. FILE NO. 13800 EXHIBIT SUB 1 ACTIVE 685731909v2 WITNESS TH: THAT, the GRANTOR, for and in consideration of the sum of ONE DOLLAR ($1.00) and other good and valuable considerations, the receipt and sufficiency of which is hereby conclusively acknowledged by the GRANTOR, voluntarily and freely grants and does hereby grant to the GRANTEE and its employees, representatives, agents, guests, tenants, contractors and invitees (collectively, the "GRANTEE PARTIES"), a perpetual, non-exclusive ten foot (10') wide access easement over, upon, through and across a portion of the Property as shown on Exhibit "C" attached hereto and made a part hereof, for the purposes of providing pedestrian access to/from the Riverside 1B Project Site, with the full right of ingress thereto and egress there from (the "EASEMENT"). THE GRANTEE shall regulate the use of the EASEMENT so as not to conflict with the normal operations or activities of the GRANTOR or facilities located on the Property; The GRANTEE, during the course of use of the EASEMENT, shall not encroach beyond the boundaries of the EASEMENT or any other easement that may be granted by the GRANTOR. The GRANTEE agrees to restore, at GRANTEE' S sole cost and expense, any damage to the Property caused as a result of the use of the EASEMENT by the GRANTEE or other GRANTEE PARTIES, to a condition acceptable by the City of Miami City Manager. Such restoration shall be done prior to the expiration of this Agreement. This Access Easement shall become effective upon recordation in the Public Records of Miami -Dade County, Florida, and shall continue in effect for a period of thirty (30) years after the date of such recordation, after 2 ACTIVE 685731909v2 which time the term of this Access Easement shall be extended automatically for successive periods of ten (10) years each, unless sooner released in writing by the GRANTEE. This Access Easement and its exhibits contain the full and final understanding between the PARTIES as to its subject matter. This Access Easement supersedes all prior and contemporaneous oral or written understandings, communications or documents exchanged between the PARTIES as to its subject matter. This Access Easement shall be construed in accordance with the laws of the State of Florida. Venue in any proceedings between the parties shall be in Miami -Dade County, Florida. This Access Easement runs with the land and binds the GRANTOR and his/her heirs, successors and assigns to the Property. The GRANTEE may record this instrument in the public records of the County. The GRANTOR does hereby fully warrant that it has good title to the Property and that it has full power and authority to grant this Access Easement.
