MANAGER TO NEGOTIATE AND EXECUTE AN INTERLOCAL AGREEMENT
("AGREEMENT") WITH MIAMI-DADE COUNTY, FOR THE REIMBURSEMENT OF
COUNTY FUNDING TO THE CITY OF MIAMI, FROM A COMBINATION OF FUNDING
FROM THE COUNTY DEVELOPMENT TAX FUNDS IN AN AMOUNT NOT TO
EXCEED FIVE MILLION DOLLARS ($5,000,000.00) AND CULTURE AND
EDUCATION FUND PROJECT 291 OF THE BUILDING BETTER COMMUNITIES
BOND PROGRAM, IN AN AMOUNT NOT TO EXCEED FIFTEEN MILLION, FIVE
HUNDRED THOUSAND DOLLARS (15,500,000.00), FOR A TOTAL AMOUNT NOT
TO EXCEED TWENTY MILLION FIVE HUNDRED THOUSAND DOLLARS
($20,500,000.00), FOR THE CONSTRUCTION OF THE HISTORIC VIRGINIA KEY
BEACH PARK TRUST MUSEUM PROJECT, ALL IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE

AND EXECUTE ANY AND ALL RENEWALS, EXTENSIONS, MODIFICATIONS, AND
AMENDMENTS TO THE AGREEMENT, IN FORMS ACCEPTABLE TO THE CITY
ATTORNEY, AS MAY BE DEEMED NECESSARY FOR SAID PURPOSE.
WHEREAS, the City of Miami ("City") recognizes the importance of preserving and
celebrating the history and culture of Virginia Key Beach Park; and
WHEREAS, the City received an award from Miami -Dade County's ("County") Culture
and Education Fund Project 291 ("Project 291") of the Building Better Communities Bond
Program ("Bond Program") and the County's Convention Development Tax ("CDT"), on a
reimbursement basis, for the Historic Virginia Key Beach Park ("Park") Museum Project and
other related park improvements ("Museum Project"), in a total amount not to exceed Twenty
Million, Five Hundred Thousand Dollars ($20,500,000.00) ("Funds"); and
WHEREAS, pursuant to the Bond Program Referendum held on November 2, 2004, the
County Board of County Commissioners ("County Commission") allocated an amount not to
exceed Fifteen Million, Five Hundred Thousand Dollars ($15,500,000.00) to the City from
Project 291 for certain park improvements and the construction of a museum/cultural center at
the Park, attached and incorporated herein as Exhibit "A;" and
WHEREAS, pursuant to County Resolution No. 304-01 adopted on March 20, 2001, the
County Commission approved the use of CDT Funds in an amount not to exceed Five Million
Dollars ($5,000,000.00) to fund the construction of a Civil Rights Museum at the Park; and
WHEREAS, the planning of the Museum Project first emerged from a public community
charrette in the year 2000, which also resulted in the first comprehensive development plan for the
Park in its entirety; and
WHEREAS, the civic, social, and environmental characteristics of the Park hold national,
regional, and local significance in the history of the civil rights movement, highlight the
achievements of local African American communities, and provide an opportunity for the public to
learn the history and explore various environmental phenomena unique to the Park; and
WHEREAS, the Park was added to the National Register of Historic Places in 2002,
added to the State of Florida Heritage Trail in 2006, included as a major stakeholder to the
Virginia Key Master Plan in 2010, and added to the City's Historic and Environmental
Preservation List in 2013; and
WHEREAS, on May 11, 2006, pursuant to City Resolution No. 06-0289, the City
Commission approved the Virginia Key Beach Park Master Plan, which included the restoration
of the Park and the Museum Project; and
WHEREAS, the release of said County GOB and CDT funding is contingent upon the
commitment from the City to support museum operations in the event of a loss and revenue
short fall, upon the completion of the Museum Project construction; and
WHEREAS, the Virginia Key Advisory Board at its May 29, 2019, meeting, adopted a
Resolution in support of the Museum Project; and
WHEREAS, the City previously adopted R-19-0235 supporting the Project; and
WHEREAS, on October 13, 2022, the City of Miami reformed and reorganized the
composition of the Board of the Virginia Key Beach Park Trust; and
WHEREAS, the City and the new Trust board intends to revise and update the business
plan completed by Lords in 2016 to generate an updated and revised plan that is strategically
feasible for the Museum Project; and
WHEREAS, this Project will enhance the cultural offerings of the City, bring international
attention to the Park's noteworthy civil rights history, serve as a positive example of civic
engagement as represented by the history of the Park's origin and the advocacy of the new
Board of Trustees for the park, and create social engagement opportunities through the
incorporation of the public shoreline, green space, and the various amenities on the island of
Virginia Key; and
WHEREAS, it is further in the best interest of the City for the City Commission to
authorize the City Manager to negotiate and execute the Agreement, any and all renewals,
extension, modifications, and amendments to the Agreement, all in forms acceptable to the City
Attorney, for said purpose for the Project;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MI-
AMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated as fully set forth in this Section.
Section 2. The City Manager is authorized' to negotiate and execute the Interlocal
Agreement with Miami -Dade County and all other necessary amendments, extensions,
renewals, and modifications to the Interlocal Agreement as may be deemed necessary for said
purpose, all in a from acceptable to the City Attorney.
1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
Section 3. This Resolution shall become effective immediately upon its adoption.
