Subject: Bid Waiver - COVID-19 Mental Health and Wellness Program
Purpose of Item:
A resolution of the Miami City Commission, with attachment(s), by a four -fifths (4/5ths)
affirmative vote, after an advertised public hearing, ratifying, confirming, and approving
the City Manager's recommendation and written findings, attached and incorporated as
"Exhibit A" pursuant to Section 18-85(a) of the Code Of The City Of Miami, Florida, as
amended; waiving the requirements for competitive sealed bidding methods as not
being practicable or advantageous to the City Of Miami ("City") to establish a contract
for the provision of a Covid-19 Mental Health & Wellness Program from RER Consulting
Enterprise, LLC ("RER"), for the City Of Miami's Risk Management Department ("Risk"),
for a period of three (3) years with no option to renew, in the amount of Five Hundred
Thousand Dollars ($500,000.00); allocating funds from Risk's various sources of funds;
subject to the availability of funds and budgetary approval at the time of need; further
authorizing the City Manager to negotiate and execute any and all documents, including
any amendments, subject to all allocations, appropriations and budgetary approvals
having been previously made, compliance with applicable provisions of the Code Of The
City Of Miami, Florida, as amended, ("City Code"), including, the City Of Miami's
Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set
forth in Chapter 18 of the City Code, in a form acceptable to the City Attorney, and in
compliance with all applicable laws, rules and regulations, as may be deemed
necessary for said purpose.
Background of Item:
The City is seeking to establish a program to address the ongoing mental health and
wellness needs of those residents, directly or indirectly, impacted by the COVID-19
pandemic. The program will be free and accessible to residents. RER Consulting will
work with health partners to provide mental health and referral services for participants.
The program will be supplemented with speakers, education, and events. Furthermore,
the City of Miami will receive data highlighting disparities in mental health,
environmental issues, and other concerns. The amount of compensation payable by
the City to the Contractor will be for work performed per month, provided however, that
in no event will the cumulative (total) amount of compensation exceed Five Hundred
Thousand Dollars ($500,000.00) during the term of this Agreement. The term of the
Agreement will be three (3) years with no option to renew.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED PUBLIC
HEARING, RATIFYING, CONFIRMING, AND APPROVING THE CITY MANAGER'S
RECOMMENDATION AND WRITTEN FINDING, ATTACHED AND INCORPORATED
AS EXHIBIT "A", PURSUANT TO SECTION 18-85(A) OF THE CODE OF THE CITY
OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE"), WAIVING THE
REQUIREMENTS FOR COMPETITIVE SEALED BIDDING METHODS AS NOT BEING
PRACTICABLE OR ADVANTAGEOUS TO THE CITY OF MIAMI ("CITY") FOR THE
PROVISION OF A COVID-19 MENTAL HEALTH & WELLNESS PROGRAM FROM
RER CONSULTING ENTERPRISE LLC, A FLORIDA LIMITED LIABILITY COMPANY
("RER"), FOR THE CITY'S RISK MANAGEMENT DEPARTMENT ("RISK"), FOR A
PERIOD OF THREE (3) YEARS WITH NO OPTION TO RENEW, IN THE AMOUNT OF
FIVE HUNDRED THOUSAND DOLLARS ($500,000.00); ALLOCATING FUNDS FROM
THE VARIOUS RISK SOURCES OF FUNDS, SUBJECT TO THE AVAILABILITY OF
FUNDS AND BUDGETARY APPROVAL AT THE TIME OF NEED; AUTHORIZING THE
CITY MANAGER TO EXECUTE THE CITY'S PROFESSIONAL SERVICES
AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR SAID
PURPOSE; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND
EXECUTE ANY AND ALL DOCUMENTS, INCLUDING ANY AMENDMENTS,
MODIFICATIONS, AND EXTENSIONS, SUBJECT TO ALL ALLOCATIONS,
APPROPRIATIONS, AND PRIOR BUDGETARY APPROVALS, COMPLIANCE WITH
ALL APPLICABLE PROVISIONS OF THE CITY CODE, INCLUDING THE CITY'S
PROCUREMENT ORDINANCE, ANTI -DEFICIENCY ACT, AND FINANCIAL
INTEGRITY PRINCIPLES, ALL AS SET FORTH IN CHAPTER 18 OF THE CITY
CODE, IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AND IN COMPLIANCE
WITH ALL APPLICABLE LAWS, RULES, AND REGULATIONS, AS MAY BE DEEMED
NECESSARY FOR SAID PURPOSE.
WHEREAS, the City of Miami ("City") Risk Management Department ("Risk") is seeking
to establish a program to address the ongoing mental health and wellness needs of City
residents, directly and indirectly, impacted by the COVID-19 pandemic ("Program"); and
WHEREAS, said Program to address ongoing mental health and wellness needs will be
free and accessible to City residents; and
WHEREAS, RER Consulting Enterprise LLC, a Florida limited liability company ("RER"),
is a professional development, evaluation, training, and management services firm that focuses
on social responsibility, works closely with local governments and key community figures to
develop strategic plans using qualitative and quantitative research methodologies that increase
community engagement, and provides community -focused solutions that are created to build
stronger communities through innovative programming strategies, program evaluation,
workshops, training, and community meetings; and
WHEREAS, RER will work with health partners to provide services for participants while
supplementing the Program with speakers, education, and events; and
WHEREAS, RER will also provide monthly and quarterly reporting with
recommendations based on the feedback gathered from the Program, highlighting disparities in
mental health, environmental issues, and other concerns, which will assist the City's leadership in
making budgetary decisions to aid the City's residents in the area of mental health services; and
WHEREAS, pursuant to Section 18-85(a) of the Code of the City of Miami, Florida, as
amended ("City Code"), the City Manager recommends waiving competitive sealed bidding
methods as not being practicable or advantageous to the City, via a written finding with reasons
supporting the same, for the provision of said Program;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing,
the City Manager's recommendation and written finding, pursuant to Section 18-85(a) of the City
Code, waiving the requirements for competitive sealed bidding methods as not being practicable
or advantageous to the City for the provision of a COVID-19 Mental Health & Wellness Program
from RER, for Risk, for a period of three (3) years with no option to renew, in the amount of Five
Hundred Thousand Dollars ($500,000.00), is hereby ratified, confirmed, and approved.
Section 3. Funds shall be allocated from the various Risk sources of funds, subject to
the availability of funds and budgetary approval at the time of need.
Section 4. The City Manager is authorized1 to execute the City's Professional Services
Agreement, in a form acceptable to the City Attorney, for said purpose.
Section 5. The City Manager is further authorized' to negotiate and execute any and all
documents, including any amendments, modifications, and extensions, subject to all allocations,
appropriations, and prior budgetary approvals, compliance with all applicable provisions of the
City Code, including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial
Integrity Principles, all as set forth in Chapter 18 of the City Code, in forms acceptable to the City
Attorney, and in compliance with all applicable laws, rules, and regulations, as may be deemed
necessary for said purpose.
Section 6. This Resolution shall become effective immediately upon its adoption.
