THIS INDENTURE, made this 1.3 day of F-1oe A.D. 2023, between Parcel C
(2022), LLC, a Delaware Limited Liability Company, as successor by conversion to Parcel
C, LLC, a Florida Limited Liability Company, authorized to transact business in the State
of Florida, having its principal place of business in the County of Miami -Dade, State of
Florida, and whose address is 2850 Tigertail Avenue, Suite 800, Miami, FL 33133,
("Grantor"), and the CITY OF MIAMI, a Florida Municipal Corporation, P.O. Box 330708,
Coconut Grove Station, Miami, FL 33233-0708, of the County of Miami Dade, in the State
of Florida, ("Grantee").
WHEREAS, pursuant to the Code of the City of Miami, Florida, as amended,
Chapter 54, Section 54-58, Grantor is required to dedicate that portion of the land Tying
within the City's officially established right-of-way to the public for right-of-way purposes;
see Exhibit "A" for the land subject to right of way dedication ("Subject Property"); and
WHEREAS, Grantor owns the parcel of land immediately east of the Subject
Property, located at 225 and 233 North Miami Avenue, Miami, Florida ("Benefited
Parcel"); and
WHEREAS, the City of Miami Commission by Resolution R-22-0273 accepted a
Right -of -Way Deed for the Subject Property for right-of-way purposes on July 28, 2022
(the "Existing Right -of -Way Deed"); and

WHEREAS, the Existing Right -of -Way Deed was recorded in the Public Records
of Miami -Dade County, Florida on September 15, 2022, in Official Records Book 33384
at Page 2749; and
WHEREAS, the Subject Property lies within the maintenance jurisdiction of Miami -
Dade County, a Florida political subdivision; and
WHEREAS, the Grantor has requested and Miami Dade County as well as
Grantee have no objection that the Existing Right -of -Way Deed be amended and restated
to allow Grantor to reserve a subterranean easement, as described on Exhibit "B"
attached hereto, with respect to the Subject Property, as described herein (the "Reserved
Easement"); and
WHEREAS, Grantor does hereby fully warrant the title to said land — the Subject
Property - and will defend the same against the lawful claims of all persons whomsoever;
and
WHEREAS, the Grantor and the Grantee, are desirous that this Amended and
Restated Right -of -Way deed supersede and cause to void the Existing Right -of -Way
Deed.
WITNESSETH, that Grantor, for and in consideration of the sum of ONE DOLLAR
($1.00) and other good and valuable consideration to it in hand paid by Grantee, the
receipt whereof is hereby acknowledged, has granted, bargained and sold to Grantee,
and its successors in interest, the Subject Property, subject to the Reserved Easement,
for use as public right-of-way and other purposes incidental or related thereto, all rights,
title, interest, claim or demand of the Grantor, subject to the Reserved Easement.
Grantor's use of the Reserved Easement shall in no way interfere with the
Grantee's, Miami -Dade County's, or the general public's use of the Subject Property,
which shall be determined in the Grantee's and Miami -Dade County's sole discretion. The
Reserved Easement is being reserved only for the purpose retaining, in their present
locations, certain underground pilings and piers, hereinafter called "the Encroachments"
within the Subject Property that benefit the Benefitted Parcel. In the event that repair or
maintenance of the Encroachments requires temporary closure of the Subject Property,
or any portion thereof, Grantor shall provide written notice to the Grantee and Miami -
Dade County Department of Transportation and Public Works, or successor department,
at least 30 days in advance and shall obtain all required permits for said repairs and
temporary closure prior to commencing work. Grantor shall promptly repair any damage
to or injury to the roadway, sidewalks or public landscaping or other public facilities
caused by Grantor's repair or maintenance of the Encroachments. Restoration of public
facilities within the Subject Property shall be equal to or better than the condition existing
at the time of damage or injury, which shall be determined in the Grantee's and Miami -
Dade County's sole discretion.
Grantor shall indemnify and hold harmless the Grantee, Miami -Dade County and
their respective officers, employees, agents and instrumentalities from any and all liability,

losses, or actual damages, including reasonable attorneys' fees and costs of defense,
which the Grantee or its officers, employees, agents or instrumentalities incur as a result
of claims, demands, suits, causes of actions or proceedings of any kind or nature arising
out Grantor's use of the Reserved Easement. Grantor shall investigate and defend all
claims, suits or actions of any kind or nature in the name of the Grantee, where applicable,
including appellate proceedings, and shall pay all reasonable costs, judgments and
reasonable attorney's fees which may issue thereon. Grantor expressly understands and
agrees that any insurance protection required by a required permit or otherwise provided
by Grantor shall in no way limit their responsibility to indemnify, keep and save harmless
and defend the Grantee and Miami -Dade County or its officers, employees, agents, and
instrumentalities as herein provided. It is understood that the Grantee and Miami -Dade
County assume no responsibility for the personal safety of any persons, equipment, or
personal property brought into or installed within the Subject Property in connection with
the Reserved Easement by Grantor, including any loss, theft, damage, injury, or death.
Grantor shall promptly notify the Grantee and Miami -Dade County of any loss, damage,
injury or death arising out of Grantor's use of the Reserved Easement or in connection
with the Encroachments.
The Reserved Easement serves the building being constructed upon said
Benefited Parcel and shall extinguish, terminate, and be of no further force and effect
upon the demolition thereof, if any, or upon partial demolition if same eliminates the
necessity for the Encroachments; following such demolition and termination the Grantee
may file a Notice of Termination of Easement in the Public Records.
The Grantee and Miami -Dade County retain all of their sovereign prerogatives and
rights as under Florida laws and shall in no way be estopped or otherwise prevented from
withholding or refusing to issue any approvals of applications for building, zoning,
planning or development under present or future laws and regulations of whatever nature
applicable to the planning, design, construction and development of the Encroachment
or be liable for the same. Furthermore, the Grantee shall not by virtue of the Reserved
Easement be obligated to grant any approvals of applications for building zoning, planning
or development under present or future laws and ordinances of whatever nature
applicable to the planning, design, construction, development and/or operations of the
Encroachment or appurtenant building.
