Knight International Center. Further authorizing the City Manager to negotiate and execute all necessary documents, including amendments and modifications to said Agreement, in a form acceptable to the City Attorney, as may be necessary. Background of Item: On March 16, 1982, the City and DOSP entered into the Management Agreement for the Public Parking Garage at the James L. Knight International Center (the "Agreement") to manage and operate the parking facility servicing the James L. Knight International Center property, more specifically described (or depicted) in Attachment 1 hereto. The City owns the property known as the James L. Knight International Center, including the adjacent parking garage structure and wishes to extend the management and operation services of DOSP. The existing Agreement expired on April 30, 2017 and the City and DOSP wish to retroactively approve the five (5) year extension through April 30, 2022 and further extend the Agreement for an additional period of five (5) years, with a new expiration date of April 30, 2027. The City Manager has determined it to be in the best interest of the City to extend the Use Period of the Agreement with a new expiration date of April 30, 2027. KNIGHT INTERNATIONAL CENTER PARKING FACILITY; FURTHER AUTHORIZING THE CITY MANAGER TO EXECUTE ANY AND ALL AMENDMENTS, EXTENSIONS, AND DOCUMENTS NECESSARY TO THE AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY. WHEREAS, On March 16, 1982, the City of Miami ("City") and the Department of Off - Street Parking, also known as the Miami Parking Authority ("DOSP"), entered into the Management Agreement for the Public Parking Garage at the James L. Knight International Center ("Agreement") to manage and operate the parking facility servicing the James L. Knight International Center property; and WHEREAS, the City owns the property known as the James L. Knight International Center, including the adjacent parking garage structure and wishes to extend the management and operation services of DOSP; and WHEREAS, the existing Agreement expired on April 30, 2017 and the City and DOSP wish to retroactively extend the Agreement for an additional period of five (5) years, with a new expiration date of April 30, 2022; and WHEREAS, the existing Agreement expired on April 30, 2022 and the City wishes to further extend the Agreement for an additional period of five (5) years, with a new expiration date of April 30, 2027; and WHEREAS, the City Manager has determined it to be in the best interest of the City to amend and extend the Agreement with a new expiration date of April 30, 2027. NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The term of the Agreement is retroactively extended, as authorized in Article 1, Section 1.01 of the Agreement, to expire on April 30, 2022. Section 3. The City Manager is hereby authorized' to negotiate and execute any and all amendments necessary to the Agreement, in a form acceptable to the City Attorney. Section 4. All other terms, conditions, and existing amendments remain in effect in accordance with the Agreement. Section 5. This Resolution shall become effective immediately upon its adoption.
