HomeMy WebLinkAboutR-22-0459City of Miami Resolution R-22-0459 Legislation City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com File Number: 12528 Final Action Date: 11/17/2022 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A FOUR -FIFTHS (4/5) AFFIRMATIVE VOTE, RATIFYING, APPROVING, AND CONFIRMING THE CITY MANAGER'S WRITTEN FINDING OF AN EMERGENCY, ATTACHED AND INCORPORATED AS EXHIBIT "A", WAIVING COMPETITIVE SEALED BIDDING REQUIREMENTS AS NOT BEING ADVANTAGEOUS OR PRACTICABLE FOR THE CITY OF MIAMI ("CITY"), PURSUANT TO SECTION 18-90 OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE"), FOR THE PURCHASE OF MEDICAL EQUIPMENT FROM GE MEDICAL SYSTEMS, ULTRASOUND & PRIMARY CARE DIAGNOSTICS, LLC, A FOREIGN LIMITED LIABILITY COMPANY AUTHORIZED TO CONDUCT BUSINESS IN FLORIDA ("GE"), PHILIPS HEALTHCARE, A DIVISION OF PHILIPS NORTH AMERICA, LLC, A FOREIGN LIMITED LIABILITY COMPANY AUTHORIZED TO CONDUCT BUSINESS IN FLORIDA ("PHILIPS"), AND CARESTREAM HEALTH, INC., A FOREIGN PROFIT CORPORATION AUTHORIZED TO CONDUCT BUSINESS IN FLORIDA ("CARESTREAM"), FOR THE MIAMI FIREFIGHTERS' HEALTH AND WELLNESS CENTER FOR THE CITY'S DEPARTMENT OF FIRE -RESCUE ("FIRE -RESCUE"), FOR AN APPROXIMATE TOTAL AMOUNT OF FIVE HUNDRED FORTY ONE THOUSAND FIVE HUNDRED TWENTY ONE DOLLARS AND FORTY FIVE CENTS ($541,521.45); AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL DOCUMENTS, INCLUDING ANY AMENDMENTS, MODIFICATIONS, ANNUAL RECURRING FEES OR MAINTENANCE COSTS, ADDITIONS OF RELATED EQUIPMENT OR SERVICES, RENEWALS, EXTENSIONS, AND REPLACEMENT CONTRACTS, SUBJECT TO ALL ALLOCATIONS, APPROPRIATIONS, PRIOR BUDGETARY APPROVALS, COMPLIANCE WITH ALL APPLICABLE PROVISIONS OF THE CITY CODE, INCLUDING THE CITY'S PROCUREMENT ORDINANCE, ANTI -DEFICIENCY ACT, AND FINANCIAL INTEGRITY PRINCIPLES, ALL AS SET FORTH IN CHAPTER 18 OF THE CITY CODE, IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AND IN COMPLIANCE WITH ALL APPLICABLE LAWS, RULES, AND REGULATIONS, AS MAY BE DEEMED NECESSARY FOR SAID PURPOSE. WHEREAS, the City of Miami ("City") Department of Fire -Rescue ("Fire -Rescue") developed the Comprehensive Cancer Prevention Program ("CCPP") to prevent cancer amongst its firefighters; and WHEREAS, one of the goals of the CCPP is Fire -Rescue's development of a Miami Firefighters' Health and Wellness Center ("Health and Wellness Center"), inclusive of the phasing in and training of Jackson Health Systems ("JHS") personnel and the purchase of all the requisite medical equipment for the same; and City of Miami Page 1 of 3 File ID: 12528 (Revision: A) Printed On: 6/24/2025 File ID: 12528 Enactment Number: R-22-0459 WHEREAS, Fire -Rescue's purchase of said requisite medical equipment for the Health and Wellness Center needs to be compatible with that of JHS and capable of interfacing with their software and patient health records; and WHEREAS, the City cannot roster into an affiliate agreement with JHS for the purchase of said medical equipment because the City does not have a designated medical provider division; and WHEREAS, said medical equipment can be acquired through the JHS selected vendors of GE Medical Systems, Ultrasound & Primary Care Diagnostics, LLC, a foreign limited liability company authorized to conduct business in Florida ("GE"), Philips Healthcare, a Division of Philips North America, LLC, a foreign limited liability company authorized to conduct business in Florida ("Philips"), and Carestream Health, Inc., a foreign profit corporation authorized to conduct business in Florida ("Carestream"), at the approximate total amount of Five Hundred Forty One Thousand Five Hundred Twenty One Dollars and Forty Five Cents ($541,521.45); and WHEREAS, pursuant to Section 18-90 of the Code of the City of Miami, Florida, as amended ("City Code"), the City Manager may waive competitively sealed bidding requirements as not being advantageous or practicable for the purchase of said medical equipment after making a written finding of an emergency, attached and incorporated as Exhibit "A"; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. By a four -fifths (4/5ths), affirmative vote, the City Manager's written finding of an emergency, attached and incorporated as Attachment "A", waiving competitive sealed bidding requirements as not being advantageous or practicable for the City, pursuant to Section 18-90 of the City Code, for the purchase of medical equipment from GE, Philips, and Carestream, for the Health and Wellness Center for Fire -Rescue, for an approximate total amount of Five Hundred Forty One Thousand Five Hundred Twenty One Dollars and Forty Five Cents ($541,521.45), is hereby ratified, approved, and confirmed. Section 3. The City Manager is authorized' to negotiate and execute any and all documents, including any amendments, modifications, annual recurring fees or maintenance costs, additions of related equipment or services, renewals, extensions, and replacement contracts, subject to all allocations, appropriations, prior budgetary approvals, compliance with all applicable provisions of the City Code, including the City's Procurement Ordinance, Anti - Deficiency Act, and Financial Integrity Principles, all as set forth in Chapter 18 of the City Code, in forms acceptable to the City Attorney, and in compliance with all applicable laws, rules, and regulations, as may be deemed necessary for said purpose. Section 4. This Resolution shall become effective immediately upon its adoption. 1 The herein authorization is further subject to compliance with all legal requirements that may be imposed, including but not limited to, those prescribed by applicable City Charter and City Code provisions.
