Newly formed LLC SUBJECT: Renovation / Rehabilitation of 3472 Hibiscus and 3574 William Ave which are Real Property Owned by St. Paul A.M.E Church, Inc., a Florida not -for -profit corporation DATE: August 12, 2022 This Memorandum of Understanding ("MOU") is entered into between Greater St. Paul A.M.E Church, Inc., a Florida not -for -profit corporation ("St. Paul"), Amanda De Seta, a natural person ("Amanda") and Irving Weisselberger, a natural person ("Irving") for the purpose of setting forth the general terms upon which the parties propose to undertake specific renovations / rehabilitation, and, select interior demolition, (collectively, the "Projects") with respect to specific real property owned by St. Paul, 3472 Hibiscus Folio #01-4121-007-5430. and 3574 William Ave Folio #01- 4121-007-6180. The parties anticipate that the Projects will be financed using a combination of publicly available funds from the City of Miami or the County of Miami -Dade.,. The parties agree that the general terms and agreements set forth herein will be followed in preparing and negotiating the terms of such Project Documents. This MOU sets forth the principal terms that have been agreed upon by the parties concerning the Projects. It is anticipated that St. Paul will retain ownership of the real property underlying the Projects and will work with the Developer to secure access and permission to undertake the Projects. Except as expressly set forth herein, the terms of this MOU shall be non -binding and the binding agreements of the parties shall be as set forth in the Project Documents; provided that this MOU constitutes a binding agreement on the parties regarding their intent to pursue the Projects in good faith. SECTION 1: PHASE 1 PROPERTIES St. Paul owns certain real property located at each of 3472 Hibiscus St, Miami, FL 33133 Street, Miami, FL ("Hibiscus") and 3574 William Ave, Miami, FL 33133 ("William"). The parties anticipate that Phase 1 of the Projects will consist of (i) the renovation and rehabilitation of the four shot -gun houses located at Hibiscus and (ii) the complete gut renovation of the current structures located at William Ave in order to maintain the density currently in place for a multi- unit, affordable housing project. 1 " "" ProfilelnfoNewline SECTION 2: FEES PAID TO DEVELOPER The budget for the Projects will include development fees, and constructions fees to be paid from available Project Funds (collectively the "Development Fees"). The Developer will earn the Development Fees consistent with the rules of FHFC and the approval of Project Funds providers. The project budget has already been submitted to St Paul and all parties have agreed to said budgets for presentation to the City Commission in order to obtain funding for said projects. SECTION 3: GENERAL DUTIES AND OBLIGATIONS OF AMANDA, IRVING AND DEVELOPER Amanda, Irving and Develop will have the following general duties with respect to the Projects: a) To interface with the local community leaders and Miami -Dade County officials to ensure acceptance of the Projects and the award of local government funding necessary for the financial viability of the Projects. b) To seek Project Funds from the City of Miami and Miami -Dade County c) To obtain construction permits. d) The Developer has already advanced, with St Paul's knowledge funds for a full survey of the Hibiscus Street folios as well as funds to create necessary floor plans for presentation to the City. It is understood by all parties that these fees are included in the previously agreed upon budget and will be reimbursed to the Developer at such time the funds are released by the City. e) To coordinate the hiring of all professional consultants and other service providers including but not limited to architects, engineers, surveyors, lawyers, traffic consultants, contractors, property managers, and testing services. f) To perform and be responsible for all activities necessary to carry out the permitting, construction, accounting, marketing, and management of the Projects. g) To manage the affairs of the renovations and delivery of the Projects. Notwithstanding the rights and obligations of Amanda, Irving and the Developer set forth above, the parties agrees that Amanda, Irving and Developer will share information with St. Paul with respect to all items described above and will consider its input on same; provided, however, that subject to the terms of the Project Documents, the Developer shall have final decision making authority with respect to the renovation / rehabilitation Projects, other than as same may directly affect the duties and obligations of St. Paul, subject to Major Decisions and any other provisions which require St. Paul's approval or consent. SECTION 4: MAJOR DECISIONS The Parties shall cooperate in good faith to make all Major Decisions. In the event that such cooperation results in a disagreement over a Major Decision, Developer shall have the right, after 2 " "" ProfilelnfoNewline providing detailed written notice no less than 10 business days in advance, to make the Major Decision. Developer warrants that if it makes a Major Decision under this provision, such Major Decision will be made for the benefit of the Projects and not solely for the benefit of Developer, nor to the detriment of the Projects nor of St. Paul. The following are Major Decisions: 1. Selection of architect. 2. Selection of general contractor. 3. Selection of sub contractors 4. Day to Day Design criteria (eg: specific selection of door knob style, available plumbing fixtures, etc) SECTION 5: COOPERATION OF ST. PAUL In connection with obtaining the Project Funds and consummating the Projects, St. Paul shall reasonably cooperate with the Developer in connection with any application for governmental approvals and all other necessary acts in furtherance of the Projects. Without limiting the generality of the foregoing, St. Paul shall provide Developer and its representatives with access to the real property underlying the Projects and shall enter into such Project Documents as may be reasonably necessary to consummate the Projects. SECTION 6: BUDGETS AND PROJECTIONS From time to time, the Developer shall prepare and provide to St. Paul updated project budgets. The parties acknowledge that such materials contain numerous assumptions about costs, fees, rates, pricing, expenses, etc. all of which are subject to market conditions and other factors. The Developer makes no representation that the figures provided are fixed or set. The Developer does not guarantee the accuracy of its budgets or projections All budgets are subject to approval by the parties and organizations providing the Project Funds. SECTION 7: INDEMNIFICATION Each party shall indemnify and hold harmless (the "Indemnifying Party") each other party and its employees and agents from any and all claims associated with all actions taken with respect to the Projects, to the extent such actions constitute gross negligence, willful misconduct or a default by the Indemnifying Party under the Project Documents. The terms of this Section 7 are binding on the parties and shall survive any termination of this MOU. 3 " "" ProfilelnfoNewline SECTION 8: TERM A. The term of this MOU will commence upon the execution hereof by the parties as of the date set forth above and continue until the execution of the Project Documents. B. During the term of this MOU, the parties will work together in good faith to obtain Project Funds and advance the Projects. C. This MOU may be superseded, in whole or in part, by the Project Documents, which set forth in greater detail the specific obligations of the parties with respect to each of the Projects. SECTION 9: EXCLUSIVITY For an initial period of one hundred eighty (180) days from the execution of this MOU, which period shall be automatically extended for an additional one hundred eighty (180) days provided that parties are cooperating in good faith but have not yet executed definitive Project Documents (the "Exclusivity Period"), neither St. Paul nor any of its shareholders or representatives will (and will not permit any affiliate, employee, officer, director, member, shareholder, agent or other person acting on any of their behalf) discuss or negotiate with any person other than Amanda, Irving and the Developer, the Projects, any consulting services relating thereto and St. Paul will not sell, assign or otherwise encumber the Projects, whether such transaction takes the form of a sale of stock, merger, liquidation, dissolution, reorganization, recapitalization, consolidation, sale of assets or otherwise, or provide any information to any other person or entity concerning the Projects (other than information which St. Paul provides in the ordinary course of its business consistent with past custom and practice, so long as St. Paul has no reason to believe that the information may be utilized to evaluate or further a Project. St. Paul and each of the undersigned officers and/or shareholders represents (on behalf of itself, herself and himself and each of its, her or his affiliates, employees, officers, directors, members, shareholders, agents and other persons working on their behalf) that: (i) none of them has any agreement, arrangement or understanding with respect to the Projects, (ii) each of them will cease and cause to be terminated any and all discussions with third parties regarding the Projects, (iii) and each of them will promptly notify Amanda, Irving and the Developer if any communication regarding the Projects, or any inquiry or contact with any person or entity with respect thereto, is made or received. During the Exclusivity Period, St. Paul will be operated in the ordinary course of business consistent with past practices. SECTION 10: WITHDRAWAL AND REMEDIES A. Failure to Obtain Financing or Permits. In the event the Developer fails to obtain the 4 " "" ProfilelnfoNewline necessary Project Funds as stated herein or the permits in connection with the Projects, St. Paul shall have the right to terminate this MOU upon thirty days written notice or to propose new terms and conditions for the Projects; provided that the Developer shall be permitted to cure such deficiencies during the aforementioned thirty day notice period. B. Termination for Cause. If either party defaults with respect to any of its obligations hereunder and such default continues for a period of thirty (30) days after written notice thereof, then such non -defaulting party may, by written notice to the other party, terminate this MOU, and thereafter pursue any and all remedies available to such non -defaulting party at law, in equity, or both. C. Termination for Convenience. Either party may terminate this MOU at any time upon 30 days' written notice to the other party without any further liabilities under this MOU. SECTION 11: MISCELLANEOUS PROVISIONS A. The validity, construction and effect of this MOU shall be governed by the laws of the State of Florida. Any claim, objection or dispute arising out of this Agreement shall be litigated or mediated in Miami -Dade County, Florida. B. Should any part, term or provision of this MOU be decided by the courts to be invalid, illegal or in conflict with any law of the State, the validity of the remaining portion or provision shall not be affected thereby. C. This MOU may be executed in any number of counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same instrument. Facsimile, .pdf and other electronic signatures to this MOU shall have the same effect as original signatures. D. In the event legal action is taken to enforce this MOU, the prevailing party in such action shall be entitled to recover its reasonable attorneys' fees and all other costs, in addition to any other relief to which such prevailing party is entitled.
