Virginia Key Outdoor Center (VKoC) is a
social enterprise/family business. We
love the outdoor& Plain and simple, and
we want you to enjoy it too. It is our goal
to provide opportunities for outdoor
enjoyment to visitors and residents alike.
We welcome groups and clubs to enjoy
cur facility year-round.
By igniting a passion for the outdoors, we
learn the significance of our role as

Location
The Virginla Key Outdoor Center opened its doors in June of 2015 at 3801Rickenbacker Causeway Miami, FL 33149. This
location was obtained through a public RFP process. The lease was approved by the Commission in February 2015
by Chairman William Sort, Commissioner Frank Carollo, and Commissioner Marc Sarnoff. (Res 15-0082)

On the first Saturday of each month dozens of volunteers gather at the Virginia Key Outdoor Center
to participate in a Coastal Clean Up l Volunteers take a short hike or paddle to the north point of
the island. Debris accumulates in this area due to winds, tides, boat traffic and gets washed up on
the shore. Through these events volunteers learn about plastic pollution, climate change and our
waterways. It is a great opportunity to understand how these stressors adversely affect our daily
lives. For many, it is their first contact with primitive areas of coastal habitats.

Outdoor Connections USA
In the Winter of 2019, Esther Alonso, the owner of the Virginia Key Outdoor Center
established the nonprofit (501c3) OutdoorConnections, Inc.
Today, OutdoorConnections is a women --led and founded nonprofit and adventure
collective that engages, educates, and empowers urban communities across the United
States. Through first hand experience we seek to inspire confidence, leadership, and
environmental stewardship to all of our participants in order to build healthy communities
and promote positive change in the world.
Outdoor Connections has developed several programs such as Our Better Places, catered
to develop more first hang{ experiences and intimate understanding of the p
community fac ies; Outdoor Leadership Training, and more.

Kids' Adventure Camp
VKOC offers small and dedicated kid's programs. Why small? We are an outdoor
recreation facility. Children participate in sports activities that when properly
offered will include dedicated attention and instruction.
Our camp is geared towards the outdoor and designed to develop a new love of the
outdoors. Participants gain skills in SUP (stand up paddle boarding), kayaking, fishing,
mountain biking, swimming and fitness and more. Geared towards the more
independent youths, our programs build self-assurance, confidence and respect for
nature and people alike.

2. Spreadsheet with what !baileys are the correct base rent arnounts (by month). The highlighted
amounts are disputed as these were previously approved for tolling under our lease (your debar -intent
does not now recognize the tolling period or rent abatement). Kindly review and provide corrections to
base amounts (without addressing whether the amount Is owed or chargeable),
3. Copy of report and certification for 20117-2018
I will reconcile the payment receipt report you provided on August 9th against the payments made and
will provide any additional backup.

1DESI'R1, C1TON OF PROPERTY
13.1 I3estructf on of Property
If the Area shall be damaged by fire, the elements, accident or other casualty (any of such
causes being referred to herein as a "Casualty"), but the Area shall not he rendered wholly or
partially unusable, the Landlord shall pronnptty cause such damage to he repaired, subject to
collection of sufficient insurance proceeds.
lf, as a result of Casualty, the .Area shall be rendered partially unusable, then, the
Landlord shall cause such damage to be repaired. In such event, such repairs shall be made at
the expense of the Landlord, subject to the Tenant's responsibilities set forth herein The
Landlord shall not be liable for interruption to the Tenant's business or for damage to or
replacement or repair of Tenant's personal property (including, without limitation, inventory,
trade fixtures, floor coverings, furniture and other property removable by the Tenant under the
provisions of this Lease) or for damage to or replacement or repair of any improvements
installed by Tenant at the Area.
If, as a result of Casualty, the Area and/or operations are substantially rendered
unuseable, rent is not due and lease term is stayed until such time as occupancy and operations
may be reestablished. Tenant may at its expense install a temporary structure from which its
operatic, subject to Landlords approval.

7.3 Changes and Additions to the Property
The Landlord reserves the right at any time to reasonably. (i) make or permit changes or
revisions on the Area and/or Property, including additions to, rearrangements of, alterations of,
modifications of or supplements to the building areas, walkways. parking areas, or driveways,
and (ii) construct improvements on the Area and/or Property and to make alterations thereof or
additions thereto, subject to the cotxlition that the Landlord will endeavor to minimize any
interruption to the Tenant's use and operation of the Property and Area under the Lease and
Landlord shall provide notice as soon as practicable but r10 less than sixty (60) days advance
notice of any alterations or modifications that will substantially impact the Tenant's use of the
Area and Properly.

Communications with DREAM since July 20
July 7th, 2021- Esther contacts DREAM about error in billing. She receives no email response.
July 14th, 2021- Esther and Lease Manager Mark Burns exchange texts. Mark informs her that he will be voiding the previous
months as she is up to date.
August llth - Lease Manager Mark Burns leaves City of Miami.
August 12th -- Esther begins sending checks to the City of Miami as the online portal continues to reflect incorrect total du
May 24th, 2022. - After the Virginia Key Advisory Board Meeting, Esther Alonso requests accounting update and rent review
from Jacqueline Lorenzo. Esther informs her of the no contact from DREAM since August '21, billing errors, and set offs.
May 26, 2022 - DREAM reaches out to Esther Alonso for the first time since the departure of Mark Bums to update her mailing
address. This is the 2nd follow-up requesting her address be updated.
June 7th, 2022 - DREAM notified Esther that her lease file does not contain the tolling period memo or approval. They do not
have the commencement memo. Indicates possibility 9f it being misfiled.
Jul 18, 2022 - DREAM reaches out again asking for current information such as phone number and primary address. She
provides them with her current address again.
Aug 4, 2022 - Sandy Lila, VKOC's new Lease Manager reaches out for the first time. Requesting the 2021 Audited Financials
that are not due until end of August.
Aug 9, 2022 - Sandy Lila reaches out again. She informs Esther that she is currently not up to date with her monthly rent
and is now requesting 2017-2019 (misfiled by DREAM)and 2020-2021 Audited Financials. Sandy Lila provides Esther the first
ever list of payments credited to account.
August llth, 2022 - Esther Alonso, Diana Perez, Barbara Hernandez (PARKS), Jacqueline Lorenzo (DREAM), and
Commissioner Russell's staff meet.
August 12th, 2022 - The Virginia Key Outdoor Center is closed for code violations. A unsigned termination of lease letter for
the Virginia Key Outdoor Center is leaked to the press. It is dated Thursday, August llth.
Aug 14, 2022 - Jacqueline Lorenzo sends Esther Alonso via email, a signed termination of lease letter dated August 14th.
