City Manager - PMS Agreement with MLKEDC Purpose of Item: AUTHORIZING THE EXECUTION OF A PROFESSIONAL MANAGEMENT SERVICES AGREEMENT WITH MARTIN LUTHER KING ECONOMIC DEVELOPMENT CORPORATION ("MLKEDC") FOR THE CITY OF MIAMI OWNED PROPERTIES, LOCATED AT 750 AND 754 NW 70 STREET, MIAMI, FLORIDA, 33150; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL NECESSARY DOCUMENTS, ALL IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, FOR SAID PURPOSE. Background of Item: On December 2011, Liberty City Community Economic Development Corporation ("LCCEDC") executed a loan with the City of Miami ("City") for the acquisition of the properties located at 750-754 NW 70 Street, Miami, Florida, consisting of two-story building for the implementation of affordable housing for low-income persons. On August 10, 2012, the City of Miami Housing Commercial Loan Committee ("HCLC") approved the change of ownership from LCCEDC to Liberty City 70th Street LLC. On October 26, 2020, the City of Miami filed a complaint at the Circuit Court of the 11th Judicial Circuit in and For Miami -Dade, Florida to foreclose on its mortgage due to non- compliance with the terms of the loan documents executed between the City and Liberty 70th Street LLC. On October 7, 2021 the City took control of the property through a Certificate of Sale awarded pursuant to the foreclosure action filed at the Circuit Court of the Eleventh Judicial Circuit In and Miami -Dade County, Florida. The City reached out to non-profit housing organizations in the Liberty City community to provide property management services for the property. On April 28, 2022, MLKEDC submitted a Letter of Interest to management the properties. MLKEDC is a non-profit organization in the community that is capable of managing and operating the properties as affordable housing development. The City's Administration recommends the execution of a professional management services agreement with Martin Luther King Economic Development Corporation (MLKEDC") for the City of Miami owned properties located at 750 and 754 NW 70 Street, Miami, Florida, exclusively for affordable housing for low-income persons. WHEREAS, in December 2011, Liberty City Community Economic Development Corporation ("LCCEDC") received a loan from the City of Miami ("City") for the acquisition of the properties located at 750-754 Northwest 70 Street, Miami, Florida, as more particularly described in Exhibit "A," attached and incorporated (collectively, "Property"), for the implementation of affordable housing for low-income persons; and WHEREAS, on August 10, 2012, the City's Housing and Commercial Loan Committee approved a change of the Property's ownership from LCCEDC to Liberty City 70th St LLC ("70th Street"); and WHEREAS, on October 26, 2020, the City filed a complaint in the circuit court of the Eleventh Judicial Circuit of Florida ("Circuit Court") to foreclose on its mortgage due to 70th Street's non-compliance with the terms of the loan documents executed between the City and 70th Street; and WHEREAS, on October 7, 2021, the City took control of the Property through a Certificate of Sale awarded pursuant to the foreclosure action filed in Circuit Court; and WHEREAS, on April 28, 2022, Martin Luther King Economic Development Corporation, a Florida not for profit corporation ("MLKEDC"), submitted a letter of interest to the City to manage the Property; and WHEREAS, MLKEDC is capable of managing and operating the Property as an affordable housing development; and WHEREAS, this resolution is not intended to and does not exceed the procurement limitations set forth in Section 18-88(d) of the Code of the City of Miami, Florida, as amended, and in the event said limitations are anticipated to be exceeded, this item shall return to City Commission for further consideration; and WHEREAS, the City's Administration recommends the execution of a professional management services agreement with MLKEDC for the Properties to be operated exclusively as affordable housing for low-income persons; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized' to negotiate and execute a professional management service agreement with MLKEDC for the City -owned Property to be operated exclusively as affordable housing for low-income persons. Section 3. The City Manager is further authorized' to negotiate and execute any and all necessary documents, including amendments, extensions, and modifications, all in forms acceptable to the City Attorney, for said purpose. Section 4. This Resolution shall become effective immediately upon its adoption.
