A resolution of the Miami City Commission, with attachment(s), by a four -fifths (4/5ths)
affirmative vote, after an advertised public hearing, ratifying, confirming, and approving
the City Manager's recommendation and written findings, attached and incorporated as
"Exhibit A'), pursuant to section 18-85(a) of the Code of the City of Miami, Florida, as
amended; waiving the requirements for competitive sealed bidding methods as not
being practicable or advantageous to the City of Miami ("City") to establish a contract for
the provision of Resilience Data and Engagement Services by I See Change, Inc.
("ISC") for the City's Department of Resilience and Public Works ("RPW'), for a period
of one (1) year with the option to renew for three (3) additional one-year periods,
allocating funds from Account Nos. 00001.208000.531000.00000,
00001.201200.531000.00000, and various other funding services, subject to the
availability of funds and budget approval at the time of need; authorizing the City
Manager to negotiate and execute an agreement in a form acceptable to the City
Attorney, further authorizing the City Manager to negotiate and execute all other
documents, including any amendments, modifications, renewals, and extensions,
subject to allocations, appropriations and budgetary approval having been previously
made, and in compliance with applicable provisions of the Code of the City of Miami,
Florida, as amended, ("City Code"), including, the City of Miami's Procurement
Ordinance, Anti -deficiency Act, and Financial Integrity Principles, all as set forth in
Chapter 18 of the City Code, in a form acceptable to the City Attorney, and in
compliance with applicable laws and regulations, as may be necessary for said
purpose.
Background of Item:
ISC is an organization that provides a stormwater and climate data engagement
platform and services. The services provided give a voice to community members in the
process of planning and designing major infrastructure projects as well as creating a
direct line of communication to public works officials to improve response to
infrastructure operations and maintenance challenges. Under a Knight Foundation
funded program, ISC has already proven to improve City outcomes in its efforts to
address climate impacts. The platform is regularly used by the Department of Public
Works to coordinate and communicate direct service requests to clean and repair storm
drains and deploy pumps. The City has decided to continue the services to further
engage, collect data, and coordinate monitoring of urban heat, coastal changes, green
infrastructure, and pollution. The annual cost of services will have a value of
approximately $72,000 ($288,000.00 in the aggregate).

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED PUBLIC
HEARING, RATIFYING, CONFIRMING, AND APPROVING THE CITY MANAGER'S
RECOMMENDATION AND WRITTEN FINDING, ATTACHED AND INCORPORATED
AS EXHIBIT "A", PURSUANT TO SECTION 18-85(A) OF THE CODE OF THE CITY
OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE'), WAIVING THE
REQUIREMENTS FOR COMPETITIVE SEALED BIDDING METHODS AS NOT BEING
PRACTICABLE OR ADVANTAGEOUS TO THE CITY OF MIAMI ("CITY") TO
ESTABLISH AN AGREEMENT FOR THE PROVISION OF RESILIENCE DATA AND
ENGAGEMENT SERVICES BY ISEECHANGE, INC., A FOREIGN PROFIT
CORPORATION AUTHORIZED TO CONDUCT BUSINESS IN FLORIDA ("ISC"), FOR
THE CITY'S DEPARTMENT OF RESILIENCE AND PUBLIC WORKS ("RPW'), FOR
AN INITIAL PERIOD OF ONE (1) YEAR WITH THE OPTION TO RENEW FOR THREE
(3) ADDITIONAL ONE (1) YEAR PERIODS; ALLOCATING FUNDS FROM RPW
ACCOUNT NOS. 00001.208000.531000.00000, 00001.201200.531000.00000, AND
SUCH OTHER VARIOUS SOURCES OF FUNDS, SUBJECT TO THE AVAILABILITY
OF FUNDS AND BUDGETARY APPROVAL AT THE TIME OF NEED; AUTHORIZING
THE CITY MANAGER TO NEGOTIATE AND EXECUTE AN AGREEMENT WITH ISC,
IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR SAID PURPOSE;
FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE
ANY AND ALL DOCUMENTS, INCLUDING ANY AMENDMENTS, MODIFICATIONS,
RENEWALS, AND EXTENSIONS, SUBJECT TO ALL ALLOCATIONS,
APPROPRIATIONS, PRIOR BUDGETARY APPROVALS, COMPLIANCE WITH ALL
APPLICABLE PROVISIONS OF THE CITY CODE, INCLUDING THE CITY'S
PROCUREMENT ORDINANCE, ANTI -DEFICIENCY ACT, AND FINANCIAL
INTEGRITY PRINCIPLES, ALL AS SET FORTH IN CHAPTER 18 OF THE CITY
CODE, IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AND IN COMPLIANCE
WITH ALL APPLICABLE LAWS, RULES, AND REGULATIONS, AS MAY BE DEEMED
NECESSARY FOR SAID PURPOSE.
WHEREAS, ISeeChange, Inc., a foreign profit corporation authorized to conduct
business in Florida ("ISC"), provides a signature platform product for public sector agencies
seeking to engage communities in real time regarding hyperlocal flooding, extreme heat, climate
adaption, infrastructure and other resilience elements ("Services"); and
WHEREAS, from 2019 to 2021, the ISC received a grant from the Knight Foundation
that funded its work with the City of Miami ("City") on crowd -sourced flood monitoring, at no cost
to the City, inclusive of custom mapping, email integrations, data exports, pathways to support
municipal operations, flood modeling and infrastructure project design; and
WHEREAS, the City has used the ISC to decrease response times during tropical
storms, generate over $20 million in resilience grant support, and coordinate/communicate
direct services requests to clean and repair storm drains and deploy pumps; and
WHEREAS, the City wishes to continue the current work with the ISC and pay for the
Services with City funds, with the intent going forward of paying for flood monitoring via the
City's Department of Resilience and Public Works ("RPW'), as this platform is now part of
RPW's standard operating procedures, with any other monitoring that is facilitated by the ISC
paid for by the Office of Resilience and Sustainability; and
WHEREAS, pursuant to Section 18-85(a) of the Code of the City of Miami, Florida, as
amended ("City Code"), the City Manager has waived competitive sealed bidding methods via a
recommendation and written finding, attached and incorporated as Exhibit "A", with reasons
supporting the conclusion that the same are not practicable or advantageous to the City to
establish an agreement with the ISC for said Services ("Agreement"); and
WHEREAS, said bid waiver requires ratification, confirmation, and approval of the City
Commission by a four -fifths (4/5ths) affirmative vote after an advertised public hearing;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing,
the City Manager's recommendation and written finding, attached and incorporated as Exhibit
"A", pursuant to Section 18-85(a) of the City Code, waiving the requirements for competitive
sealed bidding methods as not being practicable or advantageous to the City to establish an
Agreement for the provision of the Services by ISC for the RPW, for an initial period of one (1)
year with the option to renew for three (3) additional one (1) year periods, are hereby ratified,
confirmed, and approved.
Section 3. Funds shall be allocated from RPW Account Nos.
00001.208000.531000.00000, 00001.201200.531000.00000 and such other various sources of
funds, subject to the availability of funds and budgetary approval at the time of need.
Section 4. The City Manager is authorized1 to negotiate and execute the Agreement
with ISC, in a form acceptable to the City Attorney, for said purpose.
Section 5. The City Manager is further authorized' to negotiate and execute any and all
documents, including any amendments, modifications, renewals, and extensions, subject to all
allocations, appropriations, prior budgetary approvals, compliance with all applicable provisions
of the City Code, including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial
Integrity Principles, all as set forth in Chapter 18 of the City Code, in forms acceptable to the
City Attorney, and in compliance with all applicable laws, rules, and regulations, as may be
deemed necessary for said purpose.
Section 6. This Resolution shall become effective immediately upon its adoption.
1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and City Code
provisions.
