City Manager - Lacuna -City Conductor Trial Agreement Purpose of Item: The nature of this item is to authorize a resolution of the Miami City Commission, with attachment(s), establishing a pilot program pursuant to Section 2.33(c)(9) of the City of Miami Code titled "Order of Business and Rules of Procedure", at no cost to the City of Miami ("City"), for a trial period of one -hundred and eighty (180) days, for use of the City Conductor, a web -based tool from Lacuna Technologies, Inc.'s, for the City's Resilience and Public Works Department ("RPW') for the purposes of providing RPW visibility into all micro mobility vehicles deployed in the City, creation, and communication of digital policies that reflect the City's ordinances, and management of each operating company's compliance with said policies Authorizing the City Manager to execute Lacuna -City Conductor Trial Agreement, in a form acceptable to the City Attorney. Background of Item: RPW has a need for a software that will allow its staff to view, manage, and govern the commercial mobility fleets that operate in the City's public right-of-way. City Conductor includes a variety of features, both technical and supportive, that work to ensure operators are consistently providing accurate, timely data that meets the City's needs. Additionally, staff will be able to calculate fees owed to the City, and provide access to a useful, sustainable mode of transportation for Miami's residents. WHEREAS, the City of Miami ("City") Department of Resilience and Public Works ("RPW') has a need for a software that can allow its staff to view, manage, and govern the commercial mobility fleets that operate in the City's public right-of-way; and WHEREAS, Lacuna Technologies, Inc., a foreign profit corporation pending registration with the State of Florida Division of Corporations ("Lacuna"), is offering RPW a trial period of one hundred eighty (180) days for use of the City Conductor, a web -based tool from Lacuna that can address the stated needs, at no cost to the City; and WHEREAS, the City Conductor will provide RPW with visibility into all micro -mobility vehicles deployed in the City, create and communicate digital policies that reflect the City's ordinances, and manage each operating company's compliance with said policies as well as provide staff that will be able to calculate the fees owed to the City, while providing access to a useful and sustainable mode of transportation for the City's residents; and WHEREAS, Section 2-33(c)(9) of the Code of the City of Miami, Florida, as amended ("City Code"), allows for the creation of legislative pilot programs for a limited period of time not to exceed one (1) year regulating any area within the City Commission's powers as set forth in Section 4 of the Charter of the City of Miami, Florida, as amended ("City Charter"), with a possible reinstatement of one (1) additional year, and with the motorized scooter pilot program established in Chapter 8, Article II of the City Code being exempt from said duration requirements; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. Pursuant to Section 2-33(c)(9) of the City Code, titled "Order of Business and Rules of Procedure," establishment of a pilot program, at no cost to the City, for a period of one hundred eighty (180) days, for use of the City Conductor, a web -based tool from Lacuna, for RPW for the provision of visibility into all micro -mobility vehicles deployed in the City, creation and communication of digital policies that reflect the City's ordinances, and management of each operating company's compliance with said policies, is hereby approved. Section 3. The City Manager is authorized to execute the City Conductor Trial Agreement with Lacuna, in a form acceptable to the City Attorney, for said purpose. Section 4. The City Manager is further authorized' to negotiate and execute any and all documents, including any amendments, modifications, renewals, and extensions, subject to all allocations, appropriations, prior budgetary approvals, compliance with all applicable provisions of the City Code, in forms acceptable to the City Attorney, and in compliance with all applicable laws, rules, and regulations, as may be deemed necessary for said purpose. Section 5. This Resolution shall become effective immediately upon its adoption.
