WHEREAS, pursuant to Resolution No. R-20-0119 adopted on April 23, 2020, the City of Miami ("City") entered into a Non -Exclusive Professional Services Agreement between IKE Smart City, LLC ("IKE") on or about August 1, 2020 to allow IKE to install kiosks within the City ("IKE Agreement"); and WHEREAS, the Florida Department of Transportation ("FDOT") controls and owns certain real estate within the City, including right-of-way; and WHEREAS, the City, on behalf of IKE, desires to obtain from FDOT and FDOT desires to grant to the City approval for the installation of the kiosks on FDOT property, which conditions for approval will be outlined in a Memorandum of Agreement ("MOA"); and WHEREAS, the kiosks on FDOT property are part of a larger comprehensive kiosks project under the IKE Agreement; and WHEREAS, the City wishes to enter into a MOA, in a form acceptable to the City Attorney, with FDOT for the placement of kiosks on FDOT right-of-way; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized' to negotiate and execute a MOA, in a form acceptable to the City Attorney, with FDOT for the installation of kiosks on FDOT owned right-of-way within the City. Section 3. This Resolution shall be effective immediately after adoption. 1 The herein authorization is further subject to compliance with all legal requirements that may be imposed, including but not limited to those prescribed by applicable City Charter and City Code provisions.
