Subject: Execute - LAP Supplemental Agreement - Downtown Miami Signage and
Wayfinding System
Purpose of Item:
A resolution of the City of Miami (City) Commission to authorize the City Manager to
execute a LAP supplemental agreement modifying the expiration of the agreement for
Downtown Miami Signage and Wayfinding System and extends the end date. The City
agrees to complete the Office of Capital Improvements Project 40-B30941 on or before
2/14/2022.
Background of Item:
This Agreement provides for FDOT's participation in the Downtown Miami Signage and
Wayfinding System Project through a supplemental agreement to the LAP agreement
executed July 22, 2014 between the City and FDOT, as further described in Exhibit "A",
Project Description and Responsibilities attached to and incorporated in the
Supplemental Agreement, to provide:
a) FDOT financial assistance to the City;
b) state the terms and conditions upon which FDOT funds will be provided;
c) and to set forth the manner in which the Project will be undertaken and completed
"Attachment A" of this LAP Agreement modifies language, and "Adjusted Exhibit B"
replaces "Schedule of Funding Exhibit B" in the LAP Agreement executed on July
22,2014 to include the correct financial and audit terms and conditions required by the
Florida Department of Financial Services and Florida Statutes. Exhibits
D,H,I,J,K,L,M,N, and 0 referenced in "Attachment A" are not part of this agreement.
This supplemental agreement will not impact funding or any project specific information.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A LOCAL AGENCY PROGRAM
("LAP") SUPPLEMENTAL AGREEMENT, IN SUBSTANTIALLY THE ATTACHED
FORM, TO THE ORIGINAL LAP AGREEMENT EXECUTED PURSUANT TO
RESOLUTION NO. R-11-0159 ADOPTED ON APRIL 14 2011 THAT AUTHORIZED
THE CITY MANAGER TO ACCEPT FEDERAL GOVERNMENT FUNDS FROM THE
FLORIDA DEPARTMENT OF TRANSPORTATION AS THE PASS -THROUGH
AGENCY IN AN AMOUNT OF ONE MILLION DOLLARS ($1,000,000.00) FOR THE
DOWNTOWN MIAMI SIGNAGE & WAYFINDING SYSTEM, OFFICE OF CAPITAL
IMPROVEMENTS PROJECT NO. 40-B30941.
WHEREAS, the Miami Downtown Development Authority of the City of Miami, Florida
("DDA") and the City of Miami ("City") applied for and were awarded a federal grant in the
amount of One Million Dollars ($1,000,000.00) from the Florida Department of Transportation
("FDOT") for the Downtown Miami Signage & Wayfinding System ("Project"), Office of Capital
Improvements Project No. 40-B30941; and
WHEREAS, the scope of work for the Project consists of design and implementation,
including new vehicular, pedestrian, and parking wayfinding signage, improvements to the
public right-of-way, such as the removal of repetitive and aging signs, and the installation of
district gateway and destination signs; and
WHEREAS, the Local Agency Program ("LAP") Supplemental Agreement, attached and
incorporated as part of Exhibit "A", provides FDOT financial assistance to the City, states the
terms and conditions upon which FDOT funds will be provided, and sets forth the manner in
which the Project will be undertaken and completed; and
WHEREAS, the LAP Supplemental Agreement, attached and incorporated as Exhibit
"A", extends the contract end date to February 14, 2022 and includes additional amendments as
outlined in Exhibit "A"; and
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings found in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized to execute a LAP Supplemental Agreement,
in substantially the attached form, to the original LAP Agreement executed pursuant to
Resolution No. R-11-0159 adopted on April 14, 2011 regarding the Project.
1 The herein authorization is further subject to compliance with all legal requirements that may be
imposed, including but not limited to those prescribed by applicable City Charter and City Code
provisions.
Section 3. This Resolution shall become effective immediately upon its adoption.
