PERPETUAL EASEMENT
THIS EASEMENT Made the day of , 20 , by CITY OF MIAMI, a municipal
corporation of the State of Florida, Grantor, to the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION,
its successors and assigns, Grantee.
WITNESSETH: That the Grantor for and in consideration of the sum of One Dollar and other valuable
considerations paid, the receipt and sufficiency of which is hereby acknowledged, hereby grants unto the Grantee, its
successors and assigns, an exclusive perpetual easement for the purpose of installing and maintaining traffic signal mast
arm, pedestrian signal heads, traffic controller cabinet and electrical service disconnect, sidewalk curb ramp, curb and
gutter, and pavement making, in, over, under, upon and through the following described land in Miami -Dade County,
Florida, viz:
PARCEL 801 F.P. NO.442538-1
A portion of Tract "A", MIAMI MUNICIPAL TRACT, according to the plat thereof, as recorded in Plat Book 51, Page
84 of the Public Records of Miami -Dade County, Florida, said lands situate, lying and being in Section 35, Township 53
South, Range 41 East, being more particularly described as follows:
COMMENCE at the Northeast Corner of the Northwest One -Quarter (NW 1/4) of said Section 35; thence South 01° 24'
27" East, along the East line of said Northwest One -Quarter for a distance of 664.73 feet; thence South 88° 35' 33" West
at right angle to the last described course for a distance of 59.50 feet to a point on the Westerly Existing Right of Way
Line of State Road 933 (N.W. 12th Avenue) as per Florida Department of Transportation Right of Way Monumentation
Map for State Road 933 (N.W. 12th Avenue), Section 87085, as recorded in Road Plat Book 153, Page 68 of the Public
Records of Miami -Dade County, Florida and the POINT OF BEGINNING of the hereinafter described Parcel; thence
continue South 88° 35' 33" West for a distance of 14.00 feet; thence North 01° 24' 27 West along a line 14.00 feet West
of and parallel with said Westerly Existing Right of Way Line for a distance of 49.81 feet; thence North 88° 35' 33"
East for a distance of 5.00 feet; thence North 01° 24' 27 West along a line 9.00 feet West of and parallel with said
Westerly Existing Right of Way Line for a distance of 22.99 feet; thence North 88° 35' 33" East for a distance of 9.00
feet to a point on the said Westerly Existing Right of Way Line; thence South 01° 24' 27" East along said Westerly
Existing Right of Way Line for a distance of 72.80 feet to the POINT OF BEGINNING.
Said lands lying in City of Miami, Miami -Dade County, Florida and containing 904 square feet, more or less.
AS SHOWN ON EXHIBIT "A", LEGAL DESCRIPTION PARCEL 801,
AND ACCOMPANYING SKETCH, ATTACHED HERETO AND TO BE MADE A PART HEREOF

During the existence of this Easement Grantee shall cause its agents, contractors and subcontractors performing
construction work within the Easement area to maintain comprehensive general liability insurance providing for
limits of amounts that are required by Grantee for the type of work and contract related thereto. Grantor shall be
named as Additional Insured and Certificate Holder in all such policies and Grantee shall provide a current copy
of such insurance certificate to Grantor; failure to do so shall constitute a material breach of this Easement.
Grantee will indemnify and hold grantor harmless from any and all damages and/or liability, claims, demand,
actions and/or suits of any nature arising out of, relating to, or resulting from any negligent or wrongful act(s) of
grantee's, employees, or instrumentalities, acting within the scope of their office or employment, in connection
with the rights granted to or exercised by grantee hereunder, to the extent and within the limitation of Section
768.28, Florida Statutes. However, nothing herein shall be deemed to indemnify Grantor from any liability or
claim arising out of the negligent acts of Grantor, and nothing herein is intended to waive the sovereign
immunity afforded to Grantee pursuant to Florida law, including section 768.28, Florida Statutes.
REVERTER —If the Easement ceases to be used for the above described purpose all property rights shall revert
back to the Grantor, with no further action(s) required by the Grantor.
TO HAVE AND TO HOLD the same unto said Grantee, its successors and assigns forever, and the Grantor will
defend the title to said lands against all persons claiming by, through or under said Grantor.

Manager, and its seal to be hereto affixed, attested by its City Clerk, the date first above written.

LICENSE AGREEMENT
THIS AGREEMENT, Made the day of , 20, by and between CITY OF
MIAMI, a Florida municipal corporation, and the STATE OF FLORIDA DEPARTMENT OF
TRANSPORTATION, herein called FDOT.
In consideration of the benefits, the parties agree as follows:
CITY OF MIAMI, a Florida municipal corporation, hereby grants to the FDOT a license to occupy and use the
following described premises:
Parcel 900 FIN No. 442538-1
The East 73.15 feet of the property located at: 1950 NW 12th Avenue, Miami, Florida 33136.
Parcel Folio: 01-3135-001-0010
The premises may be occupied and used by FDOT solely for the reconstruction of the existing pedestrian ramp,
adjacent sidewalk within FDOT right of way which may impact adjacent wall recently damaged and for sloping,
grading, tying in, harmonizing and reconnecting existing features of the property with the highway improvements
which are to be constructed together with incidental purposes related thereto during the period beginning with the date
written above and continuing until completion of the transportation project, but not later than the last day of January
2023.
To the extent permitted by Florida law and without waiving its rights of sovereign immunity, Licensee shall indemnify
and hold harmless the Licensor, and its respective officers, employees, agents, and instrumentalities from any and all
liabilities, losses or damages, which the Licensor, or its respective officers, employees, agents, or instrumentalities may
incur as a result of claims, demands, suits, causes of actions or proceedings of any kind or nature arising out of, relating
to or resulting from the negligent or intentional acts or omissions of the Licensee, or its respective officers, employees,
agents, or instrumentalities arising out of, relating to or resulting from the performance of the Agreement, or Licensee's
use of the Property as described herein. The Licensee, as applicable, shall pay all claims and losses in connection
therewith and shall investigate and defend all claims, suits, or actions of any kind or nature in the name of the Licensor,
as and where applicable, including appellate proceedings, and shall pay all costs, judgments, and attorneys' fees which
may issue thereon.
The execution of this agreement by CITY OF MIAMI, a Florida municipal corporation, has been induced by no
representations, statements, warranties, or agreements other than those contained here. This agreement contains the
entire understanding of the parties and there are no other agreements or understandings, written or oral, in effect
between the parties relating to this matter.
This agreement may be executed in any number of counterparts, each of which so executed shall be deemed to be an
original, and such counterparts shall together constitute but one and the same agreement. The parties shall be entitled to
sign and transmit an electronic signature of this agreement (whether by facsimile, PDF or other email transmission),
which signature shall be binding on the party whose name is contained therein. Any party providing an electronic
signature agrees to promptly execute and deliver to the other parties an original signed agreement upon request.
