Subject: Sole Source - PVP Communications, Inc.
Purpose of Item:
The nature of this item is to establish a resolution of the Miami City Commission, with
attachment(s), by a four -fifths (4/5ths) affirmative vote, pursuant to section 18-92 of the
Code of the City of Miami, Florida, as amended ("City Code"), after an advertised public
hearing, ratifying, approving and confirming the City Manager's finding of a sole source;
waiving the requirements for competitive sealed bidding procedures and authorizing the
purchase of twenty five (25) "Motor One" wireless motorcycle helmet communication
kits ("Kits"), from PVP Communications,Inc. ("PVP"), for the City of Miami's Department
of Police ("Police"), in the amount of forty-nine thousand nine hundred seventy five
dollars ($49,975.00); allocating funds from the various sources of funds of Police;
subject to budgetary approval at the time of need; further authorizing the City Manager
to negotiate and execute all other documents, including any amendments, renewals,
and extensions, subject to all allocations, appropriations, and prior budgetary approvals,
and in compliance with all applicable provisions of the Code of the City of Miami,
Florida, as amended ("City Code"), including the City of Miami's Procurement
Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set forth in
Chapter 18 of the City Code, all in a form acceptable to the City Attorney, and in
compliance with all applicable laws, rules, and regulations, as may be deemed
necessary for said purpose.
Background of Item:
Police is seeking to procure Kits to equip its Motorcycle Officers to continue to safely
protect and serve the residents of the City. Police's Traffic Enforcement Detail will utilize
these new Kits to replace the existing Kits in order to be compatible to the new radio
system that the Police acquired from Harris Corporation. The Kits are designed for the
officer needing a helmet headset to work with his motor -mounted radio which allows the
user to both transmit and receive audio transmissions. Mobile radio transmissions using
the headset are activated by a handlebar mounted push -to -talk ("PTT") switch. A
second PTT switch at the handlebars allows activation of the motorcycle's siren PA
system. As a result, Officers also have the ability to broadcast from the helmet
microphone to direct traffic without removing their hands from the handlebars. At all
points, the Kits do not require any cables that tether the Officer to the motor. The Kits
are the only product on the market that offers a wireless connection, Bluetooth
connectivity, and pairing with the "truck -mounted" radio in the motorcycles. PVP was the
first to design and release a wireless system that eliminated the cables between the
officer and their motorcycle more than five years ago. Accordingly, the Kits are fully
patent protected under United States Patents 5,790,947; 7,062,301 and 7,203,525.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, PURSUANT TO SECTION 18-92 OF
THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED ("CITY CODE"),
AFTER AN ADVERTISED PUBLIC HEARING, RATIFYING, APPROVING, AND
CONFIRMING THE CITY MANAGER'S FINDING OF A SOLE SOURCE, ATTACHED
AND INCORPORATED AS EXHIBIT "A", WAIVING THE REQUIREMENTS FOR
COMPETITIVE SEALED BIDDING PROCEDURES FOR THE PURCHASE OF
TWENTY FIVE (25) MOTOR ONE WIRELESS MOTORCYCLE HELMET
COMMUNICATION KITS ("KITS") FROM PVP COMMUNICATIONS, INC. ("PVP") FOR
THE CITY OF MIAMI'S ("CITY") DEPARTMENT OF POLICE ("POLICE") IN THE
AMOUNT OF FORTY NINE THOUSAND NINE HUNDRED SEVENTY FIVE DOLLARS
($49,975.00); ALLOCATING FUNDS FROM THE VARIOUS SOURCES OF FUNDS
FROM POLICE, SUBJECT TO THE AVAILABILITY OF FUNDS AND BUDGETARY
APPROVAL AT THE TIME OF NEED; AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND EXECUTE ANY AND ALL OTHER DOCUMENTS, INCLUDING ANY

AND FINANCIAL INTEGRITY PRINCIPLES, ALL AS SET FORTH IN CHAPTER 18 OF
THE CITY CODE, IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AND IN
COMPLIANCE WITH ALL APPLICABLE LAWS, RULES, AND REGULATIONS, AS
MAY BE DEEMED NECESSARY FOR SAID PURPOSE.
WHEREAS, the City of Miami's ("City") Department of Police ("Police") is seeking to
procure Motor One Wireless Motorcycle Helmet Communication Kits ("Kits") from PVP
Communications, Inc. ("PVP") to equip its motorcycle officers with the same so that they may
continue to safely protect and serve the City's residents; and
WHEREAS, the current kits used by motorcycle officers are not calibrated to work with
the new Harris Corporation radios that were obtained by Police; and
WHEREAS, the new Kits would allow motorcycle officers to wirelessly communicate
through their Police radios or utilize their public address ("PA") systems; and
WHEREAS, the City Manager and the Chief Procurement Officer ("CPO") recommend
that the requirements for competitive sealed bidding procedures be waived and that the
procurement of the Kits be approved; and
WHEREAS, the finding of the CPO has been approved and adopted as the finding of the
City Manager, attached and incorporated as Exhibit "A"; and
WHEREAS, following notice of a public hearing published at least fifteen (15) days prior
to the award, the City seeks to procure the Kits by waiver of competitive sealed bidding
procedures as a sole source, ratified and approved by a 4/5th affirmative vote of the City
Commission;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, pursuant to Section 18-92 of the
Code of the City of Miami, Florida, as amended ("City Code"), after an advertised public hearing,
the City Manager's finding of a sole source, attached and incorporated as Exhibit "A", waiving
the requirements for competitive sealed bidding procedures for the purchase of twenty five (25)
Kits from PVP for Police in the amount of Forty Nine Thousand Nine Hundred Seventy Five
Dollars ($49,975.00) is ratified, approved, and confirmed.
Section 3. Funds are allocated from the various of funds from Police, subject to the
availability of funds and budgetary approval at the time of need.
Section 4. The City Manager is authorized1 to negotiate and execute any and all other
documents, including any amendments, renewals, and extensions, subject to all allocations,
appropriations, prior budgetary approvals, compliance with all applicable provisions of the City
Code, including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity
Principles, all as set forth in Chapter 18 of the City Code, in forms acceptable to the City
Attorney, and in compliance with all applicable laws, rules, and regulations, as may be deemed
necessary for said purpose.
Section 5. This Resolution shall become effective immediately upon its adoption.
