The Property is located on the west side of SW 37 Avenue (Douglas Road), between SW 28 and SW 29 Streets. Specifically, the Property is steps away from Douglas Park. The property directly north is zoned T5-0. The properties to the south and east are zoned T4-L and are developed as duplexes. The properties to the west are zoned T3-0 and developed primarily as duplexes. The City encourages utilization of public transit and increased density within a "Pedestrian Shed" which is defined as the half mile area around a Metrorail station. The revitalization of properties near the Metrorail's Douglas Station and the SW 28 Street/SW 37 Avenue bus stop is ongoing. Accordingly, the changed and changing conditions make this rezoning appropriate in order to recognize the changing character of the area and to best utilize the Property as a mixed use development to further benefit the neighborhood. Request. The Applicant brings forth this application in order to allow for redevelopment of the Property and provide continuity of the transition from the directly abutting T5-O transect on the north to the adjacent residential and recreational areas. Article 7, Section 7.1.2.8(c), Miami 21 states that a rezoning of land will only be considered where the proposal involves an extension of an existing transect boundary, unless the rezoning involves at least 40,000 square feet of land area or 200 feet of street frontage on one street. The proposed rezoning would be an extension of the abutting T5-O transect boundary to the north, which satisfies the rezoning criteria set forth in Section 7.1.2.8(c), Miami 21. Criteria. Article 7, Section 7.1.2.8(f) of Miami 21 provides the criteria for amendments to Miami 21. The provision provides as follows "[f]or all amendments: (a) The relationship of the proposed amendment to the goals, objectives and policies of the Comprehensive Plan, with appropriate consideration as to whether the proposed change will further the goals, objectives and policies of the Comprehensive Plan; the Miami 21 Code; and other city regulations. Coconut Grove Station Therefore, as the proposed transition is found on the immediately abutting property as well as in the area surrounding the next Metrorail Station to the north, the Applicant's request maintains the goals of Miami 21 to preserve neighborhoods and continue providing appropriate transitions in intensity and building height. The proposed increase in residential density is also consistent with Policy LU-1.1.10 of the MCNP which provides that the City's land development regulations will encourage high density residential development and redevelopment in close proximity to Metrorail and Metrornover stations. As the Property is approximately 0.4 miles from the Metrorail's Douglas Station, approval of the Applicant's requests will directly encourage higher density residential development in close proximity to the Metrorail stations consistent with the aforementioned MCNP Policy. Currently, low-rise duplex residences abut commercial uses located on a major commercial corridor, SW 37 Avenue (Douglas Road). Thus, approval of this application, which would permit for a mixed use project, encourages a development pattern that enhances the existing neighborhood by allowing for development that provides a balanced mix of uses. The Applicant's request will provide for a more appropriate transition between the T5-O to the north and T4 -L transect zone to the south by permitting the Property to be zoned T5-O. The rezoning will allow for enhanced buffering between the adjacent residences and the commercial uses. Thus, approval of this application would mitigate potentially adverse impacts of new development on existing neighborhoods through the development of appropriate transition standards, consistent with Policy LU-1.6.9. The Applicant acknowledges that the foregoing recitals are true and correct and are incorporated herein by reference as if fully set forth in this Section. 2. The Applicant understands that they have the option to wait until the COVID-19 pandemic ends to proceed with the Proceedings required for the Applicant's Request(s). Release, Hold Harmless, and Indemnification Page 2 of 8 Notwithstanding this option, the Applicant has requested to move forward with its Request(s) without delay. 3. The Applicant acknowledges and agrees that if they proceed with their Request(s) without delay, the City will hold virtual Proceedings on the Applicant's Request pursuant to the Governor's Executive Order and Ordinance No. 13903 as described above, with the Applicant, the Applicant's representative(s), and all those that intend to testify required to make arrangements to be sworn in by oath or affirmation in -person at their off -site location by an individual qualified to perform such duty or to coordinate with the City to be sworn in at City Hall. 4. The Applicant also acknowledges that per Ordinance No. 13903, the general public will not be required to physically appear at the Proceedings' location to be sworn by oath or affirmation, but will have several different avenues for public comment, which may include prerecorded phone and video submission, an online public comment form, and preregistration for a live call back during the meeting. 5. Alam, Albert M. Claramonte and Ghassan Haddad, (each a "Member" and collectively, the "Members"). RECITALS: A. The Members formed a limited liability company under the Florida Limited Liability Company Act (the "Act") known as 2814/16 SW 37, LLC(the "Company") by causing Articles of Organization to be filed with the Florida Secretary of State on December 20, 2016 (Commencement Date). The Company was formed for the purpose of carrying on certain businesses and activities permitted for limited liability companies by the laws of the State of Florida. B. Toni H. Alam and Albert M. Claramonte, executed an Operating Agreement for the Company effective May 17, 2017 ("Original Operating Agreement"). C. Prior to the date of this Agreement, Ghassan Haddad contributed funds to the Company in exchange for the issuance of a 1/3 Membership interest in Company. Toni H. Alam and Albert M. Claramonte as Managers/Equity Members, authorized said issuance through Resolution and Ghassan Haddad was admitted as a Member of the Company. D. The Members now desire to amend and restate the Original Operating Agreement in the form of this Amended and Restated Operating Agreement to fully set forth their agreements and understandings regarding the Company and to own and operate the Company in accordance with the terms of this Agreement. IN CONSIDERATION of the foregoing Recitals and the mutual covenants and agreements contained herein, the parties agree as follows: RECITAL The parties hereby ratify and approve the Articles of Organization forming the Company filed with the Florida Secretary of State and filed on the Commencement Date, and agree that the Company shall be organized and operated pursuant to and in accordance with the Articles of Organization, the provisions of this Agreement and the Florida Limited Liability Company Act (the "Act") for the purposes set forth herein. The Members agree that the Members shall have the right or power to elect Managers or to vote on any rnatter.Voting on any matter, including but not limited to the election and/or removal of Managers shall require unanimous, written consent by the Members. 6. Manager -Managed Company/Designation of Manager. The Company has been designated a manager -managed company in its articles of reorganization, and therefore, pursuant to Fla. Stat. §605.0407, management of the Company shall be vested in a manager or managers. Each manager shall have equal rights in the management and conduct of the Company's business and shall exclusively decide any matter relating to the business of the Company, except as otherwise provided in the Act or in this agreement, as either may be amended. The Manager(s) may create a Board of Directors, and may also appoint individuals with or without titles, including the titles of General Manager, Executive Director, President, Vice President, Treasurer, Secretary, and Assistant Secretary, to act on behalf of the Company with such power and authority as the Manager or Board of Directors may delegate to any such Person. The voting Members of the Company have elected Tani H. Alam as the General Manager of the Company, who shall remain as the General Manager until another Manager is elected by the Members. 7. Liability of the Members. Except as otherwise provided by the Act, the debts, obligations and liabilities of the Company, whether arising in contract, tort or otherwise, shall be solely the debts, obligations and liabilities of the Company, and neither the Manager(s) nor the Members shall be obligated personally for any such debt, obligation or liability of the Company solely by reason of being a Manager or a Member. 8. Indemnification. The Company shall indemnify its Manager(s), the Members and any of the Managers' or Members' agents, affiliates, successors or assigns (individually, an "Indemnified Party") against any and all judgments. costs, losses, liabilities and damages (including attorneys' fees and expenses) paid or incurred by the Indemnified Party in connection with the activities of the Company or in dealing with third parties on behalf of the Company, to the fullest extent provided or allowed by law. 9. Admission of Additional Members. Except as otherwise expressly provided in the Agreement, no additional members may be admitted to the Company through issuance by the Company of a new interest in the Company, without the prior unanimous written consent of the Members. 10. Transfer of Membership Interest. If a Member proposes to sell, assign, or otherwise dispose of all or any part of his or her interest in the Company, that Member must first make a written offer to sell his or her interest to the other Members at a price determined by mutual agreement. If the other Members decline or fail to elect to purchase such interest, or the Members fail to come to agreement with regard to the purchase price within thirty (30) days, then the Selling Member may entertain a sale to a third party, subject to the provisions of Paragraph 11 below. If an offer to purchase is received by the Selling Member, then the Selling Member shall offer to the remaining Non -selling Members the option to purchase said interest upon the same terms as the offer to purchase. If the Non -Selling Members fail to exercise the option to purchase the Selling Member's interest within 30 days of receipt of the notice of such offer, then the Selling Member may conclude the sale to the third party, upon unanimous approval of the Non -selling Members. If the Non -Selling Members of the Company fail to approve the sale, transfer or assignment of Member's interest by unanimous vote, then, pursuant to the applicable law, the purchaser or assignee will have no right to participate or vote in the management matters of the business and affairs of the Company. The purchaser or assignee will only be entitled to receive the share of the profits or other compensation by way of income and the return of contributions to which the Selling/transferring Member would otherwise be entitled. 11. Third Party Purchases Contingent Upon Consent of Lenders. A Member who desires to sell or transfer all or any portion of his Ownership Interest in the Company to a third party purchaser shall make such sale or transfer contingent upon the written consent of all Lenders of the Company (who require such consent) to the transfer of the Ownership Interest. The Lenders' written consent to the transfer of Ownership Interest must include the substitution of the third party purchaser or assignee as Personal Guarantor to any Loans of the Company, in the place of the Selling or Transferring Member's Personal Guarantees. Should any Lender fail to give such written consent to the Transfer of Ownership Interest, the sale of Ownership Interest shall not be permitted. In the event that Lender(s) grants its written consent and allows substitution of the selling Member's Personal Guarantees of the loans of the Company, then the third party purchaser, subject to the terms and conditions of purchase agreement, shall acquire the selling Member's Ownership Interest and shall be admitted as a new Member, with full rights of participation in the management of the business and affairs of the Company, subject to the unanimous approval of such transfer by the remaining voting Members. All expenses associated with such Transfer of Ownership Interest shall be borne by the Transferring Member or his third party purchaser. 12. Dissolution and Winding -up of the Company. The Company shall be dissolved upon the first to occur of (a) the written consent of the voting Member(s) or (b) the entry of a decree of judicial dissolution under the Act. 13. Federal and State Income Tax Treatment As Partnership. The Company shall be classified as an entity taxable as a partnership absent consent otherwise of the Manager. In the event the Company has only a single Member, it shall be disregarded as an entity separate from its owner for federal and state income tax purposes (as is the case under the '`check -the -box" Treasury Regulations for single -member limited liability companies which do not elect not to be disregarded for tax purposes).
