Seller represents and warrants to the Purchaser the following as of the Effective Date and through the Closing Date: (a) Sellers are capable of entering into this contract. (d) Seller has not received written notice from any governmental authority that the Property is in violation of any (including environmental -related) legal requirements, codes, rules, or regulations, which violations have not previously been corrected. (e) There is no litigation or governmental proceeding pending ar, to the best of Seller's knowledge. threatened. affecting the Property or, which. if determined adversely to the interests of Seller. would adversely affect the transfers. conveyances and assignments contemplated by this Transaction or the execution, delivery or enforceability of this Agreement or any document or instrument to be executed and delivered pursuant to this Agreement. (f) Neither the execution, delivery and performance of this Agreement by Seller, the consummation by Seller of the Transaction, nor the fulfillment of ar compliance with the terms and conditions of this Agreement: (i) requires the consent, waiver. approval, license or authorization of any person, entity or public authority, except as expressly set forth herein; (ii) violates, with or without the giving of notice or the passage of time or both, any provision of law or regulation applicable to Seller; (iii) will conflict with or result in a breach of any applicable law concerning Seller. or any law, order,. judgment. decree. statute, regulation or any other restriction of any kind or character. to which Seller is a party or by which the Property may be bound; (iv) will result in a creation of any lien or encumbrance upon the Property under any indenture, mortgage, contract or other agreement to which Seller is a party; or (v) will conflict with. constitute grounds for termination of, or result in the breach of any of the Space Leases or any other agreement or instrument to which Seller is now a party or otherwise subjected. (g) To the best of Seller's knowledge there is no violation or alleged violation of any legal requirement affecting the Property, including without limitation. any violation or alleged violation of any local, state or federal environmental, zoning. subdivision, handicap, fire or other law ordinance, code, regulation, rule or order and specifically including, without limitation. variances or special permits effecting the Property. (h) Seller is not a "foreign person" as that term is defined in Section 1445 (f)(3) of the Internal Revenue Code, as amended, of the United States of America (the "Code"). (i) Seller is not a party to any management or service contracts affecting or relating to the Property. Notwithstanding the prior representation, Seller further warrants that Seller shall be liable and indemnify Purchaser for damages arising out of any service contracts affecting or relating to the Property. Covenants and Agreements 9.1 Covenants and Agreements.
