HomeMy WebLinkAboutExhibitTEMPORARY ACCESS AGREEMENT (the "Agreement")
Virgin Trains USA Florida LLC ("VTUSAF") requests that City of Miami ("Property Owner"),
grant authorization to VTUSAF and/or its consultant, SCS Engineers ("SCS"), to enter upon its
property as hereinafter for the purposes and pursuant to the conditions set forth below:
1. Description of Property: See attached property described on Exhibit A attached hereto
("Property").
2. Purpose of Entry: Miami -Dade County Division of Environmental Resources
Management (DERM) is requiring intrusive sampling to evaluate soil and groundwater quality
using a drill rig. The evaluation will consist of the collection of soil samples and the installation
and sampling of a shallow groundwater monitoring well. Soil and groundwater quality samples
will be submitted to a laboratory for analysis. Results of the evaluation will be submitted to
DERM for review and approval.
3. Term: This Agreement commences on the date of this Agreement and ends forty-five (45)
days thereafter.
4. Obligation of Care: All work performed on the Property by SCS shall be performed in
accordance with the usual and customary standards of professional practice.
5. Safety: SCS shall conduct its activities in a safe manner, and shall be responsible for the
safety of its employees and subconsultants with respect to the activities it performs on the site.
6. Indemnification: VTUSAF and SCS agrees to indemnify, defend and hold harmless
Property Owner from and against claims, liabilities, suits, costs, damages and causes of action
which Property Owner may suffer as a result of affirmative/intentional or negligent acts, or errors,
or omissions by VTUSAF AND SCS or its subconsultants in the performance of its activities on
the Property.
7. Insurance: VTUSAF and SCS shall, during its period of entry upon the Property,
maintain insurance requirements in accordance to Exhibit B.
8. Existing Hazardous Substances: It is understood that the assignment which requires
access to this site, may involve the presence or potential presence, or release or potential release
to the environment of hazardous substances or contaminants. SCS will not be responsible for
liability caused by the presence or release of hazardous substances or contaminants at the site,
unless the release results from the sole negligence of SCS or its subconsultants. At no time shall
title to hazardous substances, solid wastes, petroleum contaminated soil or other regulated
substances pass to SCS, nor shall any provision of this Agreement be interpreted to permit or
obligate SCS to assume the status of "generator," "owner," "operator," "transporter," "arranger,"
or "treatment, storage or disposal facility" under state or federal law. VTUSAF will not be
responsible for liability caused by the presence or release of hazardous substances or
contaminants at the site, unless the release results from the sole negligence of VTUSAF.
9. Site Information: SCS shall be entitled to rely on information provided by the Property.

Consultant agrees to maintain professional liability/Errors & Omissions coverage for a minimum
of 1 year after termination of the contract period subject to continued availability of commercially
reasonable terms and conditions of such coverage.
The above policies shall provide the City of Miami with written notice of cancellation or
material change from the insurer in accordance to policy provisions.
Companies authorized to do business in the State of Florida, with the following qualifications,
shall issue all insurance policies required above:
The company must be rated no less than "A-" as to management, and no less than "Class V"
as to Financial Strength, by the latest edition of Best's Insurance Guide, published by A.M.
Best Company, Oldwick, New Jersey, or its equivalent. All policies and /or certificates of
insurance are subject to review and verification by Risk Management prior to insurance
approval.
