("LICENSEE") FOR THE ULTRA MUSIC FESTIVAL ("EVENT") TO BE HELD AT THE CITY -OWNED PROPERTY KNOWN AS BAYFRONT PARK ("PROPERTY") IN 2021 AND NOT OPPOSING THE LICENSEE'S INTENTION TO HOST THE EVENT AT THE PROPERTY IN 2022. SPONSOR(S): Commissioner Joe Carollo, Mayor Francis X. Suarez WHEREAS, the City of Miami ("City") is the owner and the Bayfront Park Management Trust is the manager and operator of the real property known as Bayfront Park located at 301 Biscayne Boulevard, Miami, Florida ("Property"); and WHEREAS, Event Entertainment Group, Inc., a Florida Corporation ("Licensee"), is the producer of the world's premier electronic music festival known as the Ultra Music Festival ("Event"); and WHEREAS, for over twenty (20) years, the Event has been produced in the greater Miami area, of which nineteen (19) have been produced in the City; and WHEREAS, the Licensee has previously staged the Event at the Property between 2013 and 2019, during which time the Licensee expended substantial resources toward the direct promotion and marketing of the City; and WHERAES, on July 25, 2019, the City Commission adopted Resolution No. 19-0321 authorizing the execution of a revocable license agreement ("Agreement") with the Licensee for the 2020 Event subject to the terms contained in said Agreement; and WHEREAS, due to the recent global outbreak and spread of the COVID-19 Corona Virus and the fact that the Event in previous years has included visitors from over 105 countries, the City issued a letter to the Licensee on March 5, 2020 informing the Licensee that because of life safety concerns, the Licensee would not have access to the Property for the scheduled 2020 Event; and WHEREAS, as a result of this correspondence from the City, the 2020 Event was postponed; and WHEREAS, the Licensee subsequently notified the City that the next Event would be held at the Property in 2021; and City of Miami Page 1 of 2 File ID: 7319 (Revision:) Printed On: 5/2/2025 File ID: 7319 Enactment Number: WHEREAS, in order to mitigate the mutual losses associated with the Event's postponement in 2020, the City wishes to not exercise its cancellation authority under the Agreement for the Event in 2021; and WHEREAS, the City also wishes not to oppose the Licensee's intention to host the Event at the property in 2022; and WHEREAS, making all available efforts to have the Licensee host the Event in 2021 and 2022 may mitigate the economic damages suffered by the Licensee, the City, and those entities associated with the Event by way of the postponement of this year's Event; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as fully set forth in this Section. Section 2. The City will not exercise its cancellation authority under the Agreement with the Licensee for the Event in 2021 and will not oppose the Licensee's intention to host the Event at the Property in 2022. Section 3. This Resolution shall become effective immediately upon its adoption.
