LOUIS, MISSOURI'S ("ST. LOUIS") REQUEST FOR PROPOSALS NO. 2018.08.27 FOR INFORMATION AND EMERGENCY KIOSKS ("KIOSKS") WITH IKE SMART CITY, LLC, A FOREIGN LIMITED LIABILITY COMPANY AUTHORIZED TO CONDUCT BUSINESS IN THE STATE OF FLORIDA ("ISC"), UTILIZING THE COMPETITIVELY SOLICITED AND EXISTING CONTRACT WITH ST. LOUIS, SUBJECT TO ANY AMENDMENTS, RENEWALS, EXTENSIONS, NEW, OR REPLACEMENT CONTRACTS; AUTHORIZING THE CITY MANAGER TO EXECUTE THE CITY OF MIAMI ("CITY") SUPPLEMENTAL AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, WITH ISC; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL OTHER DOCUMENTS, INCLUDING ANY AMENDMENTS, RENEWALS, AND EXTENSIONS SUBJECT TO ALL ALLOCATIONS, APPROPRIATIONS, AND PRIOR BUDGETARY APPROVALS AND IN COMPLIANCE WITH ALL APPLICABLE PROVISIONS OF THE CITY CODE, INCLUDING THE CITY'S PROCUREMENT ORDINANCE, ANTI -DEFICIENCY ACT, AND FINANCIAL INTEGRITY PRINCIPLES, ALL AS SET FORTH IN CHAPTER 18 OF THE CITY CODE, ALL IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, AND IN COMPLIANCE WITH ALL APPLICABLE LAWS, RULES, AND REGULATIONS AS MAY BE DEEMED NECESSARY FOR SAID PURPOSE. WHEREAS, the City of Miami ("City") is a major port city with a current population of approximately 467,085 residents and is a leader in finance, commerce, culture, media, innovation, entertainment, arts, international trade, and tourism with millions of visitors regularly transiting through the City; and WHEREAS, it is in the best interest of the City to access a contract for information and emergency kiosks ("Kiosks") with a provider that manufactures, installs, operates, and maintains Americans with Disabilities Act ("ADA") compliant Kiosks in the public right-of-way, principally on sidewalks and other public areas; and WHEREAS, it is the desire of the City that the Kiosks not only help improve the experience of its visitors and residents, but also pique their curiosity by encouraging sustainability through promotion of awareness, understanding, and adaptation to a paper free City; and WHEREAS, the Kiosks shall provide information on transit options; wayfinding to landmarks, museums, restaurants, retail stores, and other small businesses; information on City of Miami Page 1 of 2 File ID: 6827 (Revision: A) Printed On: 5/1/2025 File ID: 6827 Enactment Number: local events; serve as a dissemination point for City messages, including emergencies; function as a surveying tool to solicit feedback from residents and visitors; generate revenue through advertising; offer free wireless fidelity ("W-Fi"); allow for free emergency 911 calls, with emergency signal lighting; and provide other valuable information; and WHEREAS, pursuant to Section 18-111 of the Code of the City of Miami, Florida, as amended ("City Code"), the City's Chief Procurement Officer has determined that the awarded contract between the City of St. Louis, Missouri ("St. Louis") and Ike Smart City, LLC, a foreign limited liability company authorized to conduct business in the State of Florida ("ISC"), was entered into pursuant to a competitive sealed process in compliance with the City's laws, policies, and procedures; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. Pursuant to Section 18-111 of the City Code, the accessing of St. Louis Request for Proposals No. 2018.08.27 for the Kiosks with ISC, utilizing the competitively solicited and existing contract with St. Louis subject to any amendments, renewals, extensions, new, or replacement contracts, is authorized.' Section 3. The City Manager is authorized' to execute the City's Supplemental Agreement, in a form acceptable to the City Attorney, with ISC. Section 4. The City Manager is further authorized' to negotiate and execute any and all other documents, including any amendments, renewals, and extensions, subject to all allocations, appropriations, and prior budgetary approvals, in compliance with all applicable provisions of the City Code, including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set forth in Chapter 18 of the City Code, in a form acceptable to the City Attorney, and in compliance with all applicable laws, rules, and regulations, as may be deemed necessary for said purpose. Section 5. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.2 APPROVED AS TO FORM AND CORRECTNESS: 1 The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code provisions. 2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days from the date it was passed and adopted.
